The Ensign Group operates skilled nursing facilities, senior living communities, and related ancillary healthcare services (mobile diagnostics, transportation, and a real estate segment) through more than 370 independently operated subsidiaries across 17 states, concentrated in the West (California, Arizona, Nevada, Oregon, Washington, Colorado, Utah, Idaho, Alaska) and South (Texas, Alabama, Tennessee, South Carolina), with additional operations in the Midwest (Iowa, Kansas, Nebraska, Wisconsin). Its growth model has been consistent for nearly a decade: acquire underperforming skilled nursing operations, install its decentralized management approach, and improve occupancy and margins over time, funded almost entirely from its own cash flow. The facility count has grown from 210 in 2016 to 373 today, and the balance sheet carries very little debt - roughly $138 million of long-term debt against more than $500 million of cash. We measure the cash the business generates for owners as operating cash flow adjusted to strip out swings in working capital, stock-based compensation, and the portion of capital spending that funds growth rather than simply maintaining existing facilities. On that basis, owner earnings grew fairly steadily from about $3.42 per share in 2021 to $4.59 in 2025 (roughly 7% in the most recent year), aside from a dip to $3.09 in 2023 caused by a one-time $48 million litigation payment. We treat that payment as a real cost in the year it was incurred rather than a permanent add-back, and we exclude that distorted year when setting our normalized starting point, which we place at $4.01 per share - roughly the median of the other recent years. The base case builds forward from that level, assuming continued disciplined, self-funded acquisitions plus the same facility-maturation process that has driven margin improvement at newly acquired sites for close to a decade, with growth gradually slowing as the business gets larger. A rule that would have required minimum nurse-staffing ratios at every facility, finalized in April 2024, was repealed by CMS in December 2025, removing a cost pressure that would otherwise have weighed on this case. The bear case reflects risks that are already visible in the filings rather than hypothetical ones. Roughly a quarter of skilled-nursing revenue comes from Medicare, with Medicaid the largest payor, so state budget pressure or unfavorable rate-setting is a real risk, and nursing labor costs have risen every year. The company has also disclosed that it received a Civil Investigative Demand from the Department of Justice in January 2024, still open as of the most recent filing, examining whether claims submitted to Medicare and Texas Medicaid from 2016 to the present were appropriate - the kind of matter that has produced material settlements elsewhere in the industry. This case assumes owner earnings dip further before stabilizing at a slower long-term growth rate. The bull case assumes the acquisition pace and facility-maturation execution that has defined the last decade continues at a brisk rate, helped by the company's low debt and ample cash, without a repeat of a one-off legal or regulatory setback of the kind modeled in the bear case. Weighing these cases, we estimate the shares are worth roughly $75 in the bear case, $139 in the base case, and $225 in the bull case. The margin-of-safety price is meaningfully below even the bear-case estimate, around $68 a share, to build in a cushion against the unresolved Department of Justice inquiry and against reimbursement risk generally. What would have to be true for this to be wrong: if the Department of Justice investigation produces a large settlement, or if states hold down Medicaid rates while nursing wages keep climbing, actual results would land nearer the bear case or below it. If the acquisition pipeline slows, or newly acquired facilities take longer to mature than they have historically, results could fall short of the base case as well.
