National HealthCare Corporation (NHC) operates skilled nursing facilities, assisted living, independent living, and home care/hospice services, concentrated primarily in the southeastern United States. Unlike many nursing home operators, NHC owns much of its real estate outright rather than leasing it all from a REIT, and it has historically run a financially conservative balance sheet with modest debt. We build our estimate of value from owner earnings - the cash a business generates after covering the capital spending needed to keep existing facilities running, and after stripping out non-cash accounting items and one-time swings in receivables, payables, and other working-capital items. Since 2016, NHC's owner earnings per share ran in a fairly narrow $4-4.70 range, dipped to about $3.23 in 2022 during the industry-wide skilled-nursing labor cost crisis, recovered to $4.19 in 2023, then stepped up to $6.73 in 2024 and $7.39 in 2025. That step-up reflects two things: the August 2024 acquisition of White Oak Manor (adding roughly 15% to the facility base, financed mostly with a $150 million credit facility NHC has already paid down to $40 million), and genuine improvement in the existing business - same-facility skilled nursing occupancy rose from 81.1% to 84.3% between 2024 and 2025, alongside 8.4% same-facility revenue growth. We use the average of the last two fiscal years, about $7.06 per share, as our starting point, rather than the higher 2025 figure alone, since only 2025 fully reflects a complete year of the acquisition. We treat this business's earning power as durable rather than wasting: NHC's facilities, and the state licenses (Certificates of Need) that limit new nursing-home supply in most of the states where it operates, don't expire the way a patent or a single customer contract would, and the capital spending already deducted from our owner-earnings figure is what it takes to keep the buildings running indefinitely. On that basis we project earnings growing for ten years and then value everything beyond that as a mature, slow-growing stream - roughly 1% a year, in line with modest same-store growth net of ongoing wage-cost pressure - rather than assuming the business disappears or grows quickly forever. Roughly two-thirds of our estimated value rests on this "beyond year ten" view, so it deserves to be read carefully rather than treated as a footnote. Our base case assumes owner earnings grow about 6% next year - below the roughly 10% growth actually achieved in 2025, because most of that recent growth was the one-time benefit of finishing the White Oak Manor integration rather than a repeatable rate. Growth then continues in the mid-single digits over the following several years as occupancy keeps recovering, moderating toward 3% a year by the back half of the decade. One specific, dated item we build into this case: NHC leases a number of its skilled nursing facilities from National Health Investors (NHI) under a long-term Master Lease, and the two companies are currently disputing whether an event of default has occurred at the same time NHC is trying to exercise its right to renew that lease for another five years starting January 2027 at a newly negotiated "fair market" rent. Our base case assumes this is resolved without a punitive rent increase. Our bear case - roughly a one-in-ten outcome - assumes the NHI dispute goes badly: a materially higher reset rent or the loss of some leased facilities beginning in 2027, layered on top of a continuation of the recent rise in self-insurance and litigation costs (the reserve NHC holds against patient-care liability claims grew from about $104 million to $122 million in a single year, driven by what the company itself describes as "unfavorable claims activity"). It also assumes that when the current congressional moratorium on new federal nursing-home minimum-staffing rules expires in 2034, some version of that rule survives and permanently raises labor costs. Even under this case the business retains real, positive value - it does not become worthless - but the estimate is meaningfully below our base case. Our bull case - a one-in-ten upside outcome - assumes the opposite: the NHI lease renews on reasonable terms, occupancy keeps climbing toward the higher levels NHC has run historically, professional-liability costs stop rising, and NHC continues to redeploy its now lightly levered balance sheet into further bolt-on acquisitions similar to White Oak Manor. Putting these together, we estimate the shares are worth roughly $113 in the bear case, $183 in our base case, and $231 in the bull case. Because the gap between our bear and base cases is moderate rather than extreme - this is a slow-moving, demographically supported business with low leverage, not a speculative one - the margin-of-safety price is set at a moderate discount to our base-case estimate, around $138 per share, rather than the very large discount a riskier or more leveraged company would warrant. One accounting judgment worth flagging: NHC's reported operating cash flow in 2025 benefited from an $18 million increase in its self-insurance reserves. That is a real cash inflow this year, but it reflects a rising expectation of future claim payouts rather than a durable source of earnings, so we have treated it as a working-capital timing item rather than as part of underlying owner earnings - the same treatment we applied to the 2020 COVID-era Medicare relief funding, which inflated that year's reported cash flow before reversing over the following two years. All figures reconciled cleanly to National HealthCare's audited cash flow statements with no unresolved gaps.
