Business condition attached to the margin of safety Trailing quarterly owner earnings showing the freight-market recovery holding (no fresh sequential decline below the FY2024 trough level).
Radiant Logistics is a non-asset-based freight and logistics company: it arranges truckload, less-than-truckload, intermodal, and international freight forwarding for shippers, using its own capacity relationships rather than owning trucks, ships, or planes. It operates through a mix of company-owned offices and independently-owned "strategic operating partner" agencies across the U.S. and Canada, and it has grown for nearly two decades through a steady string of small, bolt-on acquisitions of freight agencies layered on top of organic growth — company-owned locations in Portland, Phoenix, Dallas, Atlanta, Philadelphia, Seattle, Minneapolis, Cincinnati and elsewhere, plus the larger 2015 purchase of Canada's Wheels Group and the 2021 purchase of Navegate, a customs/trade-compliance business. Because it doesn't own the underlying transportation assets, capital spending is small — a few million dollars a year for technology and offices, well under 1% of revenue. That means growth investment for this business isn't really capital expenditure; it's acquisition spending, which shows up as a separate line in the cash flow statement. We have treated that acquisition spending as discretionary growth investment, not a cost of keeping the existing business running, and left it out of the earnings figure used for valuation — consistent with how we treat any growth spending. Because the company has made so many acquisitions, a meaningful slice of its reported non-cash charges each year is amortization of the customer relationships, trade names, and technology it acquired — roughly $10–$15 million a year recently. That amortization is correctly added back when measuring cash-generating power, but it is a real signal that a piece of the earnings stream depends on relationships that could fade if not renewed by future deals; we've accounted for that by not assuming acquisition-fueled growth continues automatically forever, rather than by cutting today's earnings level. The business is meaningfully cyclical. Freight volumes and pricing move with the broader economy and with truckload/freight-rate cycles: results were soft heading into 2020, spiked sharply in 2021–2022 during a once-in-a-cycle freight-rate boom (revenue nearly doubled that year), then fell by roughly half over the following two years as the freight market cooled. Because of this, we measured normalized cash-generating power as the median across a full ten-year cycle rather than any single year, and in particular never anchored on the most recent twelve months. On that basis, we estimate the business generates on the order of $0.48 per share of durable annual owner earnings today. One accounting note worth flagging plainly: in fiscal 2025, stock-based compensation was actually a small net credit (about -$0.8 million) rather than a cost, because forfeitures and true-ups from prior grants outweighed new awards. We applied the formula as reported rather than smoothing it, which modestly helped that year's figure; it is not expected to repeat. We also want to note that Radiant's fiscal 2022 annual report was filed several months later than usual, following a restatement of the purchase-price accounting for the Navegate acquisition. This was a technical adjustment to how acquired intangible assets were valued and amortized, not an operating or cash issue, and we used the final, corrected figures throughout. We built three continuous stories rather than percentage haircuts off a single number, using a 6% discount rate throughout and a 10-year explicit view followed by a steady continuation, since there's no specific evidence this network either keeps compounding forever or disappears — its variable-cost, asset-light structure has weathered the 2008-09, 2020, and 2023-24 downturns without threatening the business, so we carried the terminal earning power flat rather than assuming further growth we can't yet point to. Bear case (~$5/share): the freight downturn of the last two years persists rather than recovers, no further acquisitions are completed (the network shrinks slightly through attrition of independent agents), and owner earnings stay near the trough levels actually seen in fiscal 2016 and 2024 — roughly $0.30/share — indefinitely. Debt is modest (about $20 million drawn on the revolver as of the most recent filing), so this isn't a leverage-driven bear case, but a persistently soft freight cycle is a real, evidenced risk given how often this business has seen one. Base case (~$10.50/share): normalized earnings power near the ten-year median, growing modestly (around 4% a year) as the company continues the same small bolt-on acquisition strategy it has executed for nearly twenty years, funded from its own cash generation, alongside continued modest share buybacks. Bull case (~$17.50/share): the current freight-market recovery holds and the company executes bolt-on acquisitions at a pace and quality consistent with its long demonstrated record, sustaining owner earnings near the better years of the last cycle (around $0.65/share) and growing them roughly 7% a year. What would make this estimate wrong: mainly, whether the freight market normalizes in the next year or two, and whether Radiant keeps finding and integrating small acquisitions on the same terms it has historically — both are things upcoming quarterly results will show relatively quickly. Given the swing between our bear and bull cases and this business's real cyclicality, the margin-of-safety price sits meaningfully below our base-case estimate — around $6/share — a level that allows for a bad freight cycle, with the base case implying a strong return from there.
