PayPal runs a two-sided payments network: 439 million active accounts at the end of 2025, $1.79 trillion of payment volume in 2025, and $33.2 billion of net revenue, of which 57% came from the United States. It earns fees on payments through PayPal and Venmo checkout, plus interest and fees from buy-now-pay-later and other consumer and merchant loans. HOW WE MEASURE EARNINGS. We start with operating cash flow and subtract stock compensation ($1.0 billion in 2025, treated as a real cost), the portion of capital spending that maintains the business, and working-capital swings. Two judgements matter. First, PayPal originates loans it intends to sell to outside investors; the cash tied up in loans awaiting sale (a net $1.3 billion in 2025, $0.1 billion in 2024, $0.7 billion in 2023) is removed as working capital, consistent with earlier years when those flows sat outside operating cash. Second, actual cash losses from fraud and chargebacks ($1.3 billion in 2025) are kept as a real cost. On this basis owner earnings per share were $1.60 (2016), $0.80 (2017, distorted by a one-time tax-reform liability), $1.85, $2.04, $3.02, $3.48, $2.72, $3.28, $4.99 and $5.86 (2025). Part of the rise comes from fewer shares: diluted shares fell from 1,186 million in 2021 to 968 million in 2025 through buybacks ($6.1 billion repurchased in 2025). STARTING LEVEL. We use the median of 2022 to 2025, $4.14 per share. The 2020-21 pandemic surge (revenue growth of 21% and 18%) is excluded; since 2022 revenue growth has been 8%, 8%, 7% and 4%. We deliberately do not use the 2025 figure of $5.86: 2025 net income rose 26%, helped by a lower tax rate (17% versus 22%), and cash taxes paid were $1.1 billion in 2025 and $1.0 billion in 2024 against $2.1 billion in 2023, so part of the recent step-up may not repeat. GROWTH CHECK. Owner earnings per share grew 17% in 2025 ($5.86 versus $4.99). The base case assumes 0% growth in year one from the $4.14 starting level, below that trailing rate, so no reversal needs to be argued. BASE CASE, about $53 per share. Owner earnings stay flat at $4.14 for ten years, then decline 4% a year, because nothing in the filings secures durable growth or durable stability beyond that point. We credit no growth. Payment volume rose 7% in 2025, but the number of payment transactions fell 4%, transactions per active account fell 5% to 57.7, and transaction revenue rose only 3% ($29.8 billion versus $28.8 billion). Market growth, share gains, AI-agent commerce, the PayPal USD stablecoin, advertising and future buybacks are left out because none is contracted or a repeatable record. What supports the flat level is the established network: revenue grew from $9.2 billion in 2015 to $33.2 billion in 2025. BEAR CASE, about $26 per share. Owner earnings reset to the 2022 level of $2.72, fall 3% a year for ten years, then 6% a year. Named risks: the drop in engagement noted above; Braintree volume was weaker in the first half of 2025 before recovering; the filing says PayPal's revenue share from its credit-card partner institution would be zero in any quarter where that program's returns fall below a minimum threshold; and the company is led by an interim CEO (the 10-K was signed on February 3, 2026 by Jamie Miller as Interim President and CEO), with shareholder lawsuits naming former officers and directors, which we could not size. BULL CASE, about $89 per share. Owner earnings hold at $5.43 (the average of 2024 and 2025, a level already reached) and grow 2% a year for ten years, then decline 2% a year. The 2% is below the lowest annual revenue growth of the past decade (4%). Supports: Braintree returned to revenue and TPV growth in the second half of 2025, and interest and fee revenue from loans rose about $350 million in 2025. WHAT THE SHARES ARE WORTH. Our base value is about $53, with a range of $26 to $89. The margin-of-safety price is $32: about 39% under the base value and moderately above the bear value, reflecting a mature but eroding-engagement business, unresolved leadership, and lawsuits. No debt is subtracted; interest is already paid inside the cash flow, and leverage is reflected in the bear case. LIMITS. Credit-loss provisions on loans held for investment ($383 million in 2025) are settled through investing cash flows and so are not deducted from operating cash; we did not adjust for this. Reported cash flow before our adjustments was $6.4 billion in 2025 versus $7.5 billion in 2024. What would make this wrong: engagement continues to fall faster than volume (pointing toward the bear case), or the 2024-25 earnings level proves durable and grows (pointing toward the bull case).
