Visa runs the world's largest card payment network. It does not lend; it earns fees each time a card is used (service fees, data processing, international transaction and currency-conversion fees, and other network services), and it pays banks and merchants incentives to issue and accept Visa. Fiscal 2025 net revenue was $40.0 billion, up 11% from $35.9 billion; revenue has grown from $15.1 billion in fiscal 2016 and fell only once, in the 2020 pandemic year (-5%). Capital needs are small (about $1.5 billion a year of capex against $23.1 billion of operating cash flow). How we measured earnings. We start from operating cash flow, then remove working-capital swings (settlement balances, client-incentive payments versus their accrual, litigation accruals timing) and deduct stock compensation ($897 million in fiscal 2025) as a real cost. Only capex needed to stand still is deducted; capex tied to growth is not. This gives owner earnings per share of $5.66 (FY2021), $6.94, $8.04, $9.67 (FY2024) and $10.30 (FY2025). Fiscal 2025 growth looks slow (+3% in total dollars, +6.5% per share) because the year absorbed a $2.2 billion provision for interchange (merchant fee) litigation that will not recur at that size; net income rose only 1.6%. We anchor on $9.67, the fiscal 2024 level, as the normal earnings level the business has already reached, rather than the litigation-depressed FY2025 print. Earlier years describe a smaller company and the 2020 dip was pandemic-driven. Growth credited. Trailing owner earnings growth was 3% in total (6.5% per share); the base case starts at 10% in year 1. The reason it is higher than the trailing figure is filed: in the first half of fiscal 2026 (10-Q filed April 29, 2026) net revenue was $22.1 billion versus $19.1 billion a year earlier (+16%) and net income $11.9 billion versus $9.7 billion (+22%), so the fiscal 2025 litigation drag is not carrying into 2026. Ten years of history back this up: revenue compounded about 11% a year, owner earnings about 17% a year, through a downturn and funded internally. We credit growth at or below that record and taper it (10% falling to 5.5% by year 10, then fading to zero by year 20), after which earnings are held flat. We do not credit new products, share gains from new payment flows, margin expansion or buybacks; cash returned to shareholders is not counted as growth. First-half 2026 cash from operations was slightly lower ($9.8 billion vs $10.1 billion), a working-capital timing effect we excluded. Bear case (about $155 per share). The US Department of Justice sued in September 2024 alleging Visa monopolized US debit network services through agreements with merchants and others, seeking an injunction; the court denied Visa's motion to dismiss in June 2025, and follow-on class actions were filed. Separately, the interchange litigation still carries opt-out merchant claims (Visa accrued $2.2 billion in fiscal 2025 and holds about $3.0 billion in a litigation escrow). The bear case assumes debit-related earnings are cut by 20% from year 3 after an adverse outcome, growth of only 4% fading to zero by year 10, and flat thereafter. That is roughly what the business is worth if the regulatory outcome is bad but the network stays intact. Base case (about $340 per share). Owner earnings compound from $9.67 at the tapering rates above for 20 years, then hold flat. The evidence is the decade-long record above, the fee-per-transaction model, and the first-half fiscal 2026 results. Bull case (about $435 per share). Growth stays near the demonstrated revenue pace, 12% in year 1 easing to 7.5% in year 10 and fading to zero by year 20, with the DOJ matter resolved without loss of debit economics. It does not assume any windfall beyond the company's own long record. What would make this wrong: a court remedy that forces Visa to give up exclusivity terms across debit and card-not-present transactions by more than we have assumed, caps on interchange fees, or a structural shift of payments away from card networks. Note that we did not subtract net debt (cash flow is already after interest), and that per-share figures use the fiscal 2024 share count (2.03 billion as-converted) which is slightly higher than the fiscal 2025 count (1.97 billion), a small conservatism. A prior analysis did not exist for comparison. Reported Q2 fiscal 2026 figures are from the 10-Q; we did not review fiscal 2026 annual results.
