Capital One is a large U.S. card lender and bank. Its main products are credit cards (domestic consumer and small business, plus the U.K. and Canada), auto loans and consumer banking. On May 18, 2025 it closed the acquisition of Discover, adding Discover's card loans and its payment network. Diluted shares rose from about 384 million in 2024 to about 621 million in the second quarter of 2026, so per-share figures before and after the deal describe different businesses. How we measure earnings. For a lender, operating cash flow is a poor guide: it adds back the provision for credit losses (a real, recurring cost, since cards charge off every year) and includes loan-sale flows. We therefore measure owner earnings as net income plus amortization of acquired intangibles, which is a sunk acquisition cost. Ordinary depreciation is treated as offset by equipment and software spending, and stock compensation is already deducted in earnings. On this basis owner earnings per share were $12.96 (2023) and $12.58 (2024). They fell to $6.31 in 2025 because Discover's loans required a one-time $8.8 billion credit-loss provision at the close, which is a purchase-accounting cost, not a repeating one. Prior years: $27.96 (2021), $18.87 (2022), $6.04 (2020, the pandemic reserve build) and $12.04 to $12.81 in 2018-2019. Amortization of acquired intangibles was $1.3 billion in 2025 and $999 million in the first half of 2026 alone; as that wasting asset runs off, reported net income will rise while owner earnings do not, so we do not count that rise as growth. Earnings level used. The combined company has not yet had a clean full year. The filing's pro forma results show 2025 income from continuing operations of $10.2 billion with the Discover provision removed. Reported net income was $2.2 billion in the first quarter of 2026 and $3.0 billion in the second, or $5.2 billion for the half. Adding intangible amortization gives roughly $12 billion a year, about $19 to $20 per share. We anchor lower, at $17 per share (about $10.6 billion a year), because that period had charge-offs near 3.3% of loans, the pro forma year is a single data point, and the older pre-Discover record (median about $12.6 per share on 384 million shares, or about $4.8 billion) shows how much earnings swing through a cycle. The first half of 2026 is two quarters and does not move the level. Trailing versus assumed growth. Owner earnings per share fell about 50% in 2025 ($12.58 to $6.31). The first year of our base case starts at $17 because the cause of the drop, the $8.8 billion provision recorded when the Discover deal closed, does not recur, and the first two quarters of 2026 confirm the recovery. Base case: about $224.73 per share. The business earns $17 per share for 30 years, the length of Capital One's record as a card lender that has come through 2008 and 2020. It includes one 2020-style downturn in year 4, when owner earnings halve (as they did from $12.04 to $6.04 in 2020), then 80% of normal in year 5. No growth is credited, and no cost savings or Discover network revenue gains are counted because they are targets, not contracted. Past year 30 nothing we can evidence continues, so the case ends. As a lender, borrowing is its raw material and interest is already deducted, so no debt is subtracted: the business is worth $224.73 per share and the difference after debt is the same figure. Bear case: about $116.44 per share. Net charge-offs were $8.4 billion (2.70% of average loans) in 2023, $10.7 billion (3.39%) in 2024 and $13.1 billion (3.30%) in 2025 on average loans of $396.7 billion. We model a card credit cycle on the 2008-2010 pattern: charge-offs roughly double to about 6.6% of loans, adding about $13 billion a year, plus a first-year reserve build of about $12 billion. That turns year 3 into a loss of roughly $11 per share and year 4 about break-even, followed by a partial recovery ($6) in year 5. Afterward earnings settle at $10 per share rather than $17 because the acquired Discover customer relationships are a finite-life asset being amortized, and the filing warns that if debit cards on three-party networks become subject to the Regulation II interchange cap, the company would not recognize most of the network revenue synergies it expected. Years 1-2 are $14. Tangible book value was $107.72 per share at the end of 2025; the bear value is only modestly above it because even after the cycle the franchise still earns about 9% on tangible equity. No equity raise is needed in the bear case because the year-3 loss is far smaller than that capital base. Bull case: about $266.50 per share. The first-half 2026 run rate of about $20 per share holds, with only a mild downturn in year 5 (to $12, then $16), and it lasts 30 years. This uses only the combined company's own reported earnings, not new products or market gains. What would make this wrong: a deeper or longer credit cycle than 2008-2010, loss of the Discover customer base faster than assumed, or a change in interchange rules for the Discover network. We could not reconcile the pro forma figure to a clean standalone year because the combined company has only the 2025 partial period and 2026 interim results. Earlier analyses used a different basis, so those figures are not comparable. Margin-of-safety price: $125. Confidence in the earnings level is moderate, not high: the combined company's cash earnings range from $11 to $20 per share depending on the credit year, and we are least sure of the credit losses and how much of Discover's earnings persist. The worst plausible outcome, a severe card credit cycle, would cut earnings sharply for two or three years, but the business has capital far above its worst modeled loss and no debt maturity that forces a sale. If we are wrong on the earnings level by a third, or on credit losses by one more year of stress, the shares would be worth about $115 to $150. Capital One paid about $1.0 billion of dividends to common holders in the first half of 2026 and repurchased $5.5 billion of stock in the same period, so the price assumes a three-to-five-year holding period during which cash is returned to shareholders. At $125 the price is about 7.4 times the $17 per-share anchor and about 1.2 times tangible book value, which leaves room for the bear case to occur and still implies a return from dividends and buybacks. That is the basis for the margin-of-safety price.

Grew by building a data-driven national credit card lender, then adding scale through large acquisitions (notably the all-stock purchase of Discover Financial, closed May 18, 2025, which brought its card portfolio and payment network) alongside organic growth in credit cards, auto lending and consumer banking, with sizeable share repurchases between acquisitions.
