Penguin Solutions (formerly SMART Global Holdings) sells three things: high-performance and AI computing systems and services (Penguin Computing and Stratus brands, $648M of fiscal 2025 sales), specialty memory modules and supply-chain services (SMART Modular, $464M), and LEDs (Cree LED, $256M). Fiscal 2025 (year ended August 2025) sales were $1.37 billion. The Brazilian business was sold and is excluded from all figures. How we measure earnings. We start from operating cash flow, remove swings in receivables, inventory and payables, subtract stock compensation as a real cost, and subtract only the capital spending needed to maintain the business. On that basis owner earnings were about $1.00 per share in fiscal 2023, $0.33 in 2024 and $1.57 in 2025. We added back cash paid on earn-outs from past acquisitions ($73.7M in 2023, $29.0M in 2024); these are one-time costs of buying businesses, not running them. Without that adjustment the figures would be -$0.44 and -$0.22. Earlier years are excluded because the company then included the Brazilian operations and predated the Stratus acquisition. Large acquisition-related intangible amortization (about $35M a year) is a non-cash charge that is added back automatically, so we did not credit any growth to offset it. We use the three-year median, about $1.00 per share, as the normal earning level rather than the strong 2025 figure. What has changed recently. Revenue in the quarter ended May 2026 jumped to $479M (up 48% from a year earlier) and net income reached $45M. But nine-month operating cash flow was only $11M versus $180M a year earlier as inventory and receivables were built up. One strong quarter does not move our earning level. Fiscal 2025 owner earnings rose from $0.33 to $1.57, but that jump reflects a working-capital-and-earn-out swing and is not a growth trend, so we assume no year-one growth. Bear case: about $2.50 per share. Owner earnings fall back to roughly $0.35, the fiscal 2024 level, when memory sales slumped and the LED segment barely broke even. The LED segment (about a fifth of sales) stays near break-even, and we credit nothing beyond about 2036 beyond a small tail. Cash comfortably exceeds the roughly $400M-plus of convertible notes, but the notes are due 2029-2030 and could dilute holders. Base case: about $11 per share. Owner earnings stay at about $1.00 per share, the three-year median, for roughly 20 years and then stop. We credit no growth: AI computing demand, memory pricing and new products are not contracted or proven repeatable, so they are excluded. The persistence rests on multi-year operating profit from all three segments ($168M segment operating income in fiscal 2025 versus $120M in 2024 and $180M in 2023). Bull case: about $21 per share. The fiscal 2025 level and the recent quarter are sustained at roughly $1.90 per share for about 20 years, reflecting Advanced Computing (segment profit $115M in 2025 versus $95M in 2024) and Integrated Memory profit ($44M versus $22M) holding on the improved base. We do not assume further growth. What could make this wrong: memory earnings are cyclical and customer-concentrated, and the stronger recent quarter may reflect temporary pricing; the company also paid $52M to repurchase shares in fiscal 2025, which supports per-share value only if cash generation holds. The margin-of-safety price is set well below the base case because outcomes are wide and depend on the memory and AI hardware cycle.
