Business condition attached to the margin of safety The export-control investigations (U.S. Attorney SDNY, SEC, Commerce BIS) resolved without a material penalty or a restriction on selling GPU-based systems, with gross margin at or above roughly 10% while revenue holds near the current level.
Super Micro Computer designs and assembles server, storage and rack-scale systems, with a heavy emphasis on liquid-cooled racks built around Nvidia GPUs for AI data centers. It is a low-margin integrator: gross margin was 10.8% in fiscal 2026 (year ended June 2026), down from 11.1% in 2025 and 13.8% in 2024. The company says the decline came from pricing aggressively to win share. Revenue grew from $7.1 billion in fiscal 2023 to $15.0 billion, $22.0 billion and $39.1 billion in fiscal 2024, 2025 and 2026. Net income was $2.23 billion in fiscal 2026. How we measure earnings. We start from operating cash flow and remove the swings from working capital, which is the money tied up in receivables and inventory as sales grow. We also deduct stock compensation as a real cost, and deduct only the capital spending needed to maintain the business, not the spending that supports growth. Fiscal 2026 operating cash flow was negative $6.8 billion because inventory rose by $8.9 billion and receivables by $3.9 billion. Setting that aside, the business earned about $2.2 billion of owner earnings in fiscal 2026. That compares with about $0.9 billion in 2025, $1.0 billion in 2024, $0.56 billion in 2023, and $0.05 to $0.27 billion a year from 2017 to 2022. One judgement matters here. Inventory write-downs ($188 million in 2026, $232 million in 2025) are treated as part of the inventory movement rather than added back as a harmless non-cash charge. They are real losses on parts the company already paid for. Which earnings level we used. The AI-server business started in fiscal 2024, so earlier years describe a much smaller company. We measured from fiscal 2024 and took the median owner earnings per share of the three years, about $1.63. That is roughly $1.35 billion of owner earnings a year on the current share base. We did not lift the level to the $2.2 billion of fiscal 2026. Only two quarters (the March and June 2026 quarters) show the higher run rate, and one customer accounted for 10% or more of sales in 2026, versus four in 2025. Owner earnings grew about 150% in fiscal 2026, but we assume no growth in year one. Only $2.6 billion of contracted future revenue was disclosed, and about $1.9 billion of customer deposits were booked in the year. Both are small next to $39 billion of annual sales. New products, share gains and a still-expanding AI market are not secured, so none of them is credited in any case. Share count. In June 2026 the company sold about $1.4 billion of common stock and $4.3 billion of mandatory convertible preferred (7% dividend, converting to common in June 2029). We value per share on about 825 million shares. That is 657 million shares outstanding, roughly 130 to 157 million shares from the preferred conversion, and about 22 million for employee awards. We also deduct about $0.8 billion for the preferred dividends. The company also carries roughly $4.6 billion of convertible notes (conversion prices $55 to $61) and several billion of credit lines. We do not subtract net debt, because interest is already paid out of operating cash flow. Leverage is instead reflected in the bear case. Base case, $11.5 per share. Owner earnings hold near $1.35 billion for five years. Nothing named in the filings, such as a moat, long contracts or a proprietary product, shows AI-system margins persisting beyond that. From year 6 they fade over five years to about $250 million, the level the company earned in fiscal 2022 before the AI boom. That level continues afterward, because a $3 to $7 billion server business with positive owner earnings every year since 2017 is the demonstrated record. Bear case, $2.9 per share. Fiscal 2025 earnings of about $0.9 billion hold for two years. Competitors and customers keep pushing gross margin down, as it has fallen from 13.8% to 10.8% in two years. Sales depend on a few large customers, and the company must keep buying scarce components as needed and risks obsolete stock. Owner earnings then fall over three years to about $60 million, the pre-2022 norm. The preferred converts at its maximum share count, about 157 million shares. Bull case, $20.0 per share. Fiscal 2026 owner earnings of $2.2 billion hold for seven years, then fade to $250 million by year 11. Rising customer deposits and the record year support this. It requires margins to stop falling and the customer mix to keep diversifying. What could make this wrong. A change in the export-control investigations or in the company's compliance record is the most direct risk. On March 19, 2026 the U.S. Attorney's Office (SDNY) unsealed an indictment of three individuals associated with the company, including a former senior vice president and director, for alleged export-control violations involving restricted GPU products. The company is not named. It has cooperated, and its independent investigation found no evidence of company involvement in the conduct. The SEC, SDNY and the Commerce Department's export-control bureau (BIS) have all subpoenaed or requested documents. Potential fines or restrictions are not quantified in the filing, so no amount is included in any case. The company also previously filed its annual reports late, and the filing notes prior control weaknesses; we treat these as reasons for a wide margin of safety. On the other side, the fiscal 2026 owner-earnings jump is not fully reflected in our base case. If the June 2026 quarter's earnings power proves durable, the true value is higher. Our range excludes the rising customer deposits and any growth beyond what is secured. Margin-of-safety price. The margin-of-safety price is about $5.50, roughly half of the base case. Deep uncertainty about durability, a thin and declining margin, customer concentration, heavy leverage, and the open investigations justify a large margin of safety.
