Northwest Bancshares is the holding company for Northwest Bank, a community bank with roughly 150 years of operating history and branches mainly in Pennsylvania, plus Ohio, New York, Indiana and Michigan. It earns money from the spread between what it charges on loans and pays on deposits (net interest income was about $525 million in 2025) and from fees on banking, insurance and wealth services. On July 25, 2025 it acquired Penns Woods Bancorp (Luzerne Bank and Jersey Shore State Bank), lifting shares outstanding from about 127.5 million to about 146.1 million. How we measured earnings. We started from cash generated by operations, removed swings in other assets and liabilities, deducted stock compensation (about $6 million a year) and deducted all branch and equipment spending as maintenance (about $2-18 million a year; growth spending is immaterial for a bank). Owner earnings per share over 2015-2025 ranged from $0.77 to $1.38 with no clear upward trend: about $0.80 in 2015-16, $1.25-1.30 in 2017-18, $0.77 in 2020, $1.24-1.38 in 2021-23, $0.89 in 2024 and $1.14 in 2025. We used 2020-2025, the period since the MutualFirst acquisition reshaped the company and through a full rate cycle, and took the median, about $1.18. Because the Penns Woods deal added about 15% more shares, we set the normal level a little lower, at $1.15 per share. Growth in the bag: none. Earnings growth at a bank depends on loan growth, rates and further acquisitions, none of which is contracted or has a steady, self-funded small-step record, so no growth is credited. Interest income from the Penns Woods deal is already in the 2026 first-half numbers (net income $104 million versus $77 million a year earlier) but we did not raise the level on two quarters of data. The 2025 rebound (+27% over a weak 2024) is a return to normal, not growth. Base case: $1.15 per share a year, flat, for 40 years, reflecting a long-established deposit franchise whose earning power has held in a $0.8-$1.4 range for a decade; worth about $17 per share. Bear case: earnings fall back to the $0.80 seen in 2015-16 and 2020, as when credit costs and rate pressure hit (net charge-offs ran 0.32% in 2022 against 0.20% in 2025; the provision for credit losses rose 127% in 2025, partly from acquired loans), and stay there for 25 years; about $9.50. The acquired Penns Woods loans were not underwritten to Northwest's standards, which the company itself flags. Bull case: the 2022-2023 level of about $1.38 is sustained for 40 years; about $21. Cost savings from the Penns Woods integration are not credited as they have not yet been demonstrated. What would make this wrong: a credit cycle worse than 2020, funding costs staying above loan yields, or acquisition-related write-downs. Upside would come from the Penns Woods earnings running above our normalized level for several more quarters. Working-capital-type balance sheet items at banks are volatile (2023 cash flow was depressed by a $118 million swing in other assets, which we neutralized); the reconciliation of net income to cash flow was not fully rebuilt line by line and the resulting series is judged reasonable rather than exact.
