WHAT THE BUSINESS IS Limbach Holdings installs, services and replaces the mechanical, electrical, plumbing and control systems in large buildings, mainly in the Eastern and Midwestern United States. It reports two segments. Owner-Direct Relationships (ODR) is work done directly for building owners, such as service and maintenance, equipment replacement, retrofits and smaller capital projects for hospitals, manufacturers, data centers, universities and similar facilities. It produced $485.7 million of 2025 revenue (75% of the total) and $129.9 million of gross profit. General Contractor Relationships (GCR) is construction work for general contractors and construction managers; it produced $161.1 million of revenue and $39.4 million of gross profit. Management is deliberately shrinking GCR toward smaller, shorter projects because large, complex jobs have historically been riskier. No customer was above 10% of revenue in any of the last three years. Backlog at year-end 2025 was $255.8 million in ODR and $141.8 million in GCR; firm remaining performance obligations were $234.3 million and $141.8 million, about 80% of which the company expects to recognize during 2026. HOW WE MEASURED EARNINGS We start from operating cash flow, take out the swings from contract billings and receivables (which are large and lumpy for a contractor), then subtract stock compensation and the portion of equipment spending needed to keep the business running. On that basis owner earnings per share were roughly $1.0 (2017), $0.03 (2018), $1.4 (2019), $2.1 (2020), $2.0 (2021), $1.9 (2022), $2.7 (2023), $3.5 (2024) and $5.1 (2025). The 2018 and 2019 working-capital figures are derived from the difference between reported cash flow and the disclosed non-cash items rather than read from a single line. Amortization of acquired intangibles ($8.4 million in 2025) is a non-cash charge and is not deducted; instead we do not credit any growth from acquisitions, so acquired customer relationships are not treated as permanent. The starting level we use is the median of 2023 to 2025, $3.50 per share. That window begins when the owner-direct mix and higher profits took hold; earlier years describe a smaller, GCR-heavy company. We then reduced it to about $3.10 per share. The company spent $4.4 million in 2025 (and $2.7 to $3.0 million a year in 2021 to 2024) on principal payments for finance leases, mostly vehicles, which is equipment spending that does not appear as capital expenditure. That is roughly $0.30 to $0.36 per share of recurring cost. The 2025 figure of $5.11 also flatters the level: it includes working capital that grew with revenue and only a half-year of the Pioneer Power acquisition, whose purchase price of about $66 million was itself roughly equal to a full year of owner earnings. Growth check. Owner earnings grew about 46% in 2025 (from $3.50 to $5.11), driven by acquisitions and revenue growth. We assume 0% in the first year of every case. The first half of 2026 shows why: revenue rose 13% to $312.3 million, but gross profit fell from $76.5 million to $68.5 million (gross margin about 22% versus 28%) and operating income fell from $18.6 million to $8.4 million, with both quarters showing the same pattern. The quarterly filing text was not available to us, so we could not confirm the cause and we treat it as unexplained. The 2025 annual report attributes part of the ODR margin decline (31.2% to 26.7%) to acquired businesses that earn lower margins, and to project write-ups in 2024 that did not repeat. GROWTH WE CREDITED AND WHAT WE LEFT OUT No growth is credited in any case. The company has bought a business every year since 2021, but it funds those purchases from the same cash flow we count as owner earnings, so counting both would double-count. Organic ODR growth ($58.8 million of extra revenue in 2025), margin expansion, data-center demand and management's stated margin targets are not secured or proven over a full cycle, so they are excluded. THE THREE CASES Bear (about $12.50 per share): Margin pressure seen in the first half of 2026 persists and earnings settle near the 2020 to 2022 level of roughly $2.00 per share before finance-lease costs, about $1.70 after. That level is held for ten years and then treated as worth nothing, because we can point to no specific driver beyond that. This reflects the demonstrated record before the owner-direct shift and the risk that acquired businesses keep earning lower margins. Base (about $30.50 per share): Owner earnings of about $3.10 per share held flat for ten years. After year ten, ten more years at 60% of that level, reflecting the recurring service and replacement demand from hundreds of building-owner relationships and a broad customer base, with no growth added. Nothing beyond year twenty is credited. Bull (about $46.20 per share): Owner earnings of about $4.70 per share (the 2025 level less finance-lease costs), which the business has already demonstrated in a full year, are sustained for ten years and then 60% of that for ten more. This requires the first-half 2026 margin decline to reverse, and the Pioneer Power acquisition to contribute a full year at the margins seen in 2025. WHAT WOULD MAKE THIS WRONG If the margin decline in 2026 continues into a third and fourth quarter, the base case is too high and the bear case is closer to the truth. Contract estimates on fixed-price jobs can also move results sharply; in 2025 the company recorded gross profit write-downs on two ODR projects ($1.1 million) alongside write-ups on two GCR projects ($2.2 million). Also, $1.1 million of customer receivables were written off in 2025. In the other direction, if 2026 margins recover to 2025 levels, the bull case becomes the more relevant one. In 2025 the company drew $73.8 million on its revolving credit facility and repaid the same amount within the year, so the company appears to have used the facility for timing rather than holding lasting borrowings; we did not otherwise analyze the balance sheet. MARGIN-OF-SAFETY PRICE About $16 per share, roughly 47% below the base case and about 28% above the bear case. Contractors carry fixed-price project risk and the recent margin decline is unexplained, so the margin of safety is set wide. From that price, the base-case owner earnings of about $3.10 imply a yield of about 19%.
