Business condition attached to the margin of safety Document Services volume and consolidated operating cash flow visibly recover toward pre-2025 levels in reported quarterly results (i.e., the backlog refill management described actually shows up in the numbers, not just in guidance).
Intellinetics helps organizations manage and process documents, through two related businesses. The Software segment sells cloud-based document management subscriptions, with a customer base spread across many state and local government agencies, school districts, and construction and homebuilding companies. The Document Services segment converts, scans, and processes paper records for customers, with one very large relationship: the State of Michigan, which alone accounts for roughly 40% of total company revenue, under a contract that was renewed in mid-2025 and now runs through May 2031. 2025 was a rough year: total revenue fell 8%, driven almost entirely by a temporary gap in Document Services project volume that opened up around the Michigan contract's renewal date, while the company was simultaneously increasing spending on sales, marketing, and administration to support future growth. Management has said it has since taken new orders to refill that project backlog. However, the most recently reported results, for the first half of 2026, still show revenue running below year-ago levels and cash from operations running negative, so we treat the promised recovery as not yet fully confirmed by the numbers, and we have built that uncertainty into our estimate rather than assuming the turnaround lands on schedule. The company also has a new CEO as of February 2026, following the retirement of the prior chief executive. On the plus side, Intellinetics enters this period with a clean balance sheet: it fully repaid its outstanding debt in 2025, funded partly through a modest stock offering, so there is no leverage overhang to worry about. We estimate the normalized cash-generating power of the business today, after removing the effect of swings in receivables and payables, subtracting the real cost of stock-based compensation, and setting aside only the spending needed to maintain (rather than grow) the business, at a little under 9 cents per share. That figure is based on the last four fiscal years, the period since the company's last major acquisition reshaped it into its current two-segment form. Because roughly 40% of revenue sits with a single government customer whose contract must be renewed again in 2030, that renewal is the single biggest swing factor in what this business is worth, and our three cases are built around it: In the bear case, the recent softness persists longer than management expects, and when the Michigan contract comes up again in 2030 it is not renewed, or is renewed on much smaller terms; growth in the Software segment only partly offsets the loss. This case values the shares at roughly $0.17. In the base case, the current dip proves temporary as management has described, the Software segment's subscription growth (up 11% in 2025 even as the rest of the business struggled) increasingly carries the company, and the Michigan relationship renews again in 2030 on broadly similar terms. This case values the shares at roughly $2.26. In the bull case, the recovery happens faster than guided, Software growth accelerates as construction and school-district budget pressures ease, and the government relationship both renews and expands. This case values the shares at roughly $5.93. In both the base and bull cases, more than two-thirds of the estimated value depends on what the business is likely to keep earning many years from now, beyond the ten years we forecast in detail - a reflection of how much a small, recurring-revenue business like this can compound if its government and software relationships hold up over time. It also means the estimate is more sensitive than most to whether those long-term relationships in fact persist. Given how much of the outcome rides on a single customer relationship, and on a recovery that has not yet clearly shown up in the numbers, the margin-of-safety price is set at a substantial discount to our base-case estimate, and it depends on the promised operating recovery actually appearing in reported results, not just in guidance.
