PROCORE TECHNOLOGIES, INC. (PCOR) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety Owner earnings after stock compensation positive for at least two consecutive fiscal years, with stock compensation no longer growing faster than revenue.
Procore sells a cloud-based construction management platform to owners, general contractors and specialty contractors. Substantially all revenue is subscriptions recognized ratably. Revenue grew from $514.8 million in 2021 to $1,322.5 million in 2025, and about 85% of 2025 revenue came from U.S. customers. How we measure earnings. We start with operating cash flow, remove the swings from working capital, subtract stock-based compensation as a real cost, and subtract only the maintenance portion of capital spending. Capital spending includes capitalized software development ($65.7 million in 2025) as well as property and equipment ($18.1 million). Working capital has been a steady tailwind for Procore because customers pay subscriptions in advance: deferred revenue rose by $100.1 million in 2025. Removing that inflow is deliberate, because it depends on continued billing growth rather than on profit. What the numbers show. Operating cash flow rose from $12.6 million in 2022 to $92.0 million (2023), $196.2 million (2024) and $300.3 million (2025). But stock compensation was $238.4 million in 2025, up from $186.9 million in 2024, and it absorbs nearly all of that cash flow. After removing the working-capital inflow ($59.9 million in 2025), stock compensation and maintenance capital spending ($73.8 million), owner earnings per share were about -$2.86 (2021, the year of the IPO), -$1.83 (2022), -$0.97 (2023), -$0.49 (2024) and -$0.48 (2025). The trend improved sharply through 2024 and then stalled in 2025, when stock compensation rose about 28% against revenue growth of about 15%. The company reported a net loss in each of 2021 through 2025 (2025: $100.8 million). Diluted shares outstanding rose from 136.5 million in 2022 to 150.2 million in 2025. Cases. Because owner earnings were negative in every year we measured, and nothing we can name and evidence turns them positive, all three cases are valued at $0 per share. In the bear case, stock compensation keeps consuming the cash the business generates. The base case is the same, since the 2024 to 2025 record shows no further improvement. In the bull case we did not credit continued revenue growth or further margin gains. Revenue growth has slowed each year (about 40%, 32%, 21% and 15% from 2022 to 2025), and improved margins are a hope rather than something already locked in. A $0 value does not mean the business is worthless; it means that on our conservative measure the shareholders' share of earnings has not yet appeared. Note that if stock compensation were ignored, cash flow after capital spending would look comfortably positive (about $166 million in 2025), so the result is very sensitive to how the reader treats stock pay. Other items. In early 2026 the company agreed to purchase Datagrid, an AI provider for the construction industry, for about $190 million in cash, and cut about 4% of its workforce in January 2026 (estimated charges $6.6 million). We did not credit any benefit from either. Accrued liabilities added $64.4 million to 2025 cash flow, from bonus, commission and payroll accrual timing; we removed this as working capital, so it does not flatter our figures. What would make this wrong. If stock compensation stops growing while revenue keeps rising at double-digit rates, owner earnings could turn positive within a few years, and the value would then be materially higher than $0. Improvement from -$1.83 to -$0.48 per share between 2022 and 2025 shows the direction of travel, and the estimate will be revisited when it is demonstrated rather than projected.
