Hamilton Lane manages and advises on private-markets programs (private equity, private credit, infrastructure and real assets) for pensions, endowments and, increasingly, individual investors. In the year to March 2026 it earned $584M of management and advisory fees (up 14%) and $171M of incentive fees, which are carried interest and are volatile. Management fees come from long-dated specialized funds (about $374M) and customized separate accounts (about $142M). Each fund is typically committed for many years, which makes this revenue largely contractual until the fund is wound up. Incentive fees fell 14% in fiscal 2026 and are treated as less predictable. How we measured earnings: owner earnings are operating cash flow, less working-capital swings (mainly the timing of fees receivable, which swung by tens of millions of dollars in fiscal 2024 and 2025), less equity compensation ($51M in fiscal 2026, rising quickly from $12M in fiscal 2024), less maintenance capital spending (small, about $5M). The result is per fully exchanged share (about 54.5M, counting units held by the founders and employees). By that measure owner earnings per share were $2.60 (fiscal 2024), $4.47 (2023), $5.85 (2025) and $6.08 (2026). We anchor on the median of fiscal 2023 to 2026, $5.16. Earlier years describe a smaller firm. Fiscal 2024 was depressed by a large build in fees receivable and carries weight in the median. The latest year grew about 4%, so year one assumes 4%, not the 14% management-fee growth. Base case ($85 per share): $5.16 grows 4% a year for five years and 3% for the next five. We credit this because management fees on existing funds are contractual and the firm has re-raised successor funds for two decades, including through 2008 and 2022. After year ten we hold earnings flat for about fifteen more years. That is the same successor-fund mechanism operating without growth, and after that we assume nothing. Bear case ($31): earnings run at about $3.20, close to the fiscal 2024 level already seen. Incentive fees are minimal, fundraising for successor funds stalls, and rising equity compensation eats the fee income. Existing fund fees persist for ten years and then run off to zero over another ten. The firm has some leverage (a term loan) and a tax-receivable agreement, and both are charged only here. Bull case ($120): earnings start near the recent $6.00 and grow 8% a year for five years, then 4%. This continues the evergreen and specialized-fund fee growth already visible (evergreen fund fees up $72M in fiscal 2026). Earnings then stay flat for about fifteen further years. What would make us wrong: a lasting drop in successor-fund raising, fee compression, incentive-fee declines being permanent, or equity compensation continuing to rise faster than fees. Part of operating cash flow comes from consolidated funds and from fund-distribution proceeds. We could not fully separate these from core fee cash. The first quarter of fiscal 2027 showed strong revenue ($275M versus $176M a year earlier), but we did not raise the earnings level on one quarter. The margin-of-safety price of $48 is set with a large allowance for the bear case, because incentive fees are cyclical and the business depends on market-linked capital raising.
