Global Industrial Company is a North American, business-to-business distributor of industrial equipment, MRO (maintenance, repair and operating) supplies and material handling products. It sells hundreds of thousands of branded and private-label items through a network of e-commerce sites and an outbound relationship-marketing sales force, competing against Grainger, MSC Industrial, Fastenal, Uline and, increasingly, Amazon Business. Roughly a third of its private-brand goods are sourced from China and other Asian suppliers, which is the single most important risk to watch. The business itself is asset-light: it leases most of its distribution centers, spends well under 1% of revenue on capital equipment each year, and carries no debt (its revolving credit line was undrawn at the end of fiscal 2025). The company as it exists today is the product of a multi-year transformation. It was formerly Systemax Inc., a multi-segment direct marketer that also owned the TigerDirect consumer electronics retailer and a European B2B distribution business; the European unit was sold in 2018-2019 and reported as discontinued operations, including a one-time $33 million after-tax gain that showed up in 2021 results as the sale was finalized. We measured owner earnings only from fiscal 2019 forward, once the company had become the single-segment industrial distributor it is today; the years before that reflect a different, larger business with one-off tax and disposal items that would badly distort any valuation built on them. Over 2019-2025, owner earnings (cash from continuing operations, less the swing in working capital, less stock compensation, less the portion of capital spending needed just to maintain the business) ran between about $1.30 and $2.06 per diluted share, with a median of roughly $1.85. That figure is our anchor for what the business earns for its owners in a typical year. Working-capital swings were often large in either direction - the company built inventory heavily in 2021-2022 as it stocked up amid supply-chain disruption, then released a large amount of cash from inventory in 2023 - and we removed those swings rather than let a single year's build or release drive the valuation. Looking ahead ten years, we expect the business to keep taking modest share in a large, fragmented MRO distribution market through its digital marketing and private-brand economics, growing owner earnings per share at roughly 5% a year in our base case - slower than the 8%+ growth posted in the first half of fiscal 2026, which we think partly reflects prices catching up to tariff-driven cost increases rather than a sustainable new growth rate. Because the assets that produce these earnings - inventory, receivables, warehouses, digital infrastructure - are continuously renewed by the maintenance capital spending already deducted from owner earnings, and because nothing about the business has a fixed expiration date the way a patent or a single customer contract would, we think it is reasonable to value the years beyond our ten-year forecast as a going concern rather than assuming the business runs down to zero. We capped the assumed growth in that indefinite period at about 1% a year, which keeps the value of that distant period from running away with the whole analysis, even though the company's own moat probably supports a bit more. That distant period nonetheless accounts for roughly two-thirds of our base-case estimate, which is worth being direct about: a meaningful part of what we think these shares are worth rests on Global Industrial still being a going concern of similar scale a decade or more from now. Our bear case - roughly a one-in-ten outcome - assumes tariffs on Chinese-sourced goods stay elevated or increase further and the company cannot fully pass the added cost through in a business where customers can easily price-check against Amazon and Grainger, compressing margins meaningfully; combined with a manufacturing-sector slowdown that curbs order volumes, owner earnings per share falls back toward the roughly $1.30 low seen in 2019 and stays there for an extended period before the business stabilizes. That produces a value of about $22 a share. Our bull case - roughly a one-in-ten favorable outcome - assumes the company continues to consolidate share from smaller independent distributors, private-brand mix keeps expanding gross margin, and share buybacks continue, sustaining high-single-digit percentage growth in owner earnings per share for several years; that produces a value of about $74 a share. Our base case, the middle of the range, comes to about $51 a share. Given the spread between our bear and base cases, the margin-of-safety price is near $31 a share, set to offer a reasonable margin of safety against the risks above, and it does not depend on a business condition (such as a resolution of tariff uncertainty) that has not yet occurred. We did not find anything in the filings - no going-concern language, no related-party or accounting irregularities, no unusual customer or supplier concentration - that could not be reconciled with the numbers reported.
