Business condition attached to the margin of safety Cash burn below about $50M a year, or a signed partner contract with cash paid upfront.
Fate Therapeutics is a clinical-stage biotechnology company in San Diego, California. It develops off-the-shelf cell therapies from engineered stem-cell-derived NK and T cells, aimed at cancer and autoimmune disease. It has no approved product. Revenue has been small collaboration income, mainly from Janssen and Ono: $63.5M in 2023, $13.6M in 2024 and $6.6M in 2025. Over 2020 to 2025, our owner-earnings measure (operating cash flow, less working-capital swings, stock compensation and maintenance capital spending) was negative every year. It ranged from about $(0.63) to $(4.15) per share, and was roughly $(1.01) per share in 2025. We therefore have no positive earnings level to anchor a valuation. We measured the last six years and set the earlier years aside because the share counts were not available in the data we used. The 2023 figure was helped by an unwind of partner payments received earlier, not by improving operations. Operating cash flow was $(106)M in 2025 against $(123)M in 2024, which is an improvement but still a large burn. The company's auditors report no substantial doubt about continuing as a going concern for the next twelve months. The balance sheet held about $154M of cash and investments at June 30, 2026 and carries no meaningful debt. At the recent burn of roughly $100M a year, that is about one and a half years of funding. Shareholders have also been diluted, with the diluted share count rising from about 82M in 2020 to about 119M in 2025. We value only what is contracted or already demonstrated. No product is approved, no royalty stream is contracted, and no repeatable earnings process exists. The pipeline therefore adds $0 in every case. The cash is the only evidenced asset. Bear case: about $0 per share. The cash is spent on trials and fixed costs, further dilution or a wind-down leaves little for existing shares, and no partner payments replace the lost revenue. Base case: about $0.25 per share. Management cuts spending and preserves a modest slice of the current cash, and nothing is credited beyond that. Bull case: about $1.00 per share. Spending is cut sharply, most of the cash is preserved, and the company retains the value of that cash. This is close to today's cash per share and includes no pipeline value. This would be wrong on the upside if a clinical readout or a new partnership with upfront cash creates value that we have deliberately excluded because none is contracted today. It would be wrong on the downside if the burn exceeds the recent run-rate and financing is only available on heavily dilutive terms.
