Business condition attached to the margin of safety Vispa-cel pivotal trial fully funded on non-dilutive terms (partner or milestone-based financing) with FDA agreement on trial design.
Caribou Biosciences is a clinical-stage biotechnology company developing off-the-shelf (allogeneic) CAR-T cell therapies for blood cancers, using CRISPR gene editing. Its lead candidate, vispa-cel (CB-010), targets second-line large B-cell lymphoma; CB-011 targets multiple myeloma. It has no approved product. Revenue is small collaboration and licensing income ($11.2M in 2025, $3.9M in the first half of 2026), and it fell sharply from $34.5M in 2023. What the business earns today: nothing. Cash from operations was negative every year: about -$91M (2022), -$93M (2023), -$138M (2024) and -$111M (2025), and -$50M in the first six months of 2026. After also removing stock compensation ($12.7M in 2025, a real cost paid in shares) and capital spending, and stripping out timing effects (for example $29.6M of upfront partner cash received in 2021, and its later unwind), the business consumed roughly $1.3 to $2.1 per share every year from 2021 to 2025. There is no stream of earnings to discount, so the valuation rests on what is already in hand. What is in hand: $113.8M of cash and investments at June 30, 2026, about $1.13 per share on roughly 101 million shares. Management says this funds operations for at least 12 months, so we do not see a near-term solvency warning, but the company itself states it does not have enough money to run the planned randomized pivotal trial of vispa-cel (about 250 patients) and will need to raise more capital. Cash has fallen from $413M at the end of 2021 and $142.8M at the end of 2025. Share count has tripled since 2021 (32M to 101M), so past funding has diluted holders heavily. Bear case ($0 per share): the pivotal trial cannot be funded on acceptable terms, or the FDA does not accept the proposed design, and the remaining cash is consumed by ongoing operations and wind-down costs before any return. Nothing that is contracted or proven produces value beyond the cash, and the cash is spent. Base case ($0.50 per share): spending continues at a rate near current levels for roughly another year, after which the program is cut back or partnered on terms that leave shareholders with about half of today's cash per share. We credit no growth: no drug approval, milestone or royalty stream is secured. The Pioneer (agriculture) licence offers up to $22.4M in milestones and low-single-digit royalties, but they depend on regulatory and commercial events that have not occurred, so we assign them nothing. Bull case ($1.10 per share): operations are scaled back quickly and the balance of today's cash, about $1.13 per share, stays with shareholders. We did not add value for a successful pivotal trial and approval of vispa-cel, because that outcome has not been demonstrated: the trial has not started and the design is still under FDA discussion. If it does succeed, the company could be worth much more than this; our method deliberately credits only what is evidenced today. What could make this wrong: positive vispa-cel data or a well-funded partnership would move value far above these figures. Ongoing disputes over foundational CRISPR-Cas9 patents (several interference proceedings at the US Patent Trial and Appeal Board) are an additional uncertainty and were not required for this valuation. Because the company burns cash and future dilution is likely, the margin-of-safety price is set well below the cash per share, a very large margin of safety for a micro-cap-sized, pre-revenue business.
