American Superconductor (AMSC) makes equipment that keeps electric grids and heavy industry stable: reactive-power and voltage-regulation systems, medium-voltage capacitor banks, rectifiers and transformers sold to utilities, renewable developers, semiconductor and mining plants, plus ship protection systems for the US Navy. A smaller Wind segment sells electrical control systems and licenses turbine designs, mostly to Inox Wind in India. Revenue rose from $106 million in the year to March 2023 to $299 million in the year to March 2026, and to $94 million in the June 2026 quarter alone. Much of that growth was bought: NEPSI, Neeltran, Megatran/NWL (August 2024) and, in December 2025, Comtrafo, a Brazilian maker of large power transformers, for 300 million reais in cash, shares, 169 million reais of real estate and transport assets, and an earn-out of up to 382.5 million reais (roughly $70 million) payable if Comtrafo meets EBITDA targets over three years. The acquisitions were funded mostly by issuing stock, and the diluted share count has risen from about 14 million in 2017 to about 48 million today. What the owners actually earn. We measure the cash the business produces for shareholders: operating cash flow, with temporary working-capital swings removed, less the cost of stock paid to employees and less the capital spending needed to maintain the plants. On that basis AMSC lost money for owners in eight of the last ten years, roughly breakeven in fiscal 2024, earned about $14 million in fiscal 2025 and about $28 million in fiscal 2026 (63 cents per share). Fiscal 2019's positive figure came from a one-time legal settlement and is excluded. The reported fiscal 2026 net profit of $134 million is not a guide: $119 million of it is a non-cash accounting credit from recognizing past tax losses, though those losses are real economic value because they should shelter the company from cash income taxes for years. Fiscal 2026 owner earnings include about $6 million of interest on the company's cash pile; because we add that cash to the value separately, we strip the interest out and treat the operating business as earning about $21 million a year. Only fiscal 2026 describes something close to today's business, so that is our starting level; the strong June 2026 quarter is encouraging but a single quarter does not move it. Comtrafo contributed $21.9 million of revenue and a $3.2 million loss in its first four months, so we credit it with no profit yet. What is in the bag. At March 31, 2026 the company had $282 million of contracted orders due to be delivered within twelve months and a further $97 million over the following five years, which supports holding revenue near today's level, not growing it. We credit no growth from data-center or semiconductor demand, new products or margin expansion, since none of it is secured. The growth-path check: owner earnings roughly doubled in fiscal 2026, while our base case assumes about 5% in year one and then flat, well below that trailing pace. Base case: the operating business earns $21-22 million a year for ten years on its contracted order book and existing franchises, then fades to about $18 million for a further twenty years as the installed base and service work keep going but nothing we can name extends growth. That is worth about $276 million. The company has no debt. It held $144 million of cash in June 2026; we hold back $25 million for operations and subtract an expected $35 million of Comtrafo earn-out payments, adding about $84 million. Total about $360 million, or $7.42 per share. Bear case: the industry's own record supplies the downturn. In fiscal 2017-2018 Inox stopped taking deliveries and revenue fell from $96 million to $48 million while owner losses reached $24 million a year; Inox still supplies about 16% of revenue and the filing notes it has historically failed to take delivery of forecast quantities. We assume one year at today's level, then a two-year grid and wind slowdown of similar severity with losses of $8 million and $12 million, a slow recovery to about $9 million a year, and the story ending after twenty years. Comtrafo underperforms, so only about $20 million of earn-out is paid. The business is worth about $58 million, plus about $99 million of net cash, roughly $156 million or $3.22 per share. Most of the bear value is the cash. Bull case: the acquired businesses are integrated as planned, Comtrafo earns its targets (so the full earn-out of about $70 million is paid), and the operating business reaches $28-30 million a year by year three on the existing order book and full-year Comtrafo revenue, which held at that level indefinitely is worth about $474 million. Less the larger earn-out, net cash adds $49 million: about $523 million, or $10.78 per share. Changes since our previous analysis. The previous figures were built on a different basis and are not directly comparable. The business itself moved: fiscal 2026 cash earnings for owners came in higher than they first appeared once the large build in receivables and inventory from rapid growth is set aside, and the June 2026 quarter was strong. Against that, Comtrafo has so far lost money and the earn-out adds a cash obligation. Other things a reader should know. Management and the auditor concluded that internal control over financial reporting was not effective at March 31, 2026, because of errors in the purchase accounting for Comtrafo, and Comtrafo was excluded from the control assessment. We believe the reported cash figures are reliable, but this lowers our confidence in segment-level profitability. Brazilian results also bring exposure to the real. Margin of safety price. We are not confident in the earnings level: the business has produced meaningful owner earnings in only two years of the last ten, and most of today's revenue comes from businesses owned for less than two years. The worst plausible outcome is a repeat of the Inox and grid-spending downturns that sent this company into years of losses, perhaps alongside a Comtrafo write-down. With no debt and over $140 million of cash, the company would survive that, but it has historically raised equity in hard times, which dilutes holders. If we are wrong about the durability of grid demand, Comtrafo's profitability or Inox's orders, the shares are worth roughly the cash plus a modest business, near the bear figure. Over the holding period, the business pays no dividend. The margin-of-safety price is $3.50: at that price nearly all of the price is covered by net cash and the downturn-tested bear value, and if the base case simply holds, the shares would have to roughly double within about four years to reach it, which implies a 20% annual return without needing the bull case to come true.

Sales geography
United States (Northeast, South, Midwest, West) about 58% of revenue through the Grid segment including US Navy ship protection systems; India (wind turbine electrical controls sold to Inox Wind) and other Asia Pacific including Japan and South Korea about 30%; Brazil and other South America about 8% and rising after the Comtrafo acquisition; Europe, Middle East and Africa about 4%.
Historical growth strategy
Growth has come mainly from acquisitions paid for largely with newly issued shares (Infinia/NEPSI 2020, Neeltran 2021, Megatran/NWL 2024, Comtrafo of Brazil 2025), layered on organic demand for grid-reliability equipment, US Navy ship protection systems and licensing/supplying wind turbine electrical systems to Inox Wind in India. Share issuance has also funded operations through long loss-making periods.
Chart analysis
A chartist would describe a long basing pattern after the stock's 2011 collapse and reverse split, with the shares languishing in single digits through 2023, followed by a powerful multi-year breakout in 2024 and 2025 as grid-equipment demand became a market theme. The advance was steep and volatile, with sharp pullbacks around equity offerings (including the June 2025 offering at $28) and earnings releases. Technicians would view the long-term trend as up but extended, with high volatility and heavy reliance on momentum, and would watch whether prior breakout levels hold as support on any correction.
