Xencor is a clinical-stage antibody engineering company with its headquarters in Pasadena, California. It licenses its XmAb protein-engineering technologies to larger drug makers and collects upfront payments, milestones and royalties. It also spends heavily on its own drug candidates. It is running Phase 1 or Phase 2 trials for five wholly owned candidates: XmAb819, XmAb541, XmAb942, plamotamab and XmAb657. Partners sell two products built on its technology: Alexion/AstraZeneca sells Ultomiris and Incyte sells Monjuvi. What the business has actually produced. We measure owner earnings as operating cash flow with working-capital swings removed, less stock-based pay and less the capital spending needed to keep the business running. From 2016 to 2025 this figure was positive in only three years: 2016, 2019 and 2021. Each of those years was driven by large licensing deals. In the other seven years the business consumed cash. The last three years best describe the business as it is today. Owner earnings were about -$2.83, -$3.45 and -$3.06 per share in 2023, 2024 and 2025, and we start from the -$3.06 median. In dollars, 2025 was -$227 million, almost the same as -$225 million in 2024. The first half of 2026 ran at a similar or slightly heavier pace. Research spending in the second quarter was up about 17% from a year earlier. Two accounting judgements matter. First, in November 2023 Xencor sold much of its Ultomiris and Monjuvi royalties to OMERS for $215 million upfront. Those royalties still appear as revenue ($80 million in 2025), but the money goes straight to OMERS, so we exclude them. We also treat the upfront proceeds as financing rather than earnings. The company's amended 2023 annual report did the same. The original report had shown 2023 operating cash flow of positive $85 million; the amended report shows negative $78 million. Second, we count stock-based pay (about $43 million in 2025) as a real cost. The drivers we can name. (1) Cash and investments of about $565 million at June 30, 2026, or about $7.45 a share. This includes $78.6 million of shares in partner companies such as Zenas BioPharma. (2) Royalties coming back to Xencor. From January 2026, OMERS takes only the first $35 million a year of Ultomiris royalties, and the rest goes to Xencor. Ultomiris royalties were $70.1 million in 2025 and run until the patents expire in December 2028. Monjuvi royalties return to Xencor once OMERS has collected $29.3 million; about $21 million had been paid through 2025. Monjuvi's U.S. patent runs to 2033. (3) Spending. Management says its current resources fund operations through 2028, and the filings describe no plan beyond that. Base case, $2.18 per share. Spending stays at about $220 million a year before interest income, close to the 2025 and early-2026 pace. Xencor keeps about $35 million a year of Ultomiris royalties for 2026 to 2028 and about $11 million a year of Monjuvi royalties through 2033. On this path, owner earnings improve from -$227 million in 2025 to about -$195 million over the next twelve months. All of that improvement comes from the dated royalty step-downs in the 2023 agreements, not from any assumed trial success. About $168 million of cash would remain at the end of 2028. We give the wholly owned pipeline no value. Every program is in early or mid-stage trials, and the company's record does not yet show that this spending returns what it costs. Any spending after 2028 would need new money. We assume it is raised at a fair price, so it neither adds nor removes value for today's shareholders. Bear case, -$0.25 per share. Spending rises to about $245 million a year, in line with the second-quarter 2026 pace. Ultomiris royalties settle near their 2024 to 2025 average. The partner-company shares lose half their value; they already fell $33.9 million in the first half of 2026. Cash drops to about $35 million by the end of 2028 and no program gets further funding. About $50 million of lease commitments remain on the Pasadena headquarters, whose lease runs to July 2035. In this case the company appears to owe slightly more than it is worth, by roughly $19 million or about 25 cents a share. Bull case, $4.79 per share. Spending holds at the 2025 level, Ultomiris royalties keep growing, and partners pay contracted milestones. In January 2026 Zenas reported a positive Phase 3 trial of obexelimab in IgG4-related disease and planned a U.S. filing for the second quarter of 2026. Xencor can earn up to $460 million in milestones from Zenas, plus royalties. Amgen is running two Phase 3 trials of xaluritamig in prostate cancer, with up to $225 million in milestones plus mid- to high-single-digit royalties. Incyte's Monjuvi program still carries milestones. We credit about $150 million from these contracts and from Xencor's history of periodic licensing deals, spread over 2027 and 2028. We do not credit royalties on obexelimab or xaluritamig sales, because there are no sales yet to measure them against. What could make this wrong. The valuation depends mostly on spending. If management cut spending sharply or returned cash to shareholders, the value would move toward the $7.45 a share of cash and investments. If a wholly owned program succeeds, value would be well above all three cases. Examples are XmAb942, now in a Phase 2b trial in ulcerative colitis, and XmAb819, where 25% of 20 evaluable kidney-cancer patients at the target doses had partial responses. Faster spending or a failed partner Phase 3 would push the value toward the bear case. Today the shares appear to be worth roughly the cash and royalties expected to remain after the planned development work. Most of the potential upside depends on trial results that have not yet happened.
