Spyre Therapeutics is a clinical-stage biotechnology company based in Waltham, Massachusetts. Since a 2023 reverse merger it has been developing long-acting antibodies for inflammatory bowel disease and other immune-mediated diseases, including SPY001, SPY002, SPY072 and SPY003, across its SKYLINE Phase 2 platform trial and SKYWAY Phase 2 basket trial. The company has no approved product and reported no revenue in 2024 or 2025. The pre-2023 rare-disease business is not part of what we value. What the business earns today. Owner earnings, meaning operating cash flow after removing working-capital swings, stock compensation and capital spending, have been deeply negative in every year of the current business: about -$120 million in 2023, -$198 million in 2024 and -$201 million in 2025 (roughly -$4.89, -$3.02 and -$2.56 per share, counting the convertible preferred stock as common shares). Losses are growing again: operating cash outflow in the first half of 2026 was $127.2 million versus $87.6 million a year earlier, and stock compensation was $26.3 million versus $18.2 million. Because these figures are all negative, there is no positive earnings level to capitalise, and the growth-path check is moot: there is no earnings growth to extend. What the company owns. The value here is the cash. At June 30, 2026 the company held $162.0 million of cash and $983.3 million of marketable securities, $1,145.3 million in total, up from $756.5 million at year-end 2025 after $444.9 million of financing inflows in the first half of 2026 (including a $296.4 million net October 2025 stock offering just before). We count 88.1 million common shares at June 30, 2026 plus about 14.5 million shares issuable on conversion of the Series A and Series B preferred (346,045 and 16,667 preferred shares outstanding at year-end 2025, each convertible into 40 common shares), about 102.6 million shares in all. Cash is therefore about $11.16 per share before any spending. We could not confirm from the filings available to us whether any preferred converted during 2026; if some did, the count is slightly lower and the values below slightly higher. Stock options are not included. How we treat the drug pipeline. None of the candidates has reported Phase 2 efficacy results that we can rely on, none is licensed to a partner, and none has a contract that produces revenue. The company itself says results are expected across 2026 and 2027 and that, if programs prove ineffective or unsafe, the pipeline would have little, if any, value. Under our rules, growth and profits that have not yet happened are not credited, so the pipeline is worth $0 in all three cases. This means every case is the same story: shareholders own the cash, less what the company spends getting through the 2026 and 2027 trial readouts. A positive Phase 2 result would be worth far more than this, but it is not something we can name and evidence today. Base case, $6.97 per share. Spending on our owner-earnings basis (cash burn plus stock compensation) runs about $150 million for the second half of 2026, in line with the first half, and about $300 million in 2027 as the Phase 2 trials continue. Discounted at 6%, that is about $431 million, leaving about $714 million, or $6.97 per share. Bear case, $4.54 per share. The filing says losses are expected to increase in absolute dollars. Here spending is about $180 million in the second half of 2026, $360 million in 2027 and a further $180 million in the first half of 2028, about $680 million after discounting, leaving about $466 million, or $4.54 per share. The company also has to fund lease and vendor obligations that we have not separately quantified. Bull case, $8.08 per share. Spending stays closer to the 2025 pace: about $130 million in the second half of 2026 and $200 million in 2027, about $317 million after discounting, leaving about $828 million, or $8.08 per share. We left out any credit for monetising legacy assets (the company booked a $10.0 million gain on a sale of an in-process research asset in 2025 and a $16.4 million gain in 2023) because the amounts are small and not repeatable on a schedule. What we adjusted and what could not be reconciled. Stock compensation is deducted as a real cost even though it is non-cash. Reported operating cash flow reconciles exactly to net loss after the non-cash items in the 2025 filing. The second-quarter 2026 detail available to us was limited to headline figures, so first-half 2026 spending is shown as reported operating cash outflow plus stock compensation without a working-capital adjustment. What would make this wrong. Positive SKYLINE or SKYWAY results would make the pipeline worth much more than our cases assume. Conversely, further share issuance would dilute per-share cash: the company sold 17.1 million shares at $18.50 in October 2025 and has said it will need additional capital in the future. The company states that its current cash is sufficient for at least a year from the filing date of its annual report. The margin-of-safety price of $3.40 sits below the bear case to leave room for a wider-than-expected burn or more dilution, since the valuation rests entirely on cash and not on a proven earnings stream.
