Business condition attached to the margin of safety Institutional net client flows in the Large/SmallCap Value strategies flat-to-positive for two consecutive quarters.
Westwood Holdings Group is a Dallas-based investment manager that earns fees on the assets it manages and advises — $17.4 billion of combined assets under management and advisement at the end of 2025, spread across institutional accounts, mutual funds and ETFs, a trust and wealth-management business, and, since the 2021 combination with Salient Partners, real-asset and energy-infrastructure strategies. Revenue is almost entirely fee-based and almost entirely U.S.-sourced. Because Westwood's fees move with both the markets and its own asset flows, its cash generation swings a lot more than a typical company's. To find what the business actually earns for owners, we started from operating cash flow and then removed two things that make it lumpy: stock-based compensation (a real cost that accounting otherwise hides) and the swings from buying and selling the firm's own seed investments in its sponsored funds, which the cash flow statement bundles in with operating cash even though it's really investment activity, not client-fee economics. Physical capital spending is minimal for a firm like this and was treated in full as a cost of staying in business. On this basis, per-share owner earnings ranged from roughly breakeven in 2022 — a year when a severe, broad market downturn hit both revenue and the firm's own investment book — to over a dollar per share in each of the last three years. We used the median of 2021 through 2025 (the years since the Salient combination reshaped the business) as the anchor for value, about $1.08 per share, rather than the higher figures from the pre-2021 business, which was a meaningfully different, smaller, single-strategy company. The clearest fact in the recent record is persistent net client outflows from Westwood's legacy Large-Cap and Small-Cap Value strategies — three straight years of net redemptions, management's own explanation for the outflows each year — partly offset by market gains and by two younger, growing lines: a wealth-management business that has more than doubled its revenue in each of the last two years (aided by a small acquisition, Broadmark, in January 2023), and growing interest in the firm's ETFs and private energy-infrastructure funds. Our base case assumes this tension continues roughly as it has: earnings starting the next year modestly below last year's level (consistent with the actual year-over-year decline in owner earnings once the lumpy items are stripped out), then growing at a slow, low-single-digit pace as wealth management and newer strategies partly offset continued Value-style redemptions, with earning power simply persisting at that level after ten years rather than compounding further — we found no specific, evidenced reason to assume it keeps growing indefinitely. The bear case assumes the Value outflows do not stabilize and a market downturn like 2022's recurs at some point in the decade, on top of an industry-wide, well-documented shift of assets toward passive and lower-fee vehicles that continues to pressure this kind of active manager's fee rate — a business that could be worth meaningfully less than half of the base case. The bull case assumes the wealth-management and newer-strategy growth already underway keeps compounding, and that the Value outflows — which actually turned into net inflows for the institutional channel in 2024 — stabilize, allowing overall earning power to compound at a high-single-digit rate for the decade. One accounting judgment worth flagging: in 2025 Westwood made a $4.4 million cash payment settling an earn-out obligation from a past acquisition, which GAAP requires to be reported as an operating cash outflow. We treated this as a cost of past growth-by-acquisition rather than an ongoing cost of the existing business — similar to how we treat growth spending generally — noting that the related liability is now fully paid off. Removing that treatment would lower the 2025 figure by roughly 40%; we think the growth-capital framing is the more accurate one given the liability's resolution, but readers should know the judgment call was material. Given the business's real sensitivity to markets and to its own flow trends, and its small size, the margin-of-safety price sits at a substantial discount to our base-case estimate, at or below the bear-case value.
