LendingTree runs an online marketplace that matches consumers with lenders and insurers, and it is paid by those providers. In 2025 the Insurance segment (mainly auto insurance quotes) produced $711.9M of $1,117M revenue. Consumer (personal loans, small business, credit cards) produced $253.4M and Home (home equity, mortgage) $151.8M. The model is highly sensitive to what it spends on advertising to attract traffic: variable marketing expense was $771M in 2025, so results swing with how much carriers and lenders are willing to pay per customer. How we measure earnings: we use the cash the business generates from operations, remove one-off swings in receivables, payables and prepaid items, subtract stock compensation as a real cost, and subtract only the capital spending needed to maintain the business (about $6.7M of the $12.4M spent in 2025). Cash interest is already deducted. Debt is not subtracted a second time, because interest is already reflected in the cash flow. On this basis owner earnings per share were about $8.05 in 2019, $1.16 in 2020, $2.89 in 2021, slightly negative in 2022 (-$0.33) and 2023 (-$0.19), $2.40 in 2024 and $3.25 in 2025. In 2022 there was also a $25.8M contingent-consideration payment that we treated as an operating cost. We anchor on the median of 2020 to 2025, roughly $1.80 per share. That window covers a full mortgage and insurance-advertising cycle: the 2020 shock, the 2021 boom, the 2022-23 bust and the 2024-25 recovery. We set 2016-2019 aside because it reflects a different, acquisition-built and less indebted company. The 2025 level of $3.25 was lifted by carriers spending heavily on customer acquisition after strong auto underwriting results. Insurance segment margin already fell from 29% to 25% as that competition raised media costs. Owner earnings grew about 35% in 2025, but we credit no growth in any case, because nothing that would drive it is contracted or a long-proven repeatable process. We do not credit insurance ad-budget strength, small-business lending growth, home equity demand or the roughly 31% first-half 2026 revenue growth as durable growth. Base case: about $1.80 per share a year for ten years, then fading to zero over the following fifteen years. The evidence for persistence is a marketplace brand operating since the 1990s that has produced positive owner earnings in four of the last six years, including through the 2020 downturn. The fade reflects that no contract or structural lock supports earnings beyond that. Value: about $18.80 per share. Bear case: the 2022-23 experience repeats. Carriers cut advertising budgets and mortgage stays weak, so owner earnings run about -$0.25 per share for two years, then recover only to about $0.80 a year, below 2020's $1.16, and fade over ten years. Leverage sharpens this case: $399M of term loan is outstanding and comes due in August 2030, and the 2025 refinancing cost $7.9M of extinguishment charges. Litigation settlements and contingencies were also $15.7M in 2025. Value: about $5.70 per share. Bull case: the company keeps earning what it demonstrated in 2025 and early 2026 (about $3.60 per share, with first-half 2026 operating cash flow of $40.7M against $27.7M a year earlier and lower stock compensation), holds it for ten years, then fades over twenty. Value: about $40 per share. What would make this wrong: a sustained loss of search-engine traffic or a shift by carriers to direct channels would hurt all cases, because the model depends on paid and organic traffic. We valued the 2025 $130M tax benefit (release of a deferred tax valuation allowance) as non-cash and outside owner earnings, because it does not represent cash. Amortization of acquired intangibles ($5.2M in 2025) is small, so no adjustment was made to the growth path for wasting assets. We also excluded the $58M and $115M equity-investment impairments of 2024 and 2023, which are non-cash and already added back. We could not tie every historical working-capital line to structured data, so the 2016-2022 series uses the filings' cash flow statements directly. The margin-of-safety price of $9 is roughly half the base value and about 1.6 times the bear value. That reflects a cyclical, leveraged, advertising-driven business whose owner earnings were near zero as recently as 2022-23.
