TECOGEN INC. (TGEN) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.00 ComplexityAverage Updated
Business condition attached to the margin of safety Owner earnings (operating cash flow after removing working-capital swings, stock compensation and maintenance capital spending) turn and stay positive for several consecutive quarters, with a Services segment and corporate cost base that together cover their costs.
Tecogen designs and sells natural-gas engine-driven cogeneration units and chillers (Products), maintains installed units under service contracts (Services, about 61% of 2025 revenue), and sells electricity and heat from on-site systems it owns (Energy Production). Revenue was $27.1 million in 2025 versus $22.6 million in 2024, but the business has not produced positive owner earnings in any of the nine years we could measure (2017 to 2025). Owner earnings here means operating cash flow after removing working-capital swings, stock compensation and the maintenance share of capital spending. The result ranged from about -$0.03 to -$0.26 per share, and the last two years were the weakest: -$0.20 in 2024 and -$0.26 in 2025. An accounting point matters here. 2024 operating cash flow was positive at $4.1 million, but $5.9 million of that came from customer deposits collected in advance (deferred revenue) for equipment shipped in 2025. We strip out that timing effect, and 2025 shows the reverse: operating cash flow of -$9.9 million after those deposits were used up. The 2020 and 2021 cash-flow figures were also flattered by working-capital movements. The underlying picture is a business that loses several million dollars a year. Gross margin fell from 43.6% in 2024 to 36.3% in 2025 while overhead grew: general and administrative expense was $13.5 million against gross profit of $9.8 million, for an $8.2 million operating loss. Only the Products segment made an operating profit in 2025 ($0.3 million); Services lost $1.9 million and Energy Production lost $0.7 million, and $6.0 million of unallocated corporate cost sat on top. In the first half of 2026, operating cash flow was again negative at about -$5.5 million on a net loss of about $4.3 million, so the trend has not turned. Bear case ($0.00 per share): losses continue at roughly the recent pace with no return to profit. Year-end 2025 product backlog had fallen to $2.5 million from $12.3 million a year earlier, when it included chillers and cogeneration systems shipped in early 2025 to customers seeking Inflation Reduction Act tax credits. The company said it may need to raise more capital, which would dilute existing shareholders. The company carries little debt, so this case is not below zero; the shares are simply worth nothing on the evidence. Base case ($0.00 per share): the business as it exists today. Recurring maintenance revenue (Services, $16.6 million in 2025, including $2.4 million from acquired Aegis maintenance contracts) is real and sticky, but its gross profit of $6.4 million does not cover the company's operating and corporate costs, and nothing in the filings shows costs falling enough to change that. We give no credit for cost cuts, margin recovery or a return to 2024 volumes, because none of these is secured or already demonstrated. Bull case ($0.00 per share): even if Services and Products held their 2025 profitability and Energy Production recovered to its 2024 gross profit, total gross profit of about $10 million would still fall short of the $14.4 million of operating expenses recorded in 2024, which was the lower-cost year. Management points to a hybrid-drive air-cooled chiller under development and to data center opportunities, but there is no order, contract or revenue for these in the filings, so they are left out. We are valuing what the business has demonstrated, and it has not yet demonstrated positive owner earnings. Cash is not added to the value. The company raised about $18.1 million net from a July 2025 share sale of 3,985,000 shares at $5.00 and held $12.4 million of cash at the end of 2025, which funds the current losses, but cash that is being consumed by operating losses is not surplus. At the recent burn rate that cash would be substantially used within roughly two years. Management states existing resources are sufficient for the next twelve months. The shares moved to NYSE American in May 2025. What would make this wrong: a sustained cut in overhead together with recovery of gross margin toward the 43.6% of 2024, or large new orders for data-center or chiller equipment, would move the value above zero. The estimate would be revisited once several consecutive quarters of positive owner earnings are visible. One item we could not fully reconcile: our cash-flow build differs from a net income plus non-cash charges cross-check by about $0.8 million in 2025, which we attribute to other non-cash items not separately tagged. The 2019 share count is approximated from adjacent years.
