Business condition attached to the margin of safety Two more consecutive quarters, beyond the first quarter of 2026, in which operating cash flow stays positive after stripping out working-capital swings and stock compensation, while the Fremont, California factory expansion to about 2 GW stays on its end-2026 schedule.
Bloom Energy builds solid oxide fuel cell power generators ("Energy Servers") that make electricity on site, increasingly for AI data centers, utilities and other customers that cannot wait for grid connections. Revenue in 2025 was $2.02 billion, up 37% from 2024, and the company has reported a net loss in each of the last seven years, including $87 million in 2025. Our valuation is built on owner earnings: operating cash flow, less the swings in working capital, less stock compensation as a real cost, less the maintenance portion of capital spending. On that measure the business has only just crossed into positive territory. Owner earnings were negative from 2019 through 2024 (from about -$1.49 to roughly breakeven per share) and were about $135 million in 2025, or $0.56 per share on the 240 million diluted shares reported for 2025. Working capital absorbed about $184 million of cash in 2025 as inventory (up $119 million) and contract assets (up $96 million) grew ahead of deliveries. Stock compensation rose to $139 million from $82 million. Because the earlier years describe a company that was not yet at scale, we do not average them in. In 2025 owner earnings moved from about -$2 million to about +$135 million, so a growth rate is not meaningful; for the first year of our base case we assume $200 million, based on the first quarter of 2026, when contract revenue was $746 million against $319 million a year earlier and operating cash flow was $73.6 million against an outflow of $110.7 million. That is a single quarter, so we use it only for the near-term path and not to reset the level. What we credit as growth: in 2025 the company announced plans to double the Fremont factory from about 1 GW to 2 GW of annual capacity by the end of 2026, and first-quarter 2026 capital spending of $26.2 million (against $14.3 million a year earlier) shows the build-out is under way. Demand at this scale is already visible, with product revenue up 41% in 2025, contract revenue of $746 million in the first quarter of 2026, and total gross margin rising to 29% from 27%. We do not credit the American Electric Power agreement for up to 1 GW (only 100 MW was an initial order), the Brookfield framework of up to $5.0 billion in project financing over five years, or the Oracle partnership, because none is a firm order for a stated volume. We also do not credit any margin expansion beyond what 2025 delivered. In 2025 each extra dollar of revenue produced roughly 25 cents of extra owner earnings, and we use that as the yardstick. Bear case ($1.51 per share): owner earnings stay near $100 million for three years and then fade to zero over seven more years. The named risks are real: one customer, described as a related party, was 43% of 2025 revenue and the top three were 68%; the company itself says that deploying its backlog depends on customers securing project financing; and it carries about $2.68 billion of convertible and other debt against $2.48 billion of cash and restricted cash at the end of 2025, with rising stock compensation. Base case ($9.12): owner earnings of $200 million, $260 million and then $330 million a year through year 10, somewhat below what the first-quarter revenue pace would imply at 2025 incremental margins, then a straight-line fade to zero over the following ten years as the contracted service base and product replacement cycle run off. Bull case ($15.15): $300 million, $450 million, then $550 million a year through year 10 if the doubled factory sells out at 2025 economics, with the same ten-year fade. We use 320 million shares, the diluted count for the first quarter of 2026, because 280.5 million shares were outstanding in February 2026 and convertible notes and preferred stock add to that. Debt is not subtracted separately, since interest is already paid out of the cash flow we use. Convertible debt is a source of dilution and refinancing risk that we place in the bear case. What could make this wrong: customer concentration is unusually high; the 30% investment tax credit for fuel cells that begin construction after 2025 is a policy that can change; and orders could stall if financing partners pull back. Upside comes if AI data center orders keep arriving faster than the factory can build. Because results are so new and the valuation depends on a business only recently profitable, the margin-of-safety price carries a wide margin: $3.50, well below the base case and above the bear case.
