TD SYNNEX is one of the largest technology distributors in the world. It buys hardware, software and cloud/as-a-service offerings from thousands of manufacturers - Apple and HP are each about 10-12% of revenue, no other single supplier is disclosed as material - and resells them to a network of resellers, retailers and IT solution providers across the Americas, Europe, and Asia-Pacific/Japan (roughly 58%, 35% and 7% of fiscal 2025 revenue, respectively). The company in its current form dates to September 2021, when Synnex merged with Tech Data to roughly double in size, a few months after Synnex had spun off its separate customer-experience business (Concentrix) as an independent public company. Because those two events reshaped the business, this analysis is built on the four full fiscal years since the merger (fiscal 2022 through fiscal 2025) rather than on the smaller, differently composed company that existed before. This is a high-volume, thin-margin business: on roughly $62.5 billion of fiscal 2025 revenue, net income was about $828 million, a margin near 1%. What matters to an owner is not the accounting profit but the cash the business throws off after the spending needed to keep it running - what we call owner earnings. We started from operating cash flow, removed the swings caused by inventory and payables timing (which run very large here - operating cash flow was actually negative in fiscal 2022 because inventory was being built up, then swung to over $1.4 billion the next year as that inventory was sold down), added back stock-based compensation as a real cost rather than a free add-back, and subtracted only the portion of capital spending needed to maintain the existing business rather than fund growth. On that basis, owner earnings per diluted share came to roughly $10.72 in fiscal 2022, $9.11 in fiscal 2023, $10.46 in fiscal 2024 and $13.40 in fiscal 2025. We used the median of those four years, about $10.59 per share, as the starting point for the valuation - a figure less flattering than the most recent year's, but not distorted by any single unusual twelve months. One accounting point worth flagging: the merger left the balance sheet with roughly $4.1 billion of goodwill and $3.8 billion of other intangible assets, and $300-460 million a year of related amortization runs through the income statement as a non-cash expense that we add back in the owner-earnings calculation. That treatment is correct - it's sunk acquisition cost, not an ongoing cash cost - but it does mean reported net income understates the cash the business generates today. We have not assumed this amortization adds a permanent uplift to future owner earnings; the growth assumptions below are set independently of it. It's also worth being direct about the growth picture. Revenue grew almost 7% in fiscal 2025, and owner earnings per share grew even faster, helped by share buybacks - on the surface, strong momentum. But over the full four years since the merger, revenue is essentially flat: $62.3 billion in fiscal 2022 versus $62.5 billion in fiscal 2025, because fiscal 2023 saw a sharp inventory correction across the IT distribution channel (revenue fell almost 8% that year) that fiscal 2024 and 2025 have only now worked back through. We built the base case around that fuller picture rather than extrapolating the most recent year's growth rate forward. Bear case: a repeat of a channel destocking cycle like fiscal 2023's, combined with the loss of some purchasing allocation from Apple or HP - both are large suppliers whose distribution agreements are explicitly non-exclusive, so either could shift volume to a competing distributor. Owner earnings per share is roughly flat to modestly lower over the next decade in this case, with a step-down around years two to five sized to the downturn already seen in fiscal 2023, partial recovery after, and no further share buybacks beyond what's already authorized. This produces a value of roughly $165 per share. Base case: revenue grows at a modest, mid-single-digit pace rather than repeating fiscal 2025's rate. Owner earnings per share grows faster than revenue for a couple of years as the company works through the roughly $1.2 billion still available under its current buyback authorization (it has repurchased $600-620 million of stock in each of the last three years), then settles into low-single-digit growth once that authorization is worked through, with no further real growth assumed beyond the ten-year forecast - we see TD SYNNEX's position as a large, diversified distributor as durable, but don't have specific evidence of continuing market-share gains beyond that. This produces a value of roughly $234 per share. Bull case: the company sustains something closer to the fiscal 2025 growth rate, continues buying back stock at the recent pace for longer, and the operating leverage already visible in the move from $9.11 to $13.40 of owner earnings per share over the last two fiscal years continues. This produces a value of roughly $439 per share. A large share of the value in every case rests on what happens many years out, which is the least certain part of any estimate for a low-margin, competitively exposed distributor. We've tried to account for that with a substantial margin of safety: the margin-of-safety price of $120 per share sits meaningfully below even the bear case.
