Quad (Quad/Graphics) is one of the largest commercial printers in North America, now positioning itself as a marketing services company. It prints retail inserts, catalogs, magazines, direct mail and packaging, and sells logistics, mail distribution, data and creative services around that print work. About 92% of 2025 sales came from the United States. Its ten largest clients made up roughly 21% of sales and none exceeded 5%, so client concentration is not the issue. The issue is that the core product is shrinking: sales fell from about $4.3 billion in 2016 to $2.4 billion in 2025. Part of that was divestitures, including the European operations sold in February 2025, and part is real volume loss as marketers move to digital channels and postage costs climb. Underlying 2025 sales fell roughly 4 to 5% after removing the European sale, on the company's disclosed figures. How we measure earnings. We start with cash from operations, then remove working-capital swings (receivables, inventory, prepaid items, payables and accruals), deduct stock compensation, and deduct the part of capital spending needed just to keep plants running. We deliberately did not strip out the line labelled 'Other' in the operating cash flow. It has been an outflow every year for ten years ($11M to $40M), so it behaves like a recurring restructuring and pension cost, not a timing swing. We also did not count the $37 million to $49 million a year Quad receives from selling surplus equipment and property; that is cash from shrinking the footprint, not from operating it. On this basis, owner earnings per diluted share were: 2021 $1.31, 2022 $1.65, 2023 $0.08, 2024 $0.21 and 2025 $0.80 (earlier years were much higher: $3.37 in 2016 and $3.98 in 2017, reflecting a business roughly twice the size). Working capital released cash in nearly every year as the business shrank, which flatters reported operating cash flow and is removed here. Starting point. We use the median of 2021 to 2025, $0.80 per share. Earlier years describe a much larger business before the 2020 to 2021 restructuring and are excluded. We used trailing actuals, not the first quarter of 2026 (operating cash flow was an outflow of $93.7 million, similar to the $89.0 million outflow a year earlier; this is seasonal and does not change the level). The 2025 figure grew sharply from 2024, but only because 2024 was depressed; we do not extrapolate that. Our first-year assumption in the base case is a 6% decline, below the trailing rate, so no reversal of a slowdown is assumed. What the cases assume. All three cases are discounted at 6% a year. Base case, about $6.30 per share. Owner earnings start at $0.80 and decline 6% a year, roughly in line with the company's long-run sales decline, and keep declining because nothing evidenced turns the print market around. We credit no growth. Quad's expansion into marketing services has not yet produced growth that offsets print declines, so it is left out. What supports value is the cash the print platform keeps throwing off: debt repayment of about $28 million in 2025 and a modest capital need of about 2% of sales. Bear case, about $0.80 per share. Owner earnings fall back to the 2023 to 2024 average (about $0.15), and then fall 10% a year. This reflects the pressure already disclosed: the postal service cut its delivery standards in 2025 and has raised rates faster than inflation, which pushes clients toward digital; Quad carries about $370 million of debt at roughly 7% (interest of $50.5 million in 2025); and the main term loan matures in October 2029 and would need refinancing while volumes are still falling. The bear case is close to zero because so little of the business's cash flow is left after interest, capital spending and restructuring in a weak year. Bull case, about $10.50 per share. Owner earnings settle at $1.00, between the 2025 level and the $1.31 to $1.65 reached in 2021 and 2022, and decline only 3% a year, matching the underlying pace after divestitures. The levers are Quad's record of cutting cost in step with volume (plant consolidation, lower depreciation and lower interest expense, which fell $14 million in 2025) and a low capital need. We do not credit recovery in print demand. Stress test. We tested the anchor against the two weakest recent years, 2023 ($0.08) and 2024 ($0.21). Both were affected by large working-capital and restructuring cash outflows, but they show the earnings level can fall close to zero, which is why the bear case is built on them. We also checked the pension: underfunded by only $22.6 million at year-end 2025, so it does not change the picture. What this adds up to. The valuation adds up owner earnings only. We did not subtract debt, and we did not add the $63 million of cash on the balance sheet on top of the case values, because the earnings already reflect interest paid. If we are wrong, it is most likely because (a) the marketing-services push starts offsetting print declines, which would raise value, or (b) postal changes accelerate volume loss beyond 10% a year, which would push value toward the bear case. One figure we could not fully reconcile: a $22.3 million employee stock ownership plan contribution shown in the older cash flow statements could not be tied to a specific year and was not deducted in 2016. Margin-of-safety price. The margin-of-safety price is about $3.00 per share. The shares are structurally declining, leveraged and highly variable in a poor year, so the estimate requires a large discount to the base case, and a price well above the bear case value would still leave little room for error.
