Omnicom closed its all-stock merger with Interpublic on November 26, 2025, so its history and its future describe different companies. The combined group had about $26.5 billion of revenue in 2025 (as if merged all year) across media and advertising (the largest discipline), precision marketing, public relations, healthcare, branding and retail commerce, and experiential work. About 53% of 2025 revenue came from the United States. The largest client is 2.4% of revenue and the 100 largest are about 54%, and clients can cut spending on short notice. Earnings level. Reported 2025 is not a usable run rate: it holds only five weeks of Interpublic, $1,247.0 million of severance and office-consolidation charges (of which $866.4 million is cash), a $547.1 million write-down of businesses being sold, and $347.3 million of merger costs. Omnicom alone produced owner earnings (operating cash flow less working-capital swings, stock compensation and maintenance capital spending) of $5.82 per share in 2016 rising to $8.77 in 2024, and held up in 2020 ($7.16) even though revenue fell 11.9%. For the combined company we used the merger disclosure in the 2025 annual report, which restates 2024 and 2025 as if the two companies had been together since January 1, 2024 (net income $1,675.5 million in 2024 and $425.7 million in 2025; the filing states the merger costs sit in the 2024 figure). We added back the one-time charges (after a 25% tax effect, except the write-down), added back the non-cash amortization of acquired intangibles (the new ones net of their deferred-tax benefit), and set depreciation against capital spending. That gives owner earnings of about $2,175 million for 2024 and $2,147 million for 2025, a 1.3% decline. We average the two, add back $282 million of scheduled 2026 cash interest so the business is valued before its lenders, remove an estimated $165 million of interest earned on cash (the cash is counted separately), and deduct about $100 million a year as a cushion for minority partners' share, because the filing does not make clear whether the restated net income is before or after that share. The result, about $2.18 billion a year of cash before lenders, is the starting level in all three cases; the 2025 charges and a filed 2021 capital-spending figure of $665.8 million (roughly eight times normal) were kept out of it. Discounting is at 6% in every case. Acquired intangibles are about $4.6 billion (customer relationships amortized over up to 15 years, technology up to 5 years), and amortization was $117.4 million in the first quarter of 2026 alone. We add it back because it is a non-cash charge, but we do not treat those relationships as permanent: the decay is carried in the growth path, not in the starting level. Growth. Combined owner earnings fell 1.3% in 2025, so year one of the base case is also -1.3%, with no reversal credited. After that we credit no growth. That is what the record supports: Omnicom's revenue was $15.1 billion in 2015 and $15.7 billion in 2024, and combined revenue was $26.38 billion in 2024 and $26.48 billion in 2025. We left out merger cost savings (the annual report gives no figure), market growth, new services and the strong first quarter of 2026, because none is yet secured or shown by more than one quarter. Base case: $2.18 billion a year, down 1.3% in year one, flat through year ten, then declining 2% a year as acquired relationships run off. Every case also bears about $190 million after tax of further integration costs in 2026 (the first quarter alone carried $59.4 million of acquisition costs and $4.1 million of restructuring). Business worth about $30.4 billion, owes about $7.4 billion net, leaving about $22.9 billion, or $80.18 per share. Bear case: combined earnings fall 4% a year for ten years (about one-third in total), then 5% a year. Evidence: combined operating income before one-time items fell about 6% in 2025 (about $3.20 billion to $3.01 billion), the 100 largest clients are 54% of revenue and can leave quickly, and acquired relationships waste away. Cash before lenders still covers interest several times over, but leverage was 2.5 times against a 3.5 times covenant limit at the end of 2025, so a one-third earnings fall would push toward that limit unless debt is paid down. Business worth about $20.0 billion, owes about $7.4 billion, leaving about $12.5 billion, or $43.84 per share. Bull case: the first quarter of 2026 (the first full quarter combined) earned net income of $405.2 million, and first quarters have run about 20% of a year's profit, which points to about $2.8 billion a year. We use $2.7 billion, flat, then declining 1% a year, on the view that the severance actions already taken and paid for deliver those savings. Business worth about $41.0 billion, owes about $7.4 billion, leaving about $33.6 billion, or $117.45 per share. Debt. At March 31, 2026 borrowings were $10.04 billion (long-term notes $9.98 billion plus $67.4 million short-term) against $4.29 billion of cash, after $2.78 billion of share repurchases in the quarter, including an accelerated repurchase announced in February 2026, and a further $5.0 billion authorization. In the quarter it issued $2.38 billion of debt and repaid $1.40 billion, matching the $1.4 billion of 3.60% notes that were due in 2026. Many remaining notes carry coupons far below 6% (0.80% due 2027, 1.40% due 2031, 2.25% due 2033), so valuing them at 6% lowers their present value by about $0.6 billion; we value all debt at about $9.43 billion (new borrowings at face). We add $554 million after tax of severance and contract-exit costs that were unpaid at year-end (we do not know how much was paid in the first quarter, so this may be slightly cautious) and $215 million of acquisition earn-outs. We credit $2.79 billion of the cash and hold back $1.5 billion for the seasonal swing in working capital. Net owed is about $7.4 billion in every case. We divide by 286.1 million diluted shares (285.0 million outstanding on April 22, 2026, plus dilution). What we checked and what could make this wrong. If the merger costs are not in the 2024 restated figure as the filing says, the starting level would be about 6% lower. If the second and third quarters of 2026 confirm the first quarter's pace, the base case is too low. If large clients leave or artificial intelligence and in-housing erode media buying, results move toward the bear case. Results for the second quarter of 2026 were not available to us. The company must also pay the year-end severance accruals and any further merger costs out of cash. Change since our last view. We previously estimated $25.82, $52.30 and $96.79 (bear, base, bull) using higher discount rates of 10% to 11%. Every company is now valued at a uniform 6%, which raises all three values; net debt is higher after the debt-funded repurchases, and the share count is lower, which partly offsets it. The margin-of-safety price of $43.00 sits just under the bear case, about 46% below the base case, because the merger is less than a year old, integration costs and severance are still being paid, and the company has taken on more debt to repurchase shares.

Chart analysis
The filings we hold contain no price history, so this describes what a chartist would look for rather than a specific pattern. The share count tells the structural story: about 196 million shares at the end of 2024, about 313 million after the November 26, 2025 all-stock merger with Interpublic, and about 285 million by April 22, 2026 after an accelerated repurchase of roughly $2.5 billion. A chartist would watch whether the stock has absorbed the supply from former Interpublic holders, whether it can hold above its long-term moving averages after the merger, and whether trading volume dries up on pullbacks or expands on declines. Ongoing buybacks under the $5.0 billion authorization would normally be read as support near recent lows, while a break below the post-merger low on heavy volume would be read as a failed base.
