Business condition attached to the margin of safety Two consecutive quarters of positive operating cash flow (or a clear halt to the cash burn) with gross margin back near the 24% reached in 2024.
Pioneer Power Solutions sold its main electrical-equipment business (PCEP) in October 2024 for $48 million cash plus $2 million of equity, paid a $16.7 million special dividend in January 2025, and is left with a small Critical Power business built around its e-Boost mobile EV charging units and generator/switchgear service. Revenue was $27.6 million in 2025 (up 21%), but gross margin fell from 24% to 12% on product mix and low-margin early units on one eMobility contract, and the company lost $6.4 million from continuing operations. On the numbers that matter to an owner, this business has not produced positive earnings power. Operating cash flow was negative in every year we can measure (about -$3.9 million in 2023, -$6.2 million in 2024, -$5.8 million in 2025, and -$3.6 million in the first half of 2026). After stripping working-capital swings, stock compensation and maintenance capital spending, owner earnings were roughly -$0.57 per share in 2024 and -$1.11 in 2025. Backlog also fell 36% to $12.6 million at year-end 2025. We therefore give the operating business no value on its own; nothing named in the filings shows it turning to sustained profit. What the shares are worth is essentially the cash left over. The company held $15.0 million at the end of 2025 (about $1.35 per share), and cash used in the first half of 2026 puts it near $11 million (about $1.00 per share) today. There is no debt to subtract. Bear case (about $0.15): the burn continues near $6 million a year with margins stuck near 12%; roughly two years of cash is consumed and little remains for shareholders. Base case (about $0.55): losses continue for about a year before cost cuts or a wind-down halt the burn, leaving roughly half of today's cash. Bull case (about $0.95): revenue keeps growing and gross margin returns to the 24% seen in 2024, which is a level actually achieved, bringing the business to roughly break-even so today's cash is largely preserved. We give no credit for profits beyond break-even because none has been demonstrated. What we left out: the growth of e-Boost, any large contract wins and any new-product upside, since none is yet backed by profitable results. What would make this wrong: a sustained turn to positive cash flow would make the business itself worth far more than we assume; faster cash burn, or cash spent on acquisitions, would make it worth less. Historical 2023 figures include the sold business and are low-confidence; the 2024 and 2025 figures are the relevant record.
