PagerDuty sells subscription software (PagerDuty Incident Management and related products, now including AI agents) that alerts engineering and operations teams to outages and coordinates their response. It had 15,351 customers at January 31, 2026, 861 of them paying more than $100 thousand a year. Revenue was $492.5 million in the year ended January 31, 2026, up 5.4%, but growth has stalled: revenue for the first half of the current year was $245.4 million, up just 0.9%, and existing customers now spend slightly less each year (dollar-based net retention of 98%, down from 106% and 107% in the two prior years). How we measured earnings. We start from operating cash flow, remove the swings in receivables, payables, accruals and deferred revenue, and deduct stock compensation as a real cost, plus only the maintenance portion of capital spending (including capitalized software). On that basis owner earnings were negative in every year from fiscal 2020 through fiscal 2025 (for example about $(37) million in fiscal 2025) because stock compensation ($126 million that year) exceeded the cash the business produced. In fiscal 2026 they turned positive at about $23 million, or $0.25 per share, as stock compensation fell to $97.8 million. The reported fiscal 2026 net income of $173 million is not used: it is almost entirely a one-time $153.5 million tax benefit. Commissions paid to salespeople and lease payments are treated as ongoing costs, not working capital. Two things to understand about that $23 million. First, GAAP operating income was only $5.8 million; roughly $22.7 million of interest income on the company's $469.8 million of cash and investments (at January 31, 2026) sits inside operating cash flow. Second, stock compensation is falling quickly: $51.7 million in the first half of last year versus $34.4 million in the first half of this year, while operating cash flow rose to $81.2 million from $64.6 million. Because that is a single half-year, we credit only about half of the improvement: our base level is $40 million a year, versus $23 million reported for fiscal 2026. Per-share figures use about 79.1 million diluted shares, down from 93.0 million as the company repurchased 10.1 million shares for $137 million in fiscal 2026 and more since. What changed in the growth reconciliation. Owner earnings jumped from negative in fiscal 2025 to positive in fiscal 2026, but that came from lower stock compensation, not from growing the business, so it is not a growth rate we extend. We assume zero growth in year one. We give no credit for growth: there is no contracted backlog beyond existing subscriptions, net retention is below 100%, and new products (the AI agents) have no track record in the numbers. Base case, about $3.60 per share. Owner earnings of $40 million a year until October 2028, when the 1.50% convertible notes ($402.5 million outstanding) mature. We assume they are repaid from cash, which removes the interest income that cash earns net of the small coupon we save, about $12 million a year, leaving $28 million. That level holds flat through year 10, then fades to zero over the following ten years, since nothing in the filings evidences earning power beyond what the installed customer base already provides. No net-debt adjustment is made; the notes are reflected only through the lost interest income. Bear case, about $1.05 per share. Stock compensation returns to the fiscal 2026 level, so earnings start at about $23 million. Retention keeps slipping (already 98%) and revenue shrinks, so owner earnings decline 5% a year; the notes are repaid in October 2028 and net interest income of about $12 million a year disappears, leaving roughly $8 million. Earnings fade to zero by year 15. The filing itself flags that hyperscale cloud providers may bundle overlapping incident-response and agentic capabilities directly, which supports this path. Bull case, about $7.30 per share. The first-half stock-compensation savings prove durable, giving about $60 million a year, and the company keeps roughly $10 million a year more of the interest carry after the 2028 notes than in the base case ($50 million), flat for 15 years and then fading over ten more. We do not assume a return to 106-107% retention, since that would depend on events that have not occurred. What would make this wrong: net retention rebounding above 100% with revenue re-accelerating (upside), or stock compensation rising again, or the 2028 notes needing to be refinanced at market rates against only $23 million of owner earnings (downside). We could not reconcile why fiscal 2026 net retention fell eight points in one year; the filing gives the figure but no full explanation. Latest filing reviewed: the quarterly report filed August 27, 2026 (via its financial data) and the annual report filed March 12, 2026.
