Business condition attached to the margin of safety Cash burn from operations, excluding the one-time collection of old receivables, falls to roughly break-even at the current sales level (it was about $130 million in the first half of 2026), with cash secured for at least 18 months without a large share sale at very low prices.
Organogenesis makes regenerative medicine products, mainly skin substitutes for chronic wounds such as diabetic foot ulcers and venous leg ulcers (Apligraf, PuraPly AM, Affinity, Novachor), plus a smaller surgical and sports medicine line. Substantially all sales are in the United States, and Medicare payment policy drives demand. What changed: 2025 was the best year on record, with revenue of $564.2 million, up from $482.0 million, mostly from newly licensed wound products. Owner earnings, meaning operating cash flow after removing working-capital swings, stock compensation and maintenance capital spending, were about $0.51 per share in 2025, up from $0.14 in 2024. But on January 1, 2026 Medicare stopped paying for most skin substitutes as drugs and moved to a flat payment of roughly $127.14 per square centimeter. Revenue fell to $81.0 million in the first half of 2026 from $187.7 million a year earlier, and to $43.8 million in the second quarter from $101.0 million. The first-half operating loss was $119.9 million and the net loss $149.4 million, including $30.1 million of income tax expense. Because that payment change is now in effect, we do not use the 2020-2025 record (roughly -$0.01 to $0.51 per share, median about $0.13) as an earnings level for the business today, and we assume owner earnings turn negative in 2026 rather than repeating 2025. The cash picture is what matters now. Operating cash flow in the first half of 2026 was only -$10.5 million because $119.5 million of older receivables were collected. Without that collection, the six-month cash burn was about $130 million. At June 30, 2026 the company held $46.1 million in cash, still had $100.9 million of receivables (down from $217.5 million at year end), $29.3 million of inventory and $101.5 million of property and equipment, and reported no term loan or credit-line borrowings. Management's outlook is 2026 revenue of $179 million to $215 million, has announced two cost-reduction rounds, and says cash will last at least 12 months. It also has an at-the-market program to sell up to $75 million of new shares, which would dilute holders. An important claim sits ahead of the common shares: 130,000 shares of Series A convertible preferred stock, with a $142.2 million liquidation preference at year end 2025 growing at 8% a year, senior to common stock and convertible into about 37.5 million common shares. Certain founding and related holders together own about 54.1% of the common stock on an as-converted basis. How we value it: we found no evidenced level of positive owner earnings under the new payment system, so each case is what the company's existing assets are worth after the losses still to come, minus the preferred claim, divided by 128.2 million shares. We start from June 30, 2026 total equity including the preferred of $288.1 million (assets are carried at book value, which we have not been able to verify). Bear, $0.00: losses continue near the first-half pace of about $130 million every six months. The second half of 2026 alone would take $288.1 million down to about $158 million, already below the preferred claim of about $166 million expected by the end of 2027. Common shareholders receive nothing, before counting dilution from new share sales. Base, $0.06: cost cuts take hold, with cash burn of about $55 million in the second half of 2026 and $60 million in 2027 ($115 million in total). That leaves $173.1 million, against a preferred claim that grows to about $165.9 million by the end of 2027, so about $7 million, or roughly $0.06 a share, is left for common holders. Bull, $0.45: revenue reaches the top of the company's outlook and the cost cuts already announced deliver, holding total burn to about $65 million ($40 million in late 2026 and $25 million in 2027). That leaves about $223.1 million, or about $57 million after the preferred claim, roughly $0.45 a share. What we left out: the knee osteoarthritis product ReNu, whose FDA application has a decision date of April 24, 2027, because approval has not happened and we cannot credit it. We also left out further market share gains, which management expects, and any recovery in Medicare payment rates. No growth is credited in any case. Amortization of acquired intangibles is small ($3.3 million in 2025) and does not change the picture. What could prove this wrong: the assets could be worth more than book value, the receivables could be collected in full and quickly, or costs could fall faster than we assume, which would make the base case look too low. On the other side, a new Medicare rule change, refunds after payer audits of past claims, or a large share sale at a very low price would push value lower. Not fully reconciled: we could not read the text of the second-quarter 2026 quarterly report, so the figures for that period come from the company's filed financial data and its earnings materials rather than the report narrative.
