Business condition attached to the margin of safety Revenue no longer falling year over year for at least two consecutive quarters, with cash flow after stock compensation still positive.
OptimizeRx runs a digital network that delivers pharmaceutical brands' messages, savings offers and patient-support programs to doctors inside electronic health record systems, and to patients directly. Revenue is paid mostly by drug makers, and about a third of it goes out as revenue share to channel partners. Revenue was $109.4M in 2025 (up from $92.1M), and 2025 was the first clearly profitable year in a while. How we measure earnings. We start from operating cash flow, strip out swings in receivables and payables, and deduct stock-based compensation as a real cost. Capital spending is tiny (about $58K in 2025). On that basis owner earnings were about $11.8M, or $0.62 per share, in 2025. The prior four years were $0.12 (2021), -$0.52 (2022), -$0.82 (2023) and -$0.36 (2024), because stock compensation of $11-16M a year swamped cash flow while the company built out through acquisitions and wrote off about $7M in 2023 and $7.5M in 2024. We do not treat the 2022-2024 years or 2025 alone as the normal level. 2025 benefited from stock compensation falling to $7.0M and a lower cost of revenue, and only one year of that exists. What changed most recently. Filings for the first half of 2026 show revenue of $40.3M versus $51.1M a year earlier (about 21% lower; the second quarter was $20.5M versus $29.2M), a net loss of $1.2M, and stock compensation up to $4.0M from $3.0M. Operating cash flow of $8.1M was flat with last year, but after stock compensation the half-year is weaker than 2025. We could not reconcile the cause of the revenue drop from the filings we could read; we treat it as real. Growth in 2025 was 19% but we credit none of it forward: it is not contracted, and the customer base is concentrated (top five customers were 47% of 2025 revenue; three customers each above 10%, and the largest two shrank from 2024). Base case. Owner earnings settle near $0.35 per share (about $6-7M), between the weak first half of 2026 and the strong 2025, with no growth. Evidence for the level: over 100 pharma customers, an established EHR-embedded network, and a cost of revenue that improved from 36% to 33%. We hold that level for ten years and then let it fade over another decade, because nothing we can name and evidence replaces the network if pharma budgets shift away. That gives about $3.50 per share. Bear case. The revenue decline seen in 2026 continues as large customers cut spend, owner earnings fall to near zero within two to three years, and the company still carries a term loan (originally $40M in October 2023, with $12M repaid in 2024-25 and cash interest of $4.2M in 2025, and mandatory cash-flow sweeps) that absorbs what remains. Value is roughly $0.40 per share, and could be lower. Bull case. Earnings recover to the 2025 level of about $0.62 per share and hold, as the improved cost of revenue and lower stock compensation persist, with the same ten-year plateau and fade. That is about $6.30 per share. We do not assume growth beyond that. What would make this wrong. Higher: revenue stabilizes and 2025 margins prove repeatable. Lower: continued shrinkage at the top customers, or more stock compensation being needed to retain staff. We discount at a flat 6% and do not subtract debt from value, since the cash flows are already after interest. Margin-of-safety price. Given the concentrated customer base, the recent decline, and the leverage, the margin-of-safety price carries a large margin of safety, at around $1.60 per share, and assumes revenue has stopped falling.
