Business condition attached to the margin of safety Owner earnings after stock compensation run at roughly $12 million a year or better for the second half of fiscal 2027 (two more quarters of cash from operations well above stock compensation and capital spending, on the enlarged AccessOne-inclusive business).
Phreesia sells software that runs patient check-in for medical practices and health systems in the United States: digital intake forms, appointment and payment tools (subscription and related services, $219.5M in the year ended January 2026), payment processing and patient financing (which grew with the November 2025 purchase of AccessOne), and Network Solutions, where life-science companies pay to reach patients at check-in ($139.7M). Revenue reached $480.6M in fiscal 2026, up 14%, and most of it recurs through subscriptions and payment fees. How we measure it. We count what the business actually leaves for shareholders: operating cash flow, less the swings in receivables, payables and deferred revenue, less stock compensation (a real cost, $67.5M last year), less the capital spending needed just to keep the software and hardware current (about $18.7M of the $24.4M spent; the rest is treated as growth spending). On that basis the company lost money every year from fiscal 2020 through fiscal 2025 (worst: about $169M in fiscal 2023) and first turned positive in fiscal 2026 at about $5.6M, or roughly $0.09 a share. A $13.3M tax benefit in fiscal 2026 is non-cash and is not counted. What changed recently. In the first half of fiscal 2027 (to July 2026), cash from operations was $42.3M against $29.7M a year earlier, stock compensation fell to $25.4M from $33.5M, and by our measure the half-year produced roughly $16M, more than all of fiscal 2026. Two quarters in a row confirm the direction, but that is a short record for a company that has never before produced positive owner earnings, so we set the normal level at $12M a year (about $0.19 a share), well below the first-half pace and above last year's result. Last year's improvement was about $53M; the base case assumes no further growth from that $12M level. The AccessOne bridge loan ($90M outstanding at January 2026, due November 2026) was repaid in March 2026 through a new Capital One facility, so it is not a near-term maturity problem, but the facility does add interest cost. Base case (about $2.20 a share): owner earnings hold at $12M a year for ten years and persist at that level for a further ten, because the customers are on recurring subscriptions embedded in front-desk workflow, then end. We credit no growth. The revenue growth of 14% is real, but we could not show that it converts into higher owner earnings rather than more stock compensation and share issuance (diluted shares rose from 20M to 62M over the period), and margin improvement is a hoped-for outcome, not something already delivered, so it is left out. Bear case (about $0.27): the recent improvement fades. Owner earnings drop back to about $3M a year for seven years and then nothing. The named reasons are the six-year record of negative results, stock compensation still around $50-67M a year, a new debt load and patient-financing receivables (AccessOne) that carry credit and integration risk, and a history of acquisitions. Bull case (about $7.25): the first-half pace largely holds, at about $30M a year, growing 4% a year for ten years (below the 14% revenue growth) and then flat for ten more years. This is the company's own recent stock-compensation decline and cash conversion continuing, not a market recovery. What would make this wrong: a quarter or two in which stock compensation rebounds or working capital stops releasing cash would push value toward the bear case; conversely, holding the first-half run rate for a full year would move the base case toward the bull. We could not verify the reason for the stock-compensation decline from the filings we reviewed, and the second-quarter figures come from the 10-Q rather than the annual report. Because we cannot yet show a stable earning level, the margin-of-safety price carries a wide margin of safety and depends on the confirmation described in the business condition.
