Business condition attached to the margin of safety At least three consecutive quarters (the June 2026 quarter plus two more) show gross margin at or above roughly 30% and positive owner earnings without one-time items, and the Voltrek-era EV and lighting backlog is replenishing rather than being consumed by the July 2026 exterior-lighting project.
Orion Energy Systems designs and sells LED lighting and controls and installs them turnkey for commercial, industrial, retail and government customers. It also runs a lighting maintenance business and, since October 2022, an EV-charger installation business (Voltrek). Fiscal 2026 (year ended March 31, 2026) revenue was $86.3 million: lighting $55.9 million, maintenance $16.0 million, EV charging $14.4 million. What the record shows. After a strong fiscal 2020-2022 (owner earnings of roughly $2 to $4.60 per share, on the current share count, on retrofit and large-customer projects), the business lost money in fiscal 2023-2025 (owner earnings of about -$4.46, -$2.61 and -$2.45 per share) as that work faded, a large customer cut back and the Voltrek purchase was written down. Fiscal 2026 was the first year back in positive territory: owner earnings of about $0.73 million, or $0.20 per share. Over ten years the median is negative, so the past record alone does not support paying for earnings. How we measure earnings. We start from operating cash flow, remove swings in receivables, inventory, payables and unbilled revenue, then deduct stock compensation and the capital spending needed to stand still. Non-cash charges such as the fiscal 2023 goodwill and tax-asset write-offs are added back because they are past acquisition costs. Capex was unusually low in fiscal 2025-2026 (under $0.1 million versus about $0.6 million a year before), so going forward we assume roughly $0.5 million of maintenance spending and slightly higher stock compensation (about $0.6 million a year on the June 2026 quarterly pace). That leaves normal earning power of only about $0.1 million a year on the reset cost base. Fiscal 2026 also contained items we do not treat as repeatable, including a one-time solar-contract modification and earnout-related costs. We measure from fiscal 2026 because the company cut about $2 million of annual expenses after fiscal 2024 and lifted gross margin from 25.4% to 32.6%; earlier years describe a different cost structure. Base case, about $0.75 per share. Owner earnings in fiscal 2026 rose from about -$8.0 million to +$0.7 million. For fiscal 2027 we assume about $2.6 million, above the trailing figure, for a specific reason: firm backlog was $30.1 million at March 31, 2026 versus $17.3 million a year earlier, expected to convert to revenue within a year, including a large exterior lighting project for a leading international customer that was mostly to be finished by July 2026. The June 2026 quarter (revenue $25.7 million versus $19.6 million, net income of about $2.0 million, operating cash flow +$1.4 million) is consistent with that, but it includes that project, so we treat it as one data point and do not raise the ongoing level. We credit roughly 60% of the gross profit on the extra backlog, allowing for selling costs. After year one earnings return to about $0.1 million a year. The three-year renewal of the lighting maintenance contract covering more than 2,000 retail stores ($42 to $45 million of revenue potential, announced October 2025) supports keeping the maintenance business through about late 2028; it is already in the base level and adds nothing further. We credit no growth from cross-selling, national EV expansion, share gains or margin improvement, none of which is contracted. Beyond year 10 we assume nothing continues, because the record shows no consistent earnings stream to extend. Value is spread over about 4.06 million shares outstanding after the February 2026 equity raise. Bull case, about $5.00 per share. The company's own levers execute: revenue holds near $100 million on the backlog and maintenance renewal, gross margin stays at the 32.6% already achieved, and operating costs stay at the reduced level (about $29.7 million). That produces roughly $2.8 million a year of owner earnings for ten years, well below the fiscal 2020-2022 average of about $10 million a year. Nothing is assumed after year ten. Bear case, about $0. One customer was 26.0% of revenue in fiscal 2026, 18.1% in fiscal 2025 and 25.6% in fiscal 2024; in the year its share dropped, the company lost about $11.8 million. If the retail maintenance and project relationship is not renewed after late 2028 and the cost base is not cut further, owner earnings return to about -$2.5 million a year, which consumes the credit facility ($25 million committed, $3.0 million drawn, borrowing-base limited to $15.6 million, extended to June 2030) and equity raises. Modelled cash flows would turn negative, roughly -$0.75 per share; we floor the case at zero because shareholders cannot owe more than they have invested, and we deliberately do not credit the company's $8.7 million of net working capital in this case. Margin-of-safety price and what would change the view. Owner earnings are volatile, one customer is concentrated, the company is small and the record is mostly losses, so the margin-of-safety price is set well below the base case unless the business proves itself: see the business condition attached. If three quarters of clean profitability arrive, our base value would move toward $3.50 per share and the margin-of-safety price would be $1.50. What would make this wrong on the downside: another lost large customer, gross margin falling back toward 25%, or new equity raised at low prices. What would make this wrong on the upside: the June 2026 profitability proving recurring beyond the July 2026 project. Things we could not fully reconcile. The June 2026 10-Q text was not available to us, only its reported figures, so we did not verify what portion of that quarter's profit came from one-off items. The Voltrek earnout dispute was settled in March 2026 for a $3.0 million cash payment that ended all further obligations and released liens; how much of that cash payment sits in operating versus financing cash flow was not separately verified. Nasdaq minimum-bid compliance was addressed by a 1-for-10 reverse split in August 2025; the share price in the February 2026 offering ($14.00) was above the minimum.
