Ameresco designs and builds energy-efficiency and renewable-energy projects for customers (federal, state and local governments, utilities, hospitals, universities), operates and maintains them under multi-year contracts, and increasingly builds and keeps renewable plants of its own: solar, battery storage, landfill gas and renewable natural gas. At the end of 2025 it owned or operated plants totalling about 838 megawatt-equivalents, with about 853 more in development or construction. It reported 2025 revenue of $1.93 billion, up 9.2%, and net income of $56.7 million ($0.83 per diluted share attributable to common shareholders). How we measure earnings. Reported operating cash flow is negative most years (an $80 million outflow in 2025) because customer-project costs, unbilled revenue and federal energy-savings contract receivables run through operations, while the matching financing arrives as borrowings. We remove that working-capital swing ($219 million outflow in 2025), deduct stock compensation ($14 million), and deduct maintenance spending only: office and equipment purchases plus the major maintenance the company reports on its own energy assets ($30 million in 2025). The roughly $326 million spent building new energy assets in 2025 is treated as growth investment and is not deducted, but, for the same reason, we credit no earnings growth from it. On this basis owner earnings per share were $2.05, $2.17 and $2.59 in 2020 to 2022, then $1.72, $1.42 and $1.77 in 2023 to 2025. We use the 2023 to 2025 median, $1.72, because interest costs on the larger debt load have since reset the level of earnings: net interest expense was $87.9 million in 2025, and the earlier, higher years pre-date that. The 2025 figure was 24% above 2024; our first-year figure is $1.72, below the 2025 result, so nothing in the near term rests on growth continuing. Depreciation of energy assets ($99.7 million in 2025) is added back automatically; because those assets wear out, each case fades to zero rather than growing. Base case, about $17.70 per share. Earnings of $1.72 a share hold for ten years, then fade in a straight line to zero over the next fifteen. Support: $3.9 billion of fully-contracted project backlog (about 30% due to be recognized within twelve months), $1.5 billion of operations-and-maintenance backlog under signed multi-year contracts, owned plants financed with loans running out to 2047, and a business operating since 2000 with recurring customers. We leave out growth from the 853 megawatt-equivalents still to be built, from the $2.7 billion of assets in development, and from any margin improvement: they need capital not yet raised, so they are not secured. Bear case, about $7.20 per share. Earnings drop to the 2024 low of $1.42 and begin to fade after two years, reaching zero after twelve. Named risks: total debt and financing leases of $1.94 billion against about $94 million of 2025 owner earnings, with $132 million of debt due within a year; unbilled revenue that absorbed $191 million of cash in 2025 and is exposed to project write-downs; asset impairments of $12.4 million in 2024; and the July 2025 federal tax-law change that phases out certain solar and battery credits that help fund new plants. Bull case, about $23.60 per share. Owner earnings of $2.30 a share for ten years (roughly the 2020 to 2022 average of $2.27 and below the 2022 peak of $2.59), then a fifteen-year fade. This assumes the plants now under construction are completed and earn, and that project profitability holds at the 2025 gross margin of 15.7%, up from 14.5% in 2024. What the numbers do not do. Consistent with how we value all companies, we do not subtract the company's debt or add its cash to these values, because owner earnings are already after interest. But roughly $1.9 billion of debt must be repaid from these plants and contracts over time, so if lenders would not refinance or extend loans, real cash to shareholders could be well below the base value; that is the core of the bear case. The largest 20 customers were 57.2% of 2025 revenue. Federal customers were 15.1% of 2025 revenue versus 29.3% in 2023, and Europe rose to 27.4%. What would make this wrong: a further rise in borrowing costs, project cost overruns, or slower conversion of awards into signed contracts (the company says about 90% have historically converted). We could not fully reconcile the swing between 2022's $2.59 and 2024's $1.42 to a single cause; higher interest and the growing share of assets carrying debt are the largest identifiable factors.
