NetScout Systems provides software and appliances that let large enterprises, telecom carriers, and government agencies see what's happening on their networks -- spotting performance problems (its Service Assurance line, built around nGeniusONE) and detecting and blocking distributed denial-of-service attacks and other threats (its Cybersecurity line, built around the Arbor Sightline and Omnis products). Most revenue comes from multi-year license and maintenance/subscription contracts, which makes reported revenue and cash flow lumpy from year to year depending on when large renewals land, but which underpins a durable, high-margin recurring base. Over the past decade the underlying cash-generating power of the business -- cash from operations after removing the swings in working capital, the cost of employee stock compensation, and the capital spending needed just to keep the business running -- has ranged from about $0.71 to $1.72 per share, with a typical year producing about $1.30 per share. That $1.30 is our starting point for value. Two accounting items are worth explaining because they moved reported profit dramatically without touching cash. In fiscal 2024 and fiscal 2025 the company wrote off a combined $644 million of goodwill, because its stock price and market value had fallen well below the accounting value carried for its network-security acquisitions. These write-downs produced large reported losses in both years, but operating cash flow was essentially unaffected -- the business kept generating $150-220 million a year in cash. We have valued the company on that cash-generating power, not on the accounting write-downs. We project owner earnings forward for ten years, discounted at a flat 6% (we use the same rate for every company and put the risk judgment into the spread between the pessimistic and optimistic cases below, not into the discount rate). Beyond ten years we conservatively assume owner earnings simply holds at its year-10 level rather than continuing to grow -- this is a mature, competitively exposed business, and we don't think it is prudent to assume indefinite growth from here. Base case: modest, low-single-digit growth (roughly 3% a year) as flat-to-slightly-growing demand for network monitoring and security is supplemented by NetScout's ongoing share buybacks (it has repurchased roughly a fifth of its shares outstanding over the past decade). This produces a value of roughly $27 per share. Fiscal 2026's reported owner earnings jumped about 34% year over year, but we traced most of that jump to the timing of contract renewals and deferred revenue rather than a durable improvement in margins, so we have not carried that growth rate into the base case. Bear case (roughly a one-in-ten outcome): cloud-native monitoring platforms and cloud-based DDoS mitigation services increasingly displace NetScout's on-premises appliances and license model, renewal rates soften, and the favorable working-capital swing that helped fiscal 2026 reverses. Owner earnings resets to roughly $1.00 per share and drifts down about 3% a year rather than growing. In this scenario the shares are worth roughly $11. Bull case (roughly a one-in-ten outcome on the upside): the cybersecurity line keeps growing at the high-single-digit rate it posted this past year, as the volume and scale of denial-of-service attacks -- which NetScout's own threat-intelligence data tracks -- keeps rising, while service assurance stabilizes around cloud and 5G network-visibility needs. Combined with continued buybacks, owner earnings compounds at roughly 8% a year for a decade. In this scenario the shares are worth roughly $45, though more than two-thirds of that figure depends on the business sustaining close to its year-10 earning power indefinitely, which is the least certain part of the bull case. Because the pessimistic case comes in well below half of our base-case estimate, we think a meaningful discount to that estimate is warranted -- the margin-of-safety price is around $16 per share. At that price the bear case is set against the price with less room for a large shortfall, while the base and bull cases imply upside if the business performs in line with or better than our base case. The company carries very little debt today -- it has paid down essentially all of its acquisition-era borrowings and ended its most recent fiscal year with about $586 million of cash -- which meaningfully limits the downside we would otherwise need to price into the bear case for a business facing real competitive pressure.

Revenue grew 4.5% (cybersecurity +8%, service assurance +3%); much of the OE jump vs FY2025 reflects favorable working-capital timing (deferred revenue/accrued comp build) rather than a durable step-change in margins, so this year is not used to raise the forward growth assumption.
