Business condition attached to the margin of safety The bank revolver maturing July 27, 2027 (about $104M outstanding at June 30, 2026) is refinanced or extended to 2029 or later without substantial issuance of new shares, and full-year 2026 owner earnings (operating cash flow less working-capital swings, stock compensation and capital spending) are positive.
Noodles & Company runs about 400 fast-casual restaurants in 31 US states (340 company-owned and 83 franchised at the end of 2025) selling noodle and pasta bowls, soups and salads. Revenue has been essentially flat for a decade at roughly $455-510 million while the restaurant count shrank, and the company has struggled to turn those sales into cash for its owners. What the business has actually earned. We measure owner earnings as operating cash flow, stripped of short-term working-capital swings, less stock compensation and the capital spending needed to keep the restaurants running. On that basis the company earned about $2.30 per share in its best years (2019 and 2021) but lost money for owners in six of the last ten years: 2025 was about -$1.53 per share (-$8.9 million), 2024 -$3.93 and 2023 -$5.58. The 2022-2024 losses came mainly from an aggressive new-restaurant program ($34 million, $52 million and $29 million of capital spending) that produced no revenue growth; the company has since said those new units earned lower-than-expected returns, impaired many of them, and is opening no company restaurants in 2026. Because revenue did not grow, we treat that spending as a cost of the business rather than as growth investment. Across 2017-2025, which includes the pandemic year, the median is roughly -$1 per share. Accounting choices. Restaurant impairment and closure charges ($22.2 million in 2025) are non-cash and are added back; their economic cost is carried instead in the shrinking-footprint assumptions of each case. The line reflecting cash rent paid in excess of straight-line rent expense is a recurring cash cost (and in 2025 included payments to exit leases on closed restaurants), so we kept it as a cost rather than treating it as a timing swing. Per-share figures reflect the 1-for-8 reverse stock split of February 2026, which restored compliance with Nasdaq's $1 minimum price rule in March 2026. What has changed recently. Two consecutive quarters point to a real improvement. In the first half of 2026 operating cash flow was $9.3 million versus $3.2 million a year earlier, capital spending fell to $3.6 million from $6.3 million, and operating results before impairments swung from a loss of about $8.7 million to a profit of about $5.2 million, on flat revenue ($250.8 million versus $250.2 million) despite 19 restaurant closures in January and February. Company-owned comparable sales rose 4.3% in 2025, helped by a new menu (Delicious Duos, Chili Garlic Ramen) and by customers transferring from closed locations to nearby ones. Management plans 30-35 closures in 2026 and capital spending of $9.5-10.5 million, mostly reinvestment in existing restaurants. Owner earnings improved by $2.40 per share in 2025; our base case assumes an improvement of the same size in 2026 (to about +$0.87 per share), not faster. The debt. The company owed $110.2 million under its bank revolver at the end of 2025 ($104.4 million at June 30, 2026) at variable rates of roughly 7.6%-10.3%, held just $1.3 million of cash, had negative shareholders' equity (-$51 million at mid-2026), and carries about $153 million of restaurant lease obligations. The revolver matures July 27, 2027. Cash interest rose from $1.4 million in 2021 to $9.3 million in 2025, which by itself explains much of the drop in owner earnings versus 2019-2021. A board review of strategic alternatives begun September 3, 2025, covering a refinancing or a sale of all or part of the business, was still in process at the time of the annual report. We do not subtract the debt separately because owner earnings are already measured after interest; the debt is reflected in the cases instead. Base case (about $12 per share): The closure program and menu-driven sales gains hold, capital spending stays near the guided $10 million, and the revolver is refinanced at roughly today's cost. Owner earnings of about $5 million in 2026 rise to about $8 million a year by 2029 as weak units are gone and debt is gradually repaid, and hold there through 2035. We see no durable competitive advantage that we can evidence (the chain has been closing restaurants for a decade), so after 2035 earnings fade to zero over the following ten years. Bear case (about -$6 per share): The sales boost from closures proves one-time, results fall back to the 2025 level, and the 2027 refinancing is only available at a higher rate. Owner earnings run about -$6 million to -$9 million a year, funded by more borrowing, until lenders take control within about five years and shareholders are left with nothing. In this case the company owes more than the business is worth, by roughly $35 million. Bull case (about $26 per share): Comparable sales keep rising, closures lift restaurant margins back toward 2019-2021 levels, capital spending stays near $10 million, and surplus cash pays down debt, cutting interest. Owner earnings reach about $15 million by 2029 and about $17 million a year from 2031, then fade over fifteen years after 2035. The margin-of-safety price. The range between cases is very wide and the downside is below zero, so price alone is not enough. The margin-of-safety price is about $5, applying once the revolver is refinanced beyond 2027 without heavy issuance of new shares and full-year 2026 owner earnings are confirmed positive. What would make this wrong. The base case rests on the first-half 2026 improvement lasting and on an orderly 2027 refinancing. A return to 2025-style cash burn, or a refinancing that requires issuing many new shares, would push value toward the bear case. We reviewed the reported figures from the second-quarter 2026 report but not its full text, so management's mid-2026 commentary on lender discussions and closure costs was not verified.
