MAXLINEAR, INC (MXL) stock intrinsic value fair value estimate & owner earnings analysis

Margin of safety$0.80 ComplexityHigh Updated
-$2.63 $6.59
bear -$2.63 base $1.83 bull $6.59 margin of safety $0.80 market price* $71.32
Business condition attached to the margin of safety The Silicon Motion merger-termination arbitration is resolved with no award or settlement larger than roughly $50 million, and the company reports at least two consecutive quarters of positive cash from operations after stock-based compensation, capital spending and working-capital swings.
WHAT THE BUSINESS IS MaxLinear, based in Carlsbad, California, designs communications chips and has them made by outside foundries (mainly TSMC and UMC). In 2025 it had $468 million of revenue from four groups: broadband chips for cable and fiber gateways and modems ($204 million, 44%); infrastructure products, including optical-transceiver chips for hyperscale data centers and wireless backhaul radios ($148 million, 32%); Wi-Fi and home-networking connectivity ($78 million, 17%); and industrial and multi-market interface and power chips ($37 million, 8%, down from $174 million in 2023). Most product ships to contract manufacturers in Asia (Hong Kong alone took 49% of 2025 shipments). The finished equipment is sold worldwide. Two customers made up 28% of 2025 revenue and the top ten made up 65%. WHAT IT HAS ACTUALLY EARNED FOR OWNERS We measure owner earnings as operating cash flow, stripped of working-capital timing swings, after treating stock-based pay as the real cost it is and after the capital spending needed to stay in place. That spending includes the design-tool and IP licenses the company buys every year. Per share, the last ten years were: 2016 $1.21, 2017 $0.55, 2018 $0.50, 2019 $0.24, 2020 -$0.25, 2021 $1.15, 2022 $2.05, 2023 -$0.35, 2024 -$2.37 and 2025 -$1.33. Taken together, the decade produced only about $67 million for owners over two full chip cycles, so the business has roughly broken even. The 2021-2022 boom, which was helped by industry-wide chip shortages, was followed by a deep inventory correction. Revenue fell from $1.12 billion in 2022 to $361 million in 2024. That drop came on top of the costs of the failed Silicon Motion merger and three years of restructuring. Stock-based pay has also grown, from $32 million in 2019 to $77 million in 2025 and $47.5 million in just the first half of 2026. Diluted shares rose from 66 million in 2017 to about 90 million basic shares by mid-2026. Amortization of acquired intangibles is added back because it is a sunk acquisition cost. It has shrunk from $67 million in 2021 to $13 million in 2025, so it no longer flatters the numbers much, and product-generation turnover is already captured in the cycle-long record we anchor on. THE STARTING POINT We anchor on the median of 2017-2025, which covers two full up-and-down cycles since the Exar acquisition. That median is $0.24 per share. We check it against today's cost structure. At the first-half 2026 revenue rate of about $610 million a year, the business runs close to breakeven for owners. Average revenue since the 2020 purchase of Intel's home-gateway business has been about $670 million, which on today's costs supports roughly $0.15-$0.20 per share. We use $0.20 as the normal, through-the-cycle level. Recent results are improving. Revenue grew 30% in 2025. First-half 2026 revenue was $306 million, up 49%, and the June 2026 quarter ($169 million) produced the first quarterly net profit since 2022. Restructuring charges fell to $0.5 million in the first half from $13.5 million a year earlier. Owner earnings improved by about $1.04 per share in 2025. Our base case assumes a further step of about $1.48, to $0.15 per share in year one, and we accept that faster improvement only because the first-half 2026 results already show it. THE CASES (all discounted at 6%) Base, about $1.83 per share. Revenue settles around its cycle average as broadband and data-center optical products recover from the 2023-2024 inventory correction. Owner earnings run near $0.20 per share for ten years, with growth in dollars offset by continued share dilution. After year ten we fade earnings to zero over another decade. MaxLinear has a 20-year record of replacing one product generation with the next, but it has never shown compounding earnings for owners after stock-based pay, so we give no credit beyond that. The base case assumes the Silicon Motion arbitration ends without a payment, which is the company's stated position. No amount has been accrued. Bear, about -$2.63 per share. The recovery stalls near today's run rate, owner earnings lose about $0.40 per share a year for three years (still milder than the $342 million lost in 2023-2025), and cost cuts then only get the business to breakeven. Silicon Motion also wins its arbitration. MaxLinear ended the $3.8 billion merger in July 2023, and Silicon Motion filed with the Singapore International Arbitration Centre in October 2023, seeking the $160 million termination fee in the merger agreement plus further damages. MaxLinear had only about $65 million of cash at June 30, 2026, against a $124 million term loan, so an award would have to be paid with new borrowing or new shares. In this case the company is worth less than nothing to shareholders, falling short of its obligations by roughly $250 million. Bull, about $6.59 per share. Lower costs meet a stronger cycle. Research spending has already been cut from $270 million (2023) to $209 million (2025), and restructuring spending has largely ended. If revenue returns toward the $900 million to $1.1 billion range the company actually reached in 2021-2022, helped by optical data-center and broadband gateway products, owner earnings could reach about $1.10 per share at the peak. Average earnings over ten years would be about $0.70 per share, including a downturn. The arbitration ends with no payment. Earnings then fade over a further decade. WHAT WOULD MAKE THIS WRONG On the upside, a structurally higher share of data-center revenue that holds up through a downturn would break the pattern of every peak being followed by losses. On the downside, the arbitration outcome, customer concentration and the June 2028 maturity of the term loan are the key risks. The arbitration is confidential, and its size and timing cannot be judged from the filings. Because the worst case is below zero, price alone is not enough. The margin-of-safety price of about $0.80 per share applies only once the arbitration is resolved without a large award and the company shows positive owner earnings for at least two quarters; it is a wide margin of safety for a cyclical, diluting business with a history of roughly breakeven owner earnings.
