MACOM designs and sells high-performance RF, microwave, millimeter wave, optical and photonic semiconductor products. About 32% of fiscal 2025 revenue came through distributors, no single direct customer exceeded 10%, and the ten largest direct and distribution customers made up 56.7%. About 56% of sales went to customers outside the United States. How we measure earnings. We start from operating cash flow and remove working-capital swings, stock compensation (a real cost, so we deduct it) and the part of capital spending needed just to stand still. Over the last ten fiscal years this gives owner earnings per share of roughly $1.27, $0.37, -$1.09, -$1.08, $0.66, $1.78, $2.24, $1.84, $1.76 and $2.20 (fiscal 2016 to 2025). The negative years of 2018 and 2019 came when revenue fell from $699 million to $500 million; the business then recovered and has produced positive owner earnings every year since. We use fiscal 2022 to 2025 as the normal level (median about $2.02 per share), because it covers a downturn year (revenue fell to $648 million in fiscal 2023) and the current, larger business. Earlier years are excluded because the company was smaller and in a very different cost position. Accounting points. Fiscal 2025 shows a net loss of $54 million because of a $193 million charge for exchanging convertible notes; it involved no cash cost through operating cash flow, so it does not reduce owner earnings. Depreciation and amortization (about $63 million in fiscal 2025) are added back as non-cash. Cash and debt on the balance sheet are not added or subtracted, because owner earnings are already after interest paid and include interest earned; this means the values below reflect the operating business only. Growth. Owner earnings grew about 25% in fiscal 2025 ($2.20 versus $1.76 per share). Revenue in the first nine months of fiscal 2026 was $903 million against $706 million a year earlier, and operating cash flow was $202 million against $166 million. Capital spending in that period was $46.9 million versus $22.3 million, so growth in cash flow has largely been reinvested rather than turning into higher owner earnings. We do not credit any of this acceleration as future growth: the company sells on purchase orders rather than long-term contracts, and we found no signed commitments, backlog or repeatable expansion process to treat as secured. Our base case therefore starts at the normal level and holds it rather than extending the recent pace. Base case, about $24 per share. Owner earnings stay flat at roughly $2.02 for 15 years, then fade to zero over the following 15 years. The support is a ten-year record of positive owner earnings in eight of ten years, research and development that is already charged against earnings each year, and revenue that has stayed between $500 million and $967 million. Nothing beyond that is assumed. Bear case, about $5.50 per share. A repeat of the 2018 to 2019 pattern, when revenue fell 27% from its peak and owner earnings were negative: two years of roughly zero, then recovery only to about $0.66 per share (the fiscal 2020 level) for ten years, then a fade to zero. Named risks are the customer concentration described above and the company's own record of a sharp downturn. The company also has convertible notes due in 2029 and 2026 that will need to be settled in cash for principal; that leverage is what makes this case weak. Bull case, about $32 per share. Owner earnings hold at about $2.70 per share, roughly a quarter above normal, for 15 years and then fade over 15 years. This rests on the fiscal 2026 nine-month cash flow growth being sustained at the higher revenue base, not on further growth. What would make this wrong. If the higher capital spending seen in fiscal 2026 proves to be permanent, normal owner earnings would be lower than $2.02. If revenue keeps its fiscal 2026 pace and the added spending yields lasting profit, the bull case is too low. Working-capital and other items in the cash flow statement reconcile to reported operating cash flow for fiscal 2025; earlier years were not reconciled line by line.
