Marvell Technology is a fabless chip company (it designs semiconductors and others manufacture them) supplying data infrastructure from the data center core to the network edge. The business has changed shape quickly. In the fiscal year ended January 31, 2026, revenue was $8.19 billion, of which $6.10 billion (74%) came from data center customers, compared with 40% of $5.51 billion two years earlier. Along the way the company launched a fiscal 2025 restructuring that moved research spending toward the data center and away from other markets, sold its automotive ethernet business to Infineon for $2.5 billion in cash in August 2025, and in February 2026 bought Celestial AI (photonic interconnect; about $1.3 billion in cash plus about 24.5 million shares, with further milestone payments possible through fiscal 2029) and XConn Technologies (PCIe and CXL switching; about $280 million in cash plus about 2.1 million shares). In March 2026 NVIDIA bought $2.0 billion of convertible preferred stock that converts into up to about 21.8 million common shares at about $91.84, shares in dividends and liquidation as if converted, and cannot be redeemed, so we treat it as common equity rather than debt. How we measured earnings. We start from cash generated by operations, remove working-capital swings (large here: receivables alone rose $1.16 billion in fiscal 2026, and the company has also been selling some receivables to a financial institution), deduct stock-based pay in full as a real cost, and deduct the capital spending needed to maintain the business (about 4.2% of revenue on average, with the part tied to revenue growth treated as expansion). Amortization of acquired intangibles ($942 million in fiscal 2026) is added back because it reflects prices paid for past acquisitions rather than a current cash cost; because acquired product lines wear out, we carry that decay in the case paths instead of in the earnings level. One-time gains on selling the Wi-Fi business (fiscal 2020) and the automotive ethernet business (fiscal 2026) are excluded. On that basis owner earnings were $915 million in fiscal 2022, $1,241 million in fiscal 2023, $367 million in fiscal 2024, $681 million in fiscal 2025 and $2,015 million in fiscal 2026. Because we value the business before its lenders and then subtract what it owes, we add back cash interest ($178 million in fiscal 2026), giving business cash flow of $854 million in fiscal 2025 and $2,193 million in fiscal 2026. The fiscal 2026 figure still carries income tax on the automotive ethernet gain, which the filing does not break out, so if anything it is slightly understated. The starting level. We measure from the data center refocus, fiscal 2025 and fiscal 2026, a median of about $1.52 billion a year of business cash flow. Earlier years describe a company where enterprise, carrier, consumer and automotive products made up most of sales. That period deliberately includes a weak year, and history shows how cyclical these earnings are: business cash flow fell 61% from fiscal 2023 to fiscal 2024 when non-data-center markets corrected. Recent results run well above the starting level: first-half fiscal 2027 revenue was $5.16 billion, up 32% from $3.90 billion a year earlier, and owner earnings were roughly $1.1 billion for the half even though stock-based pay jumped to $534 million from $296 million. Business cash flow grew 157% in fiscal 2026; our base case assumes roughly no growth in the first year (about $2.2 billion, in line with fiscal 2026), well below that trailing rate. What we credit and what we leave out. No growth is credited in any case. Continued growth in AI data center spending, new custom-chip programs, revenue from the Celestial AI products and share gains all depend on things that have not yet happened or on a market expanding, so they are left out. The evidenced risks are concentration and China: two customers each supplied at least 10% of fiscal 2026 revenue and the ten largest supplied 82%, and 36% of fiscal 2026 revenue shipped to China, where the company expects U.S. export restrictions on certain Chinese customers to keep affecting revenue. Acquisitions have not always held their value either: fiscal 2025 carried about $712 million of restructuring and impairment charges. Base case: business cash flow holds at about $2.2 billion a year for three years (the level already earned in fiscal 2026 and exceeded in the first half of fiscal 2027), then fades over three years to the $1.52 billion through-cycle level as today's acquired product lines age and custom programs turn over, and stays there, supported by a research budget of about $2.1 billion in fiscal 2026 and a business that still produced $540 million of business cash flow in the fiscal 2024 downturn. The business is worth about $27.7 billion; it owes a net $2.5 billion; the difference, about $25.1 billion, is about $27 per share. Bear case: the current level lasts only briefly, at $2.0 billion and then $1.5 billion, before settling at $1.0 billion a year indefinitely, the median of fiscal 2022 to 2026 including the fiscal 2024 trough, reflecting the loss of a major custom program at a product generation change and tighter China export rules. The business is worth about $18.1 billion; less $2.5 billion owed leaves about $15.5 billion, about $17 per share. Even here business cash flow covers annual interest of roughly $230 million more than four times. Bull case: the first-half fiscal 2027 pace of about $2.5 billion a year holds for ten years as existing programs and the electro-optics business execute, then settles at the fiscal 2026 level of about $2.2 billion. The business is worth about $38.9 billion; less $2.5 billion owed leaves about $36.3 billion, about $39 per share. What it owes. At August 1, 2026 the company had $4.96 billion of long-term debt and $3.93 billion of cash. The notes carry fixed coupons from 2.45% to 5.95%, mostly below our 6% benchmark, which lowers their economic burden by about $0.24 billion. In April 2026 it issued $1.0 billion of 5.30% notes due 2036 to repay its 1.65% notes due 2026; about $1.2 billion comes due in 2028 (2.45% and 4.875% notes), which the business can comfortably refinance or repay in every case. We also count the $750 million liability recorded for contingent acquisition payments (the Celestial AI agreement provides for milestone payments through fiscal 2029), and we keep $1.0 billion of cash for operations, treating the remaining $2.9 billion as surplus. Net amount owed: about $2.54 billion. Per-share figures use about 921 million diluted shares, the latest diluted count, which by our reconciliation of share movements already includes the NVIDIA preferred as if converted. Customer warrants over about 5.2 million shares at about $87 to $88 are small and left out. What would make this wrong. The estimate proves too low if data center earnings keep compounding for many years, because none of that growth is credited here. It proves too high if one or two of the largest customers move a program elsewhere, which given 82% concentration would push results toward the bear case quickly. Given how cyclical and concentrated the earnings are, the margin-of-safety price is about $16 per share, roughly the bear-case value.

Chart analysis
A chartist would see a powerful primary uptrend: the shares rose about 213% over the past year to $261.93 on September 25, 2026. Over the last three years the stock has ranged from about $46 to about $330, so it now sits roughly 21% below that three-year high after slipping about 7% over the past three months. The price has bounced about 11% in the last two weeks, with nearby support around $248 and resistance around $270 on a one-standard-deviation band. A push through resistance would be read as the consolidation ending; a break below support would point to a deeper giveback of the year's gains.
