MVB Financial is the holding company for MVB Bank, a bank of about $3.3 billion in assets at the end of 2025 ($3.55 billion by June 30, 2026), based in West Virginia. It runs two businesses. The first is a traditional commercial and retail bank with seven full-service branches, six in North Central West Virginia and one in Northern Virginia, that also lends in Maryland, North Carolina and South Carolina. The second is a national Fintech banking unit that holds deposits and moves money for payments companies, banking-as-a-service platforms and online sportsbooks. At the end of 2025 Fintech clients held $1.21 billion of the bank's $2.84 billion of deposits (payments $660.3 million, banking-as-a-service $329.5 million, gaming $184.3 million), and 40.3% of all deposits paid no interest. That cheap funding is the heart of the franchise. The bank also owns a stake in Intercoastal Mortgage, into which it combined its mortgage business in July 2020, and has been selling side businesses: its stake in Trabian in January 2025 and Victor Technologies to Jack Henry & Associates on September 30, 2025, for a $34.2 million pre-tax gain. How we measured earnings. We start from operating cash flow and remove timing items (mortgage loans held for sale and changes in other assets and liabilities), stock compensation and equipment spending. For credit costs we deduct the loans the bank actually wrote off, net of recoveries: $8.6 million in 2022, $9.3 million in 2023, $4.4 million in 2024 and $5.6 million in 2025. We do not deduct the full accounting provision, which also includes reserves set aside for loans not yet lost; in 2025 the provision of $8.7 million ran ahead of write-offs mainly because loans grew by $243.0 million, and we account for growth separately by holding back the capital it requires. On this basis owner earnings were $0.16, $2.61, $2.72, $1.63, $0.90 and -$0.63 a share from 2020 through 2025. The swings are mostly timing: in 2020 the bank's equity-method investments, chiefly the mortgage affiliate, earned $27.6 million for it but paid out only $3.4 million, then caught up with $31.0 million of payouts in 2021; in 2025 the bank paid cash tax on the Victor gain while the gain itself is excluded, and $8.2 million of equity-method profit, mostly from the mortgage affiliate, was not paid out. We use the median of these six years, about $1.27 a share, covering the business since the 2020 mortgage combination and a full interest-rate cycle. As a cross-check, profit after removing one-time gains and losses and using actual write-offs was roughly $0.73 a share in 2024 and $0.55 in 2025, so the recent trough sits below our starting level. Recent results. The 2025 drop came from one-time items and from net interest income shrinking from $123.3 million in 2023 to $107.4 million in 2025 while operating expenses stayed near $122 million. That has now turned for three straight quarters: net interest income was $28.4 million in the fourth quarter of 2025, $28.5 million in the first quarter of 2026 and $32.3 million in the second, following a third-quarter 2025 sale of low-yielding bonds that cost about $7.6 million. First-half 2026 net interest income was $60.7 million against $52.5 million a year earlier, and pre-tax income was $22.7 million against $8.0 million. First-quarter profit of $5.2 million, annualized, is about $1.57 a share. Second-quarter profit of $12.3 million was helped by noninterest income of $18.8 million, more than double the first quarter's, and we could not confirm how much of that will repeat, so we did not treat it as recurring. Operating cash flow for the first half was negative $18.1 million, which we could not reconcile from the information available; we did not rely on it either way. Base case ($25.46 a share). Year-one earnings of about $1.55 a share, a 0.60% return on assets. That is above the $1.27 starting level even though 2025 earnings fell, and the reason is the rise in net interest income already reported for three quarters, not a hoped-for recovery. Return on assets then holds at 0.60% and assets grow 3% a year for ten years, below the roughly 4.3% a year achieved from 2021 to 2025. A bank must keep about 10 cents of equity for every new dollar of assets, so at 3% growth only about half of each year's earnings, roughly $0.79 of the $1.55 in year one, is actually available to owners. After year ten the bank stops growing and pays out its full earnings to year 30. At that point we count the return of the bank's equity as its loans run off: deposits and the roughly $73 million of subordinated debt are repaid first from maturing loans and securities, and only what is left comes back to shareholders. Before that point no debt is subtracted, because a continuing bank rolls its funding. Bear case ($13.17 a share). Profitability falls back to the 2024-2025 level after removing one-time items, about a 0.25% return on assets, as the Fintech deposit base shrinks and compliance and technology costs stay high. The evidence is already in the filings: on-balance-sheet gaming deposits fell from $227.6 million to $184.3 million in 2025, $137.0 million of gaming deposits sit with just three clients, and deposits the bank places at other banks for its programs fell from $1.42 billion to $732.9 million. Assets shrink 4% in the first year, and the capital that frees up is paid out; assets then hold flat for ten years, earnings fade to nothing between years 11 and 20, and 85% of the bank's equity comes back at the end, allowing for credit losses in a run-off, again only after deposits and subordinated debt are repaid. The bank is leveraged roughly ten to one, so small shortfalls in earnings hit owners hard; that is carried in this case. Bull case ($43.23 a share). The low-cost Fintech deposit base keeps growing (Fintech deposits rose from $964.1 million to $1.21 billion in 2025) and the higher-yielding balance sheet lifts return on assets to 0.75% in year one, 0.85% in year two and 0.90% from year three, below the roughly 1.0% annualized pace of the first half of 2026 and the 1.4% earned in 2021. Assets grow 6% a year for ten years, below the 7% the bank added in the first half of 2026 alone. Faster growth ties up more capital, which is why this case is worth less than its earnings alone suggest. The bank then holds flat to year 40, when its equity is returned after all deposits and debt are repaid. Our earlier figures were $15.15, $27.20 and $46.21 a share. This update measures credit costs by loans actually written off rather than the accounting provision, spreads value over the fully diluted share count, and sets the downside on the bank's actual 2024-2025 profitability; together these lower all three values modestly. What could make this wrong. The Fintech niche depends on regulators continuing to accept banks serving payments, banking-as-a-service and gaming clients, and on a limited number of client relationships; losing a large client or facing regulatory restrictions would push results toward the bear case. Commercial real estate loans include office and retail properties concentrated in Northern Virginia and the Washington, D.C. area, with office loans also in Southwest Pennsylvania and North Central West Virginia. Loan write-offs ran near $9 million a year in 2022 and 2023, well above 2024-2025. Cash dividends of $8.7 million, about $0.68 a share, exceeded recurring earnings in 2025. On the other side, if the 2026 margin recovery holds for several more quarters, earning power is closer to the bull case than our starting level implies. Margin-of-safety price. The margin-of-safety price is $15, about 40% below the base case, a little above the bear case and roughly 0.57 times book value of about $26 a share. The wide discount reflects the swings in profitability, the concentration in Fintech deposits and the leverage inherent in a bank. From that price, a move toward the base case over a few years plus the dividend implies roughly a 20% annual return.
