Metropolitan Bank Holding Corp. owns Metropolitan Commercial Bank, a New York City commercial bank that lends mainly against commercial real estate and to businesses, and funds itself with deposits from specialised business verticals (payments companies, escrow and title, and similar). Deposits reached $7.4 billion at December 31, 2025, up 23.3% in the year, with about 20% in non-interest-bearing accounts. What earnings we use. We measure earnings as cash from operations, less the timing swings in receivables and payables, less stock compensation, less the part of capital spending needed just to stand still. On that basis the business earned about $4.95 per share in 2024 and $7.67 in 2025 (a 55% jump). Earlier years ran $3.46 to $8.22, but those years include a prepaid-card and payments-processing business (the Global Payments Group, or GPG) that the bank exited during 2024. Non-interest income has fallen from $27.9 million in 2023 to $11.9 million in 2025, so we treat the business as transformed and anchor on 2024 and 2025 only. Their median is about $6.30 per share. That is below 2025 because 2025 benefited from a large non-cash credit reserve build being added back (the provision was $37.6 million against only $3.7 million of actual net charge-offs), and 2024 was depressed by a $10.0 million regulatory reserve. We removed the roughly $88 million one-time cash inflow in 2024 as the GPG receivable unwound, since it was a timing effect, not earnings. Base case: about $6.30 per share a year, held flat for ten years, then fading in equal steps to zero over the following ten years, for a value of about $59 per share. The year-one assumption sits below the latest actual (2025: $7.67) so no acceleration is assumed. We credit no growth. The bank has grown rapidly, but that growth was funded partly by a 2021 share sale and by retained cash we already count as earnings, so it is not growth that is in the bag. The multi-year persistence we do credit rests on a deposit franchise and lending record spanning more than two decades and net charge-offs of only 0.06% of average loans in 2025; we do not extend it beyond twenty years because no contract or licence secures it. Bear case: about $32 per share. Non-performing loans rose to 1.05% of assets in 2025 from 0.45% in 2024, and the loan-loss allowance grew from $63 million to $97 million. We assume credit costs and renewed regulatory or legal expense hold earnings near $2.00 per share for three years, then recover only to $4.00 and fade to zero after year ten. The bank was subject to Federal Reserve and New York State regulator consent orders in October 2023 over the prepaid debit card program (the Federal Reserve has since lifted its order), and the filings warn that further actions related to it could be materially adverse. The bank is also leveraged as banks are, with a real estate loan book that magnifies any downturn. Bull case: about $77 per share. Earnings hold near $8.20 per share, close to what the bank has already earned in 2023 and 2025, for ten years and then fade as above. We do not assume new products or markets. What could make this wrong. Interim results for the first half of 2026 show net income of $50.6 million versus $35.1 million a year earlier, which supports the level but is not used to raise it. However, the reported diluted share count rose to about 12.5 million in the second quarter of 2026 from 10.7 million for 2025, and we could not determine from the filings reviewed why. If new shares were issued without a matching gain in earning power, our per-share figures would be too high by roughly 14%. Credit losses could also exceed the allowance if commercial real estate values fall further than the current reserve assumes. Bank earnings computed from operating cash flow exclude the capital a growing loan book must retain, so these values suit an investor who does not need the bank to grow.
