Business condition attached to the margin of safety The Recreation and Sport Fishing segment (acquired from Marine Products on May 15, 2026) reports an operating profit, excluding one-time purchase-accounting and deal costs, for two consecutive quarters.
MasterCraft Boat Holdings builds recreational boats sold through independent dealers. It reports three segments: Performance and Wake (fiscal 2026 net sales $271.2 million, operating income $21.5 million), Leisure (Crest pontoon boats, net sales $44.4 million, operating loss $16.0 million including a $10.1 million non-cash write-down of the Crest brand) and, since May 15, 2026, Recreation and Sport Fishing. About 11.3% of fiscal 2026 sales were international. What changed: on May 15, 2026 the company merged with Marine Products Corporation for $284.2 million, paid with 8,088,171 new shares plus $84.8 million in cash. Shares outstanding rose from 16.4 million (June 2025) to 24.4 million (June 2026). The company previously sold NauticStar (fiscal 2023) and Aviara (fiscal 2025); both are treated as discontinued and excluded from our figures. At June 30, 2026 it had $43.9 million of cash and no long-term debt, with $75 million of undrawn revolver capacity. Earnings power. We measure owner earnings as operating cash flow from continuing operations, less working-capital swings, stock compensation, and only the capital spending needed to maintain the plants (growth spending is excluded using the 3.05% average capex-to-sales ratio). The series is cyclical: $45.3 million (fiscal 2019), $19.5 million (2020), $47.3 million (2021), $87.6 million (2022), $88.6 million (2023), then $14.8 million (2024), $12.6 million (2025) and $18.4 million (2026). Fiscal 2026 rose 46% over fiscal 2025 while Performance and Wake unit sales grew 5.9% and gross margin improved to 22.9% from 20.0%. We anchor on the median of fiscal 2019 to 2026, $32.4 million, because that window holds a pandemic dip, a boom and a three-year downturn. Older years were left out because the business was much smaller and included units since sold. Figures for older years are as originally reported and may include those businesses. Marine Products: the filing gives no stand-alone owner earnings and only 1.5 months of results (net sales $33.3 million, operating loss $6.6 million after $2.6 million of inventory step-up and $2.9 million of amortization). We credit about $5 million a year, an estimate drawn from the filing's unaudited combined fiscal 2026 pro forma net income of $11.4 million; it is uncertain. No cost savings are credited because the filing quantifies none. Base case, $18.66 per share: owner earnings of about $37.4 million ($32.4 million MasterCraft median plus $5 million Marine Products), held flat for ten years, then fading 5% a year because nothing named or evidenced supports growth beyond the brands' long record. Growth in the base case is zero: last year's actual owner-earnings growth was +46% and the base assumes 0% from the anchor level. This does assume earnings return to the through-cycle median rather than staying at fiscal 2026 levels, which is the main way the base could be wrong. Bear case, $6.37: the fiscal 2024 to 2026 downturn simply persists, with owner earnings at that period's median of $14.8 million, Marine Products adds nothing, and the fade after year ten is 10% a year. Support: three straight years at or below $18.4 million, Crest losses ($9.4 million operating loss in fiscal 2025, $16.0 million in 2026 including the write-down), and $105.6 million of goodwill plus $65.1 million of intangibles recorded in the merger, which raise integration and write-off risk. Bull case, $27.54: owner earnings return to the $45.3 million reached in fiscal 2019 (and $47.3 million in 2021) plus $5 million from Marine Products, fading 3% a year. Support: Performance and Wake sales grew 12.6% in fiscal 2026 on both volume and a 5.8% higher price per unit, and it earned about $35 million before roughly $13.5 million of higher operating and merger costs. No debt is subtracted; the company has none. Excess cash is reflected only through the interest income in historical cash flow. Not reconciled: the purchase accounting is preliminary, and the Marine Products earnings contribution cannot be verified from the filings. What would make us wrong: a longer boat-market slump than fiscal 2024 to 2026, continued Crest losses, or a Marine Products business that stays unprofitable.
