Malibu Boats builds recreational powerboats sold through independent dealers under four segments: Malibu (towboats), Cobalt (premium cruisers and runabouts), Saltwater Fishing, and Saxdor, a Finnish maker of premium dayboats acquired on March 2, 2026 for about $203.9 million (cash, 1.5 million shares and an earnout of up to about $84 million). Fiscal 2026 (year ended June 30) net sales were $914.6 million, up 13.3%, but $84.3 million of that came from Saxdor. Units in the three legacy segments fell from 4,898 to 4,698, and dealer inventories were deliberately reduced. What we measure. We estimate what the business actually leaves for shareholders each year: operating cash flow, less swings in receivables, inventory and accrued liabilities, less stock compensation (treated as a real cost), less the part of capital spending needed just to keep the plants running. On that basis, per-share owner earnings over fiscal 2019-2026 were roughly $3.81, $2.28, $5.92, $7.20, $3.46, -$0.42, $1.62 and $1.34. The pandemic boom years (fiscal 2021-2023) are not a normal level for this business, so we excluded them; the median of the remaining years is about $1.60, which is our starting point. Fiscal 2024 was depressed by heavy plant spending and included a $100 million product-liability settlement (the Batchelder matter, partly covered by roughly $21 million of insurance received) that our method does not count as an ongoing cost, so we treat repeat exposure as a bear-case risk. Amortization of acquired intangibles (about $10.8 million in fiscal 2026) is added back, but the company wrote off $88 million of goodwill and intangibles in fiscal 2024, which is why acquisition risk sits in the bear case. Base case, about $26.50 per share. Owner earnings fell about 17% in fiscal 2026 ($1.62 to $1.34). We assume a rise to about $1.45 in the coming year because Saxdor, owned for only four months of fiscal 2026, contributes a full year, then a return to about $1.60 and flat thereafter as dealer inventories, already falling and expected to fall modestly further, come back in line with retail sales. We credit no market recovery, no share gains and no growth from new products. Flat earnings are supported by long-established brands and a dealer network that have produced positive owner earnings in seven of eight years. Bear case, about $8. Retail demand stays soft (management expects this in fiscal 2027), new tariffs costing 1.5% to 3% of cost of sales are not fully offset, and owner earnings hold near $0.90 for ten years and then decline 3% a year. A second product-liability payment of about $100 million, similar to Batchelder, is also assumed. The company has $165 million drawn on a $350 million credit line, so weaker earnings hurt more. Bull case, about $42. Saxdor integrates as planned, dealer stocking normalizes, and owner earnings reach about $2.60, still below fiscal 2019 and 2023 levels, and stay there. What could make this wrong: the Saxdor earnout, further write-offs, unresolved insurance disputes over the Batchelder matter, and a longer boating downturn than the bear case assumes. Saxdor's acquisition purchase accounting is still being finalized, and its earnings history is too short to judge, so we give it no credit beyond a full year of ownership. The margin-of-safety price reflects a large margin of safety because the business is cyclical, leveraged and litigation-exposed.
