Business condition attached to the margin of safety Evidence that overhead has been right-sized for the ~$85M-revenue retained business now that the Illumina sale has closed — e.g., a full quarter of SG&A meaningfully below the ~$103–110M annualized pace seen in 2024–2025, without a matching drop in revenue.
Standard BioTools makes instruments, reagents and services for single-cell and spatial biology research — its CyTOF and CyTOF XT mass cytometry systems, the Hyperion imaging platform, and the Biomark/Advanta microfluidics genomics line — sold to academic and biopharma customers worldwide. The company's recent history has been a round trip. In January 2024 it acquired SomaLogic, a proteomics-testing business, in an all-stock deal that roughly quadrupled its share count. In June 2025 it agreed to sell that same SomaScan business to Illumina, and the sale closed on January 30, 2026 for roughly $345 million in net cash plus up to $75 million more tied to 2025–2026 performance. The company kept its original mass cytometry and microfluidics business. The net effect: shareholders now hold a much larger share count and a much larger cash position (about $544 million, no debt, as of mid-2026) attached to essentially the same operating business the company had before 2024. That operating business has been shrinking for years — revenue fell from about $131 million in 2021 to about $85 million in 2025 — and it has not turned a profit in over a decade. Stripped of the now-divested SomaScan business, it lost about $91 million in 2024 and $59 million in 2025. The loss narrowed by about a third year-over-year, helped by rising interest income on the growing cash balance and by one-time merger-integration costs rolling off — but overhead itself has not yet shrunk to fit the smaller company: general and administrative costs were actually higher in dollar terms in 2025 than in 2024 despite lower revenue. That fact is the central uncertainty in this valuation, and it is why the base case assumes only modest, not dramatic, improvement next year — smaller than the improvement actually achieved this past year — with no assumption that costs get right-sized unless evidence shows it happening. Base case assumes the revenue decline continues but slows, interest earned on the cash balance keeps flowing, and losses keep narrowing gradually without the business reaching sustained profitability over the next ten years. Once the roughly $1.39-per-share cash position is added, this comes to about $0.19 per share. Bear case assumes the cost base is not brought into line with the smaller business — the same pattern seen between 2024 and 2025 — while revenue keeps eroding at its recent pace. On that path the company burns through most of its cash cushion within the ten-year window and would likely need dilutive financing to keep going, much as it did in 2022 when it raised money through preferred stock and bridge loans under financial strain. Little of today's per-share value would survive that path: about $0.02 per share. Bull case assumes the roughly $27 million of restructuring already taken in 2024–2025 succeeds in fitting overhead to an ~$85 million-revenue business, that revenue stabilizes — Europe, in particular, has already held roughly flat for three straight years even as other regions shrank — and that recurring reagent and service revenue tied to the installed base of instruments provides a durable floor. On that path the business reaches modest profitability within the forecast, and combined with the cash position is worth about $1.51 per share. A few accounting notes: the 2024 results include a one-time non-cash "bargain purchase gain" from the SomaLogic merger, and a long-running intangible amortization charge that has been winding down toward zero for several years; both are add-backs required by the methodology and are reflected in the scenario growth paths rather than in the earnings level itself. The exact split of operating cash flow between the retained business and the divested SomaScan business is not disclosed in the filings, so the near-term cash flow path for the retained business is estimated from the disclosed net-loss split rather than a directly reported cash-flow figure — noted here for transparency. What would have to be true for this to be wrong: mainly, whether management brings overhead down to match an ~$85 million revenue base. If it does, the shares are worth meaningfully more than the base case; if the pattern seen in 2025 — costs rising while revenue falls — continues, the downside case is closer to the mark.
