Business condition attached to the margin of safety The company shows that it can fund late-stage development without shrinking its cash, for example a signed partnership that pays for the cemsidomide trials, or annual cash outflow falling to roughly $60 million or less, while cash stays above $250 million.
C4 Therapeutics develops oral drugs that make the body destroy disease-causing proteins (targeted protein degraders). It has no product on the market. Its own lead drug, cemsidomide, is in development for multiple myeloma (a Phase 2 trial with dexamethasone and a Phase 1b trial with Pfizer's elranatamab), and a second candidate, CFT8919, targets an EGFR L858R mutation in non-small cell lung cancer and is in clinical development in Greater China through its partner Betta Pharmaceuticals. Revenue, $35.9 million in 2025, is research and licensing money from partners: Merck KGaA $18.5 million, Roche $8.8 million, Merck $6.0 million, Biogen $2.0 million and Betta Pharmaceuticals $0.6 million. What the business earns. Counting cash from operations, less the timing swings in partner prepayments and receivables, less stock compensation, less maintenance capital spending, the company has lost money every year. On a per-share basis: 2021 -$1.75, 2022 -$2.56, 2023 -$2.69, 2024 -$1.55, 2025 -$1.14. In 2025 the total was about -$94.9 million, versus about -$107.7 million in 2024, a loss about 12% smaller. We assume no improvement beyond that. Six-month 2026 results point to a similar outflow, about $99 million a year on the same basis. Stock compensation ($19.1 million in 2025) is treated as a real cost. Changes in deferred partner revenue were removed as timing, while lease payments were left in as an ongoing cost. What we can and cannot credit. The only things we can point to as facts are the cash and the contracts. As of June 30, 2026 the company held $300.4 million of cash and marketable securities, and its annual report states that the proceeds of its 2025 offering, together with existing funds, should cover planned spending until the end of 2028. The partner agreements list large potential payments: about $740 million from Merck KGaA, up to $357 million from Betta, and up to $273 million per target that Roche chooses to take up (with an $8.0 million fee if Roche does so for either of two remaining targets). Those payments depend on Roche electing to proceed and on research and regulatory success that has not happened yet, so we count none of them. The clinical drugs have no approval and no earnings, so we place no value on them. Because the pipeline is worth nothing on that standard, the value of the shares comes down to how much of today's cash is still there when the current spending plan runs out, less the Watertown, Massachusetts lease ($56.9 million of obligations at June 30, 2026, running to 2032; part of the space is sublet through 2029). About 130.7 million diluted shares were used, the second quarter 2026 weighted average, versus 122.9 million common shares outstanding at June 30, 2026. Bear case: $0.00 per share. The company keeps spending about $100 million a year (2025 operating cash outflow was $98.7 million) through the end of 2028 and nothing succeeds. About $50 million would remain against $56.9 million of lease obligations, a shortfall of roughly $6.5 million. This case is shown as zero. Base case: $0.26 per share. Spending averages about $81 million a year, halfway between the 2025 outflow after removing timing effects ($75 million) and the first half of 2026 annualized ($88 million). About $97 million of cash would remain at the end of 2028, or about $40 million after the lease obligations. Discounted at 6% for 2.5 years, that is about $34.6 million, or $0.26 per share. Bull case: $0.37 per share. Spending stays at the 2025 level of about $75 million a year, leaving about $112 million of cash, or about $55.6 million after the lease. Discounted, that is about $48.0 million, or $0.37 per share. The three cases differ only by how fast cash is used. We have not counted the pipeline or any partner payments. The 2025 offering ($117.0 million net proceeds) also issued pre-funded warrants for 28.7 million shares and Class A and Class B warrants for 50.6 million shares each; we have included neither the extra shares nor any cash from exercise, and we did not model further dilution from stock compensation or new share issuance. The diluted share count has already grown from 82.9 million (2025 average) to 130.7 million (second quarter 2026), and more shares could still be issued, which would reduce the value per share. What would make this wrong. If cemsidomide or a partnered program succeeds, the shares could be worth far more than these figures; we simply cannot show that from evidence today. Conversely, spending could exceed $100 million a year or the lease could cost more than recorded. Deferred partner revenue of $40.4 million at June 30, 2026 will be recognized as revenue as work is done and does not represent extra cash to come.
