Business condition attached to the margin of safety The 2028 ABL Facility and the 2030 Senior Notes must first be refinanced or extended on terms that leave the company producing positive cash after interest and maintenance spending.
KLX Energy Services rents specialized equipment and provides well-completion, intervention and production services to oil and gas producers across three U.S. regions: the Southwest (Permian and Eagle Ford), the Rocky Mountains (Bakken, DJ, Uinta, Powder River) and the Northeast/Mid-Con (Marcellus, Utica, STACK, SCOOP, Haynesville). Revenue is $637 million in 2025, down from $888 million in 2023 after the Greene's acquisition boosted 2023, and from $709 million in 2024, as producers cut activity and pricing. How we measure earnings. We start with cash from operations, remove the one-off swings in receivables, inventory, payables and accruals, deduct stock compensation as a real cost, and deduct the equipment spending needed just to stay in business. Spending on growth is excluded, but in this business capital spending has been well below depreciation ($49 million versus $95 million in 2025), so true upkeep needs may be higher than the figure we deduct. Per share, on this basis: 2022 +$3.44, 2023 +$2.14, 2024 -$2.04, 2025 -$0.94; the earlier years (2017-2021, including the 2020 Quintana merger and pandemic collapse) were all negative. Share counts are adjusted for the 2020 one-for-five reverse split. Cash flow in 2025 ($7.5 million) was heavily reduced by $24.8 million of payments on other liabilities and by roughly $16.6 million of non-cash interest, on top of a $77 million net loss. Interest on the company's debt is already inside these numbers. What the level is. We use the median of 2022-2025, $0.60 per share, because that is the period since the business took its current shape (Quintana merger 2020, Greene's 2023) and it spans one strong and one weak stretch. The two strongest years (2022-23) came from conditions that have since reversed, so we do not treat them as normal, and we do not extrapolate the recent losses forever either. Last year's owner earnings improved by about $1.10 per share versus 2024, but were still negative. We therefore assume nothing in the first two years, not a rebound. Base case: no earnings for two years, then $0.60 per share a year through year 10, then fading to zero over the following decade because we can point to no contract or record that sustains a thin-margin, capital-hungry rental fleet beyond that. Worth about $4.50 per share. We credit no growth: there is no backlog, and no multi-year record of steady, self-funded expansion; acquisitions have been large and infrequent. Bear case: owner earnings stay near 2025's negative level (about -$0.94 per share, roughly $17 million a year of shortfall) while the $ debt due in 2028 (ABL facility, maturing March 7, 2028) and 2030 (Senior Notes) comes up. The company itself says in its annual report that failure to refinance could bring a going-concern opinion as early as the audit of 2026, and that it is weighing debt-for-equity exchanges and asset sales. On this path the business appears to owe more than it is worth, by roughly $4 per share (about $75 million). Actual shareholder loss is limited to their investment, but heavy dilution or a wipe-out is the realistic form of that outcome. Bull case: the company's own cost-cutting and equipment already in place deliver owner earnings of about $2.40 per share from year two, close to the 2022-23 average, sustained ten years and then fading. Worth about $20 per share. The gap between $-4 and $20 reflects how sensitive a heavily leveraged service company is to small changes in cash flow. The first half of 2026 showed cash from operations of $10.8 million versus a $18.5 million outflow a year earlier, an encouraging but single-period improvement that we do not yet use to lift the level. What would make this wrong: the largest uncertainty is refinancing. Success on favorable terms would move value toward the base and bull cases; failure moves it to the bear case. We could not verify the size of the notes from the search we performed; working-capital lines were reconciled to cash from operations for 2025 and tie exactly. The margin-of-safety price of $1.50 applies only once the 2028 and 2030 debt has been dealt with, and reflects the heavy downside.
