Ranger Energy Services rents and operates well-servicing equipment for U.S. oil and gas producers. It has three lines: High Specification Rigs (about $347 million of 2025 revenue), Processing Solutions and Ancillary Services (about $131 million) and Wireline Services ($68.9 million). Work is concentrated on keeping existing wells producing, which is steadier than drilling work but still follows oil-company spending. All sales are inside the United States, with the largest base in the Permian Basin. Three customers were 30%, 18% and 11% of 2025 revenue, so losing or repricing one matters. How we measure earnings. We start with operating cash flow, remove the swings from receivables, payables and other working capital, subtract stock compensation as a real cost, and subtract the capital spending needed just to keep the fleet running. Growth spending was separated only in years when revenue was built by spending on equipment; in 2021 and 2022 revenue jumped mainly because of acquisitions, so all equipment spending was treated as maintenance. Owner earnings per share were: 2018 -$2.05, 2019 $1.18, 2020 $0.64, 2021 -$0.63, 2022 $1.89, 2023 $1.56, 2024 $1.51 and 2025 $1.74. The 2018 to 2021 figures describe a smaller company that had not yet bought the Basic Energy Services assets and two wireline businesses (both in 2021), so we measure the business from 2022. The middle of 2022 to 2025 is about $1.65 per share, or roughly $39 million a year in total. We cross-checked this against net income plus depreciation and other non-cash items less capital spending, and the two builds agreed in every year. What changed in 2025. Revenue fell 4% to $546.9 million. Wireline revenue dropped 37% as completed stages fell from 9,400 to 7,200 and prices were cut; rig hours rose 3% to 472,400. In November 2025 Ranger bought American Well Services (AWS), a Permian high-specification rig operator, for about $88.6 million: $61.8 million in cash, 1,998,401 new shares and a $2.3 million contingent payment. The company reported that AWS added $26.7 million of revenue and $3.9 million of net income in the weeks between closing on November 7 and year end. Full-year pro forma results in the filing show net income of $31.7 million for 2024 and $33.1 million for 2025, against Ranger's own $18.4 million and $12.3 million (AWS's 2025 figure is inferred as $24.7 million, after removing the $3.9 million already booked). Owner earnings grew about 15% in 2025 ($39.5 million versus $34.4 million); our base case assumes no growth beyond the AWS step described below, so it does not lean on that pace continuing. We did not use management's adjusted EBITDA target for AWS, because it is built on a different basis than ours. Base case, about $21 per share. Ranger keeps earning about $39 million a year from its existing lines (the 2022 to 2025 median), plus about $13 million a year from AWS, roughly what it contributed in 2024 on a pro forma basis. The filing gives no cash flow for AWS, so we treat its net income as a stand-in for owner earnings. That totals about $52 million a year, held flat for 15 years and discounted at 6%, which is about $505 million, or about $21 per share on roughly 24 million shares including unvested awards. Only the AWS purchase, already closed and paid for, is credited as new earnings. We did not credit market growth, pricing recovery in wireline or new products. After year 15 we credit nothing: our data cover only about a decade and one full downturn, and we cannot point to evidence for earnings beyond that. Bear case, about $6 per share. Activity slumps as it did in 2020, when revenue fell 44% (from $336.9 million to $187.8 million) and owner earnings per share fell to $0.64 before turning negative in 2021. The filing cites U.S. and international energy agency forecasts of oil near $56 a barrel in 2026, down from $69 in 2025, and wireline pricing is already falling. We assume total owner earnings of $20 million a year, including AWS, for 10 years, then nothing. Borrowing is small (only $3.5 million drawn on its revolving loan at year end), so the bear case comes from lower activity rather than leverage. Bull case, about $33 per share. Legacy operations return to their 2022 level of $44.2 million and AWS earns what its 2025 pro forma results imply, about $25 million, for $69 million a year over 20 years. That is a return to a level already reached and a contribution already shown, not a new market. What could make this wrong. If the two largest customers cut work, or if activity slumps for longer than the bear case, value falls below our estimates. AWS's earnings are inferred from pro forma disclosures rather than cash flow, and the two years disclosed differ by nearly double ($13 million versus $25 million). The AWS deal added about 2 million new shares, which dilutes existing holders. The margin-of-safety price is $11.50, which leaves a wide cushion because this is a cyclical, customer-concentrated business.
