$2.28 $11.27
bear $2.28 base $6.46 bull $11.27 margin of safety $3.50 market price* $2.22
Business condition attached to the margin of safety At least two consecutive quarters showing IoT segment revenue stabilizing (not continuing its 2024-2025 decline) together with gross margin holding at or above the ~6% reached in 2025 and G&A expense staying at or below its 2025 run rate, confirming the post-divestiture cost-reduction program has actually taken hold rather than being a one-time cleanup.
Identiv is a small security-technology company that, until September 2024, ran two businesses: an Identity/IoT unit making RFID and access-control components, and a Physical Security (Premises) unit selling video and access-control systems to governments and enterprises. In September 2024 the company sold the Physical Security business for roughly $143 million in cash. What remains is a single, much smaller IoT/RFID components business, and a large cash balance - about $128.6 million, with no debt - sitting on the balance sheet. The remaining IoT business is currently unprofitable and shrinking: revenue fell from about $43 million in 2023 to $27 million in 2024 to $21 million in 2025, with thin gross margins (6% in 2025, up from 1% in 2024 as the company exited a Singapore manufacturing facility) and heavy fixed costs left over from being a larger company. Management has been cutting overhead sharply - general and administrative expense fell 28% in 2025 as one-time separation costs rolled off - and has said it expects gross margins to keep improving in 2026. 2025 is the first full year that reflects the company as it exists today, so it is the year we anchor our estimate of ongoing earnings power to; the years before the sale describe a different, larger company and are not comparable. Because the company has no debt and a cash balance that dwarfs its current operations, we value it as the sum of that cash plus what the ongoing IoT business is likely worth on its own, rather than looking at the shrunken business in isolation - excess cash on a debt-free balance sheet belongs to shareholders regardless of what the operating business is worth. Our bear case assumes the cost-cutting stalls, a concentrated customer (one customer was 15% of 2025 revenue) is lost, and the business keeps losing several million dollars a year before eventually being wound down rather than run at a permanent loss forever. Our base case assumes the recent trend of narrowing losses continues, the business reaches breakeven within about four to five years, and settles into a small, flat, sustainably profitable niche supplier - we do not assume market growth, only that a leaner cost structure holds. Our bull case assumes the turnaround succeeds faster, margins recover toward historical levels as higher-value product mix improves, and the company becomes a modestly profitable, stable small supplier. We treated recent severance and facility-exit charges as mostly one-time rather than ongoing, and we removed stock-based compensation as a real cost even though it does not use cash directly. The biggest source of uncertainty is that we only have one clean year of financial results for the company as it exists today, so the path to profitability is a reasoned estimate rather than an established trend.
