Hovnanian builds and sells single-family homes, townhomes and condominiums in 13 states (New Jersey, Pennsylvania, Delaware, Maryland, Virginia, West Virginia, Ohio, Florida, Georgia, South Carolina, Texas, Arizona and California) and runs its own mortgage and title business. Its reported cash flow is very hard to read because land and construction spending runs straight through operating cash flow: operating cash ranged from negative $249 million (fiscal 2019) to positive $435 million (fiscal 2023). We therefore remove the swings in inventory and other working capital and measure what the business earns before reinvesting, after stock compensation and maintenance capital spending. On that measure owner earnings per share were negative $0.87 in 2018, $44.03 in 2022 and $7.88 in fiscal 2025. Because lenders are paid first, we value the business before its interest bill (adding back the $126 million of interest charged in fiscal 2025) and then subtract what the company owes. Equity income from joint ventures ($46 million in fiscal 2025) is non-cash and is excluded; only cash distributions count. Previous figures published in August 2026 were built on a different basis and are not comparable. What has changed in the business: fiscal 2025 pre-interest cash earnings fell to $26.22 per share from $46.98 in fiscal 2024 (down 44%), and fiscal 2026 has been weaker. Through nine months revenue was $2.005 billion (down 7%), net income $18.8 million versus $64.5 million, and the third quarter alone had revenue of $705.7 million (down 12%) and a small net loss. Gross margin before interest and land charges has fallen from 22.0% (fiscal 2024) to 17.2% (fiscal 2025) to 14.2% over the first nine months of fiscal 2026, as the company pays for mortgage-rate buydowns and other incentives to keep homes selling. In September 2025 it refinanced its secured notes into $900 million of unsecured notes, which removes any maturity before April 2031. What it owes (the same in every case): $450 million of 8.0% senior notes due April 2031, $450 million of 8.375% notes due October 2033 and $25 million of 5.0% notes due 2040 ($925.0 million in total; the $125 million revolver is undrawn), $32.4 million of non-recourse mortgages, and $140 million of 7.625% preferred stock that ranks ahead of the common shares. We add about $92 million for the extra interest the 8% and 8.375% coupons will cost over their remaining lives. Against that we credit homebuilding cash of $249.1 million at July 31, 2026, keeping $120 million for operations, so $129 million is treated as spare. Net obligations come to about $1,060 million, or $155.93 per share on roughly 6.8 million diluted shares (Class B shares convert into Class A, so the economics are the same). Federal tax assets of about $111 million (loss carry-forwards plus credits) shelter profits for some years and are modeled; after that federal tax is charged at 21%. Base case, $99.21 per share: the business is worth about $1,735 million ($255 per share) less $1,060 million owed, leaving $675 million. Revenue holds near $2.85 billion to $2.9 billion with no unit or price growth credited. Overhead has been steady near $330 million a year (fiscal 2024 and 2025 both back-solve to it). Fiscal 2027 and 2028 assume a 15.75% margin before interest, the middle of management's fourth-quarter guidance of 15.0% to 16.5%, which gives about $118 million a year; from fiscal 2029 we assume 16.5%, still below fiscal 2025's 17.2%, which gives about $148 million a year. That level is held to fiscal 2046 and then fades to zero by fiscal 2056, because the evidence we can name is nine straight years of positive pre-interest cash earnings, 34,373 controlled lots (6.8 years of supply, 87% under option) and a consolidated backlog of $881.9 million. Growth reconciliation: the latest completed year's pre-interest cash earnings per share fell 44%; the base case has fiscal 2027 about $118 million versus our estimate of roughly $88 million for fiscal 2026 (nine-month margin of 14.2% plus the fourth-quarter guidance), an improvement. The dated reason is the August 2026 guidance of a 15.0% to 16.5% margin on $800 million to $900 million of fourth-quarter revenue, after margin rose from the first-half level to 14.6% in the third quarter. We credited no growth beyond that and did not credit a market recovery. Bull case, $238.91 per share: the business is worth about $2,685 million ($395 per share) less $1,060 million owed, leaving $1,625 million. After two years near $130 million, margin returns to about 20% and pre-interest cash earnings reach about $256 million a year, which is the median of the nine fiscal years 2017 to 2025. Margins of 22.0% and 17.2% were each achieved in the last two fiscal years, so this needs no new capability, only the company's own demonstrated margin, but it is the 90th-percentile outcome rather than the median. Bear case, negative $73.43 per share: the business is worth about $561 million ($83 per share) against $1,060 million owed, a shortfall of about $499 million. In this case the company owes more than the business is worth. We use the 2007 to 2011 housing bust as the template: Hovnanian's revenue fell 52% in fiscal 2009 alone (from $3.3 billion to $1.6 billion), its margin before interest was 9.2% and it lost $1.1 billion in fiscal 2008 and $717 million in fiscal 2009. We assume revenue halves to about $1.45 billion by fiscal 2029, margins of 9% to 10%, and overhead trimmed to about $260 million. Pre-interest cash earnings are negative from fiscal 2028 to fiscal 2032 even after about $320 million of cash released as owned inventory (about $1.3 billion today) shrinks. With roughly $80 million a year of interest, the $450 million of notes due April 2031 could not be refinanced, so we assume a restructuring that leaves shareholders nothing, then a recovery to about $100 million a year as revenue rebuilds to $2.6 billion over six years. Judgements and what we could not reconcile: land banking and model sale-leaseback financings ($169.1 million and $75.6 million at October 2025, up from $94.1 million and $46.2 million a year earlier) are treated as part of the cost of lots rather than borrowings; if they were counted as debt, values would be lower by up to about $36 per share before any offsetting add-back of their financing cost. The company relies on them more each year. The July 31, 2026 balance sheet in full was not available to us, so we could not tie those balances to July. The cash-flow reconciliation (net income plus non-cash items plus working-capital movements equals reported operating cash flow) ties to the dollar for all ten years. Our test of the base case against the filings was the margin: holding fiscal 2025's 17.2% would imply about $178 million a year and $137.59 per share, while holding the current guidance level of about $118 million forever would imply $59.97; each $10 million change in long-run annual cash earnings moves the value about $13 per share. Margin-of-safety price, $40: we are not confident in the earnings level, because margin has fallen three years running and annual pre-interest cash earnings have ranged from $26 to $64 per share since 2017. The worst plausible outcome is a housing downturn on top of $925 million of unsecured notes and $140 million of preferred stock ahead of the shares; the structure survives until the April 2031 maturity (cash of $249 million, an undrawn revolver and mostly optioned land), but the shares could be worth nothing, and the company depends on land bankers and on rate buydowns that no case fully models. If we are wrong about margin settling near the guidance level the shares are worth about $60; if wrong the other way, up to $239. The price assumes a holding period of about three years, during which the common pays no dividend and the company puts spare cash into small share buybacks ($30 million in fiscal 2025). From $40, even the weak-but-survives outcome of about $60 today, growing to roughly $71 in three years, implies about 21% a year, the base case implies roughly 40% a year, and the bear case implies a total loss. That is why the margin-of-safety price sits well below the middle case.

Sales geography
United States only. Northeast: New Jersey and Pennsylvania. Mid-Atlantic and South: Delaware, Maryland, Virginia, West Virginia, Florida, Georgia, South Carolina and Texas. Midwest: Ohio. West: Arizona and California.
Historical growth strategy
Organic growth in the number of selling communities, funded mainly with capital-light land: about 87% of its roughly 34,400 controlled lots are held under option rather than owned, supplemented by land banking, joint ventures and model-home sale-leasebacks so that cash is not tied up in land. Community count rose 7.7% in fiscal 2025. Growth is concentrated in a few chosen markets rather than by large acquisitions, and an in-house mortgage and title business supports sales.
Chart analysis
A chartist would see a highly volatile, cyclical homebuilder stock (beta near 1.8) that has pulled back from its 52-week high of about $148 and now sits in the lower half of a wide $91.5 to $148.5 yearly range. Resistance sits in the $140 to $148 area, where the August 2026 high was set, and the August low near $106 and the yearly low near $91.5 are the support levels to watch. Daily moves of 7 percent to 11 percent around the August earnings report show how sharply the stock gaps on news. With lower highs since the peak and a price below the recent highs, the trend would be described as a range-bound to weakening consolidation; a close above the low $140s would be needed to signal a new uptrend, and a break below roughly $91 would signal a breakdown. This view is limited by only partial price history being available.
