Business condition attached to the margin of safety Fortress shows it can pay its own way: consolidated owner earnings (operating cash flow excluding one-time asset or voucher sales, less stock compensation) are positive for two consecutive fiscal years, and Series A preferred dividends have resumed with the arrears cleared.
Fortress Biotech is a holding company that licenses or acquires drug programs and develops them through subsidiaries and partner companies, aiming to earn money from product sales, royalties and selling those companies or their assets. Almost all of its revenue ($63.3 million in 2025, of which $61.2 million was product sales) comes from Journey Medical, a publicly listed partner company that Fortress controls, which sells dermatology products in the United States: Emrosi, Qbrexza, Accutane, Amzeeq, Zilxi, Targadox, Exelderm and Luxamend. Emrosi, a low-dose extended-release minocycline for rosacea, was approved in November 2024, launched in March 2025, added $14.7 million of sales in its first year and has listed patents running to January 2039. Journey is not yet producing cash for its owners: its operating cash flow was -$12.4 million in 2025 and +$1.2 million in the first half of 2026, before about $6 million a year of stock compensation. The record. On our measure of owner earnings (operating cash flow with working-capital swings removed, less stock compensation and the capital spending needed to maintain the business), Fortress lost money in every year from 2016 through 2025, about $1.2 billion in total, while the share count rose from about 2.7 million (adjusted for the October 2023 1-for-15 reverse split) to 33.3 million in June 2026. The business has since shrunk: Checkpoint Therapeutics was sold to Sun Pharma in May 2025 (Fortress received $28.0 million, a 2.5% royalty on UNLOXCYT sales and up to $4.8 million if the drug wins EU approval). Owner earnings were -$72 million in 2025, and in the first half of 2026 operating cash flow was about -$14 million once the one-time voucher sale described below is taken out. We treat that smaller, post-Checkpoint cost base as today's business rather than using the older, much larger losses. The windfall. When ZYCUBO (copper histidinate for Menkes disease, partnered with Sentynl) was approved on January 13, 2026, Fortress's subsidiary Cyprium received a priority review voucher, which it sold for $205 million at the end of March 2026. After $41 million went to the NIH and $5.1 million to another party, the net gain was $158.9 million. We count that cash as it stands on the balance sheet and do not treat it as something that will happen again. At June 30, 2026 Fortress and its private subsidiaries held $153.8 million in cash. Against that, about $15.3 million is still owed to Oaktree (the loan charges SOFR plus 7.625% and matures in June 2028). The 9.375% Series A preferred shares (3,427,138 shares with a $25 claim each) rank ahead of the common shares. Their dividends have been paused since July 2024 but keep building up, so we estimate about $16 million was owed by June 2026. The preferred claim therefore totals about $102 million, which leaves roughly $37 million, or about $1.10 per common share, for common shareholders. What we credit and what we do not. The only income streams in hand are royalties: ZYCUBO earned $0.3 million in the first half of 2026 (Cyprium receives 3% of sales up to $75 million a year, with higher rates above that), and we credit nothing for UNLOXCYT because Sun only began selling it in January 2026 and Fortress has not reported meaningful royalty income from it. We credit about $0.8 million a year for ten years. We give nothing for the up to $128 million of ZYCUBO sales milestones, the UNLOXCYT EU payment, Emrosi's further growth, or the pipelines at Mustang Bio, Avenue Therapeutics and the private subsidiaries, because each depends on something that has not yet happened. Fortress has sold programs before, yet its owner earnings were still negative in every full year from 2016 through 2025. Journey and the two public subsidiaries hold their own cash and raise their own funding, so we value Fortress's stakes in them at zero rather than below zero. The cost that decides the answer is the parent company's own running expense. Fortress and its private subsidiaries booked $17.4 million of selling, general and administrative expense in 2025, including $6.2 million of stock compensation, and management says it expects research spending to rise in 2026 as it licenses or acquires new programs (Avenue signed a Duke University license in February 2026). Discounting at 6% over ten years: Base case (-$2.92 per share): parent costs of about $19 million a year, in line with 2025 including stock compensation. Ten years of these costs are worth about $140 million today, far more than the roughly $37 million left for common shareholders plus the small royalties. On this view the preferred claim, the remaining debt and the running costs together exceed everything we can evidence by about $97 million. The common shares appear to be worth less than nothing. Bear case (-$4.46): costs rise to about $26 million a year, reflecting the research increase management has flagged and the faster spending outside Journey seen in the first half of 2026, and no new sale arrives. The shortfall is about $149 million. Bull case (-$1.50): costs are held to about $15 million a year, and Fortress realizes about $15 million from Urica's stake in Crystalys (its recorded value rose by $15.1 million in 2025 after a Crystalys financing) plus $2.6 million from its Aevitas stake. The shortfall is about $50 million. What would make us wrong: a further monetization, such as the ZYCUBO sales milestones, a large royalty from UNLOXCYT or a sale of Journey, would add value we have not counted. The company's history suggests such deals do happen, but they cannot be foreseen or sized. Paying off or redeeming the preferred at less than its full claim would also help common holders. On the evidence available today, the common shares carry no value after the preferred claim and the cost of running the platform, so the margin-of-safety price applies only once the business shows it can pay its own way.
