Bausch Health is a diversified pharmaceutical group whose largest profit pool is the Salix gastrointestinal franchise, dominated by Xifaxan, alongside an approximately 88%-owned eye-health business, a dermatology unit, an international generics arm and a Canadian consumer business. The defining fact about the equity is leverage: at 30 June 2026 the company carried about $21.6 billion of borrowings against $1.8 billion of cash and a book equity deficit of $1.8 billion. Because owner earnings are struck after cash interest, we value the enterprise on earnings before financing cost and then deduct the borrowings once, so the debt is charged exactly one time. On that basis unlevered owner earnings have run at roughly $1.9 billion a year across 2023 to 2025 - well below headline profitability measures, because litigation settlements, restructuring and working capital consume a persistent sum each year that adjusted earnings figures exclude. Interest payments alone absorbed $1.5 billion of operating cash flow in 2025, and a further $0.3 billion a year of contractual interest on the 2022 secured notes is paid but recorded outside operating cash flow, so reported cash generation flatters the true position. Court rulings currently keep the first generic Xifaxan application off the market until October 2029, but several other generic challengers have settled on entry terms the company has not disclosed, so the date at which that franchise's economics change is genuinely unknown. Our bear case assumes earnings erode about 4% a year as the franchise is competed away, discounted at 11.5%; on those assumptions the enterprise is worth less than the debt and the shares represent a total loss of equity value, which is why the bear figure is shown as zero. The base case holds earnings flat and discounts at 9.5%, leaving about $5 a share once borrowings are deducted. The bull case assumes 2% growth at 8.75%, about $24. The extreme spread between those outcomes is not a modelling artefact - it is what happens when a business is worth roughly the same as its debt, so that a 10% change in the value of the enterprise moves the equity by more than 100%. Because the bear case is a genuine wipe-out we cannot anchor on it, so we anchor on the base case and apply an unusually deep discount of about 80%, giving a margin-of-safety price of $1.00. Our confidence in any central estimate here is well under 50%.
Fiscal yearOwner's earningsMethodology
2025 $2.10 ▼
OE = CFO - Capex - SBC, $ millions. CFO=$1,400M (after $1,534M of interest payments and $163M of cash taxes); Capex=$397M; SBC=$216M; OE=$787M; diluted shares=375.0M; OE/sh=$2.10. Consolidated (includes ~88%-owned eye-health subsidiary); excludes ~$0.3B/yr of contractual interest recorded in financing activities. Unlevered owner earnings used for valuation were ~$1.94B in 2025.
2024 $3.02 ▼
OE = CFO - Capex - SBC, $ millions. CFO=$1,597M (after $1,379M of interest payments and $61M of cash taxes); Capex=$337M; SBC=$150M; OE=$1,110M; diluted shares=368.0M; OE/sh=$3.02. Consolidated (includes ~88%-owned eye-health subsidiary); excludes ~$0.3B/yr of contractual interest recorded in financing activities.
2023 $1.88 ▼
OE = CFO - Capex - SBC, $ millions. CFO=$1,032M; Capex=$215M; SBC=$132M; OE=$685M; diluted shares=364.9M; OE/sh=$1.88. Consolidated (includes ~88%-owned eye-health subsidiary); excludes ~$0.3B/yr of contractual interest recorded in financing activities. Valuation used unlevered owner earnings with debt deducted once via the net-debt bridge.
2022 -$2.96 ▼
OE = CFO - Capex - SBC, $ millions. CFO=$-728M; Capex=$218M; SBC=$126M; OE=$-1,072M; diluted shares=362.0M; OE/sh=$-2.96. Negative because of large one-time legal settlement payments in 2022; verified against the cash-flow statement rather than accepted from a single tagged value. Consolidated (includes ~88%-owned eye-health subsidiary); excludes ~$0.3B/yr of contractual interest recorded in financing activities.
2021 $2.87 ▼
OE = CFO - Capex - SBC, $ millions. CFO=$1,426M; Capex=$269M; SBC=$128M; OE=$1,029M; diluted shares=358.9M; OE/sh=$2.87. Two limitations: figures are consolidated and include the ~88%-owned eye-health subsidiary, so part of this stream belongs to noncontrolling interests; and ~$0.3B/yr of contractual interest on the 2022 secured notes is paid but recorded in financing rather than operating activities, so CFO overstates cash generation by that amount.
